Resolution 346-1988 Art Skelly Director of Airports RESOLUTION NO. 346 -1988 A RESOLUTION OF THE BOARD OF COUNTY COMMIS- SIONERS OF MONROE COUNTY, FLORIDA, APPROVING AND AUTHORIZING THE MAYOR/CHAIRMAN OF THE BOARD TO EXECUTE AN AGREEMENT BY AND BETWEEN ISLAND AEROPLANE TOURS, INC. AND MONROE COUNTY, FLORIDA, CONCERNING AN AIR SHOW TO BE CONDUCTED AT THE KEY WEST INTERNATIONAL AIRPORT. BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF MONROE COUNTY, FLORIDA, that the Mayor/Chairman of the Board is hereby authorized to execute an Agreement by and between the Board of County Commissioners of Monroe County, Florida, and Island Aeroplane Tours, Inc. a copy of same being attached hereto, concerning an air show to be conducted at the Key West International Airport. PASSED AND ADOPTED by the Board of County Commissioners of Monroe County, Florida, at a regular meeting of said Board held on the 16th day of August, A.D. 1988. Q C:) L4.. :I:: APPROVEDAS TO FORM AND LEGAL SUFFICIENCY. ~~ Attom 8 flice 8Y AGREEMENT THIS AGREEMENT made by and between ISLAND AEROPLANE TOURS, INC. hereinafter referred to as party of the first part, and MONROE COUNTY, FLORIDA, a political subdivision of the State of Florida, hereinafter referred to as party of the second part, who enter into the following understanding and agreement: WIT N E SSE T H: That for and in consideration of the various premises and covenants herein set forth, the parties do agree each with the other as follows: WHEREAS, the party of the first part desires to use a certain area located at the Key West International Airport, owned by the party of the second part, for a site for an air show, which will be conducted on September 3, 1988 between 12:00 P.M. and 5: 00 P.M. In the event that weather conditions make it impractical for this event to be held on September 3, 1988 then it will be held on September 4, 1988. WHEREAS, the party of the first part does agree that if said permission is granted for the use of said property that the County shall be completely indemnified and held harmless in all respects for the use of said property, from the standpoint of personal liability and responsibility, and WHEREAS, the party of the second part desires to cooperate with the party of the first part in permitting the public to u~e this area with certain safeguards, and \niEREAS, the party of the first part understands and realiz- es that an event such as is being planned herein can be of immense public benefit, and also could add a great deal to the public image of the County, now, therefore, BE IT AGREED AND UNDERSTOOD by the parties as follows: 1. That the party of the first part does hereby agree that it will have issued a general liability policy for ten million ($10,000,000.00) dollars, wherein the party of the second part shall be shown thereon as a coinsured. It is understood that the premiums of this insurance shall be the sole responsibility of the party of the first part, it is further understood that the party of the second part has no insurance that covers a special event of this sort. 2. That the party of the first part agrees to possess all required FAA permits and waivers and that all pilots involved in the show have current FAA certificates. 3. That the party of the first part agrees to publish a NOTAM closing the airport during the hours of the air show to all traffic except scheduled airline service or an aircraft emergen- cy. 4. That the party of the first part agrees to provide off duty police officers for crowd control at the event. No specta- tors are to be allowed closer than 50 feet to the parallel taxiway (northern edge of the General Aviation ramp). No specta- tors will be allowed on the U.S. Customs ramp or the commercial ramp. 5. That the party of the first part agrees to provide adequate additional automobile parking space for the public. 6. That the party of the first part agrees to provide an adequate number of portable restroom facilities for the public. 7. That the party of the first part agrees to ensure the General Aviation ramp area is cleared of trash and debris and is returned to its original state of cleanliness. 8. That the party of the first part desires a waiver to .' sell beer. ". 9. That the party of the first part agrees to provide the county with a list of all concessions to participate in this air show. 10. In addition to the above, the party of the first part does hereby agree to hold the party of the second part harmless for any claims of any sort made because of this event. In addition to holding the party of the second part harmless as aforesaid, the party of the first part does hereby agree to indemnify the party of the second part in all respects based on 2 any such claims or contentions and to defend against any such claims.
