A RESOLUTION OF THE BOARD OF COUNTY COMMIS-
SIONERS OF MONROE COUNTY, FLORIDA, AUTHORIZ-
ING THE MAYOR/CHAIRMAN OF THE BOARD TO
EXECUTE A CONSULTING AGREEMENT FOR SERVICES
BY AND BETWEEN MONROE COUNTY BOARD OF COUNTY
COMMISSIONERS AND LANGTON ASSOCIATES, INC.
FOR THE PURPOSE OF OBTAINING GRANTS AND
ASSISTANCE FROM VARIOUS GOVERNMENTAL AGENCIES
AND BODIES
BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF
MONROE COUNTY, FLORIDA, that the Mayor/Chairman of the Board is
hereby authorized to execute a Consulting Agreement for Services
by and between the Monroe County Board of County Commissioners
and Langton Associates, Inc., a copy of same being attached
hereto, pertaining to obtaining grants and assistance from
various governmental agencies and bodies.
PASSED AND ADOPTED by the Board of County Commissioners of
Monroe County, Florida, at a regular meeting of said Board held
on the 20th day of September, A.D. 1988.

CONSULTING AGREEMENT
This consulting agreement made this day of
September, 1988, by and be tween Lang ton Assoc ia tes, Inc.,
hereinafter referred to as "Langton", and Monroe County,
Flor ida, hereinafter ref erred to as "CI i en t" on the
following terms and conditions:
RECITALS
WHEREAS, Langton is a corporation engaged in the
business of offering consulting support for municipal-
ities, cities and other governmental bodies, and

WHEREAS, the parties are desirous to enter into this
contract, to establish a contractual relationship and
set up the fees to be charged by Langton to Client for
the services to be rendered and to establish the guidelines
of consulting work to be performed,
IT IS THEREFORE agreed as follows:
1. Langton agrees to provide professional consul t-
ing services to Client for the term of one (1) year,
commencing September 1, 1988 and ending August 31, 1989.
Langton agrees to exercise his best efforts to obtain
governmental grants and benefits for Client. It is
understood, however, that Langton cannot guarantee results
that any certain amount of funds will be obtained for
Client.

3. In exchange for Langton performing the services
as established herein and devoting his time, Client agrees
to pay Langton the sum of Twenty Four Thousand Dollars
($24,000) annually. Client agrees that payment herein
shall be made monthly by the 10th day of the following
month after the invoice rendered by Langton.
4. Client agrees to pay all the expenses of Langton
in conjunction with his services directly relating to
Client. This shall include, but not be limited to; travel

expenses to and from locations other than Client, as stipu-
lated in Exhibit "AI'. Travel expenses shall be air expense
on coach flights, car rental, hotel (at commercial rates),
food (maximum of $25.00 per day). Langton will submit
the invoice for these expenses which shall be paid together
with the salary by the next month. If desired. Client
can require a prior approval for travel expenses to be
incurred by Langton. If Client so desires, such request
shall be made in wr i t ing separa te from this agreemen t.
The notice shall require Langton to notify Client fifteen
(15) days in ad vance of any necessary travel expenses,
unless said time is waived ~n a particular case.
5. Langton agrees to devote the necessary time and
performance of his duties for Client. Inasmuch as the
professional services rendered are of a subjective nature,
subject to differences of opinion, mutual confidence and
respect is necessary. Accordingly, this contract can
be terminated by either party without cause upon the giving
of a thirty (30) day written notice as follows:

6. Should litigation be necessary to enforce any
provision of this agreement, then the prevailing party
shall be en ti tIed to recover a reasona ble attorney's fee

SPECIFICATIONS
Langton Associa tes, Inc. . has extensive experience
in providing intergovernmental relations and grantsmanship
services for clients similar to Monroe County. A strategic
plan tailored to address your specific needs is developed
by our consultants. Langton Associates, Inc., uses this
analysis to accurately recommend appropriate funding sources
for accomplishing the county's goals. Prepara tion and
submission of grant applications as well as follow-up contact
with grantor agencies ensure the client of comprehensive
benefits.
The specific activities and work elements we propose
to perform for Monroe County are as follows:
A. Update of In-Depth Needs Assessment. Through
on-si te interviews wi th various coun ty agency
officials and investigation of available resources,
a plan of action is developed to address the
county's determined needs.
B. Update of Determination of Relevant FundinR
Sources. We make extensive use of our internal
and external resources to determine appropriate
sources of funding to accomplish the goals of Monroe
Coun ty. Recommenda tions for application are made
to the county on an on-going basis.
C. Preparation and Submission of Grant Applications.
Langton Associates, Inc., develops and prepares
the complete grant applica tion and su bmi ts it to
the funding agency. Langton agrees to prepare
a minimum of eight (8) grants in the contract year,
two (2) of which are to be for the CDBG Program,
if applicable CDBG projects are available.
D. InterRovernmental Relations with Federal and State
Governments. Lang ton Associa tes. Inc. t ac ts as
a liaison between the county and the government
fund ing agency bef ore. during, and after the
application is made. Our extensive network of
con tac ts in Washing ton. D. C. and Tallahassee.
Florida, and our proximity to Tallahassee, Florida
enable us to provide our client with the most
accurate, up-to-date grantsmanship information
available.

Langton Associates, Inc., proposes to perform the above
services for Monroe County on an annual contract basis for
the fee of $24,000.00.
This fee includes charges incurred for: Travel of
Langton Associates, Inc., employees between Jacksonville
and Monroe County, research, professional staff, local and
long distance telephone charges, and administrative costs
for typing, printing, postage, and miscellaneous supplies.
Costs which may be incurred. by Langton Associates, Inc.,
employees for performing annual contract services on behalf
of the client, but which are not included in the annual
fee are all travel expenses between locations other than
Jacksonville and Monroe County. This may include but not
be limited to Washington, D.C. and Tallahassee, Florida.
