Paros EMS Coordinator RESOLUTION NO. 151 -1987 A RESOLUTION OF THE BOARD OF COUNTY COMMIS- SIONERS OF MONROE COUNTY, FLORIDA, ACTING AS THE BOARD OF GOVERNORS OF MUNICIPAL SERVICE TAXING DISTRICT NO. 1-D AUTHORIZING THE CHAIRMAN OF SAID BOARD TO EXECUTE AN AGREE- MENT BY AND BETWEEN MUNICIPAL SERVICE TAXING DISTRICT NO. 1-D AND MARATHON H.M.A., INC. d/b/a FISHERMEN'S HOSPITAL FOR THE PURPOSE OF PROVIDING AMBULANCE SERVICE BETWEEN THE EAST END OF KEMP CHANNEL AND THE WEST END OF LITTLE DUCK KEY. BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF MONROE COUNTY, FLORIDA, ACTING AS THE BOARD OF GOVERNORS OF MUNICIPAL SERVICE TAXING DISTRICT NO. 1-D, as follows: That the Mayor and Chairman of said Board of County Commis- sioners acting as Chairman of the Board of Governors of Municipal Service Taxing District No. 1-D is hereby authorized to execute an Agreement by and between Municipal Service Taxing District No. 1-D and Marathon H.M.A., Inc. d/b/a Fishermen's Hospital, a copy of same being attached hereto, for the purpose of providing ambu- lance service between the East end of Kemp Channel and the West end of Little Duck Key. AGREEMENT THIS AGREEMENT, made this 12th day of January. 1987, by and between MUNICIPAL SERVICE TAXING DISTRICT NO. I-D governed by the Board of County Connnissioners of Monroe County, Florida, hereinafter called "THE DISTRICT" and Marathon H. M. A., Inc., a for-profit Florida corporation, d/b/a Fishermen's Hospital, hereinafter called "THE HOSPITAL". WHEREAS, THE DISTRICT and THE HOSPITAL desire to operate an advanced life support ambulance service from the premises in Big Pine Key, Florida, to service the area generally described as being between the East end of Kemp Channel, approximate Mile Marker 23, and the West end of Little Duck Key approximate Mile Marker 39. NOW, THEREFORE, upon the following terms and conditions, THE DISTRICT and THE HOSPITAL agree to connnence operation of the above-described ambulance service: 1. THE DISTRICT agrees to reimburse to THE HOSPITAL all costs, charges or expenditures necessary or incidental to the operation of the ambulance service, which costs, expenditures or charges are not actually received by THE HOSPITAL from patients as payment for the ambulance services not to exceed the sum of Ninety-seven Thousand Six Hundred ($97,600.00) Dollars. THE HOSPITAL shall use said money solely for the operation of the ambulance service. 2. THE HOSPITAL shall set the fees to be charged for the ambulance service with the approval by majority vote of THE DISTRICT Board, and THE HOSPITAL shall have the sole authority and responsibility to render statements to patients for services rendered by the ambulance service. THE HOSPITAL shall have the sole authority to determine the procedures to be used in the collection of fees for the use of the ambulance service and as bills and charges become delinquent, THE HOSPITAL shall attempt to collect the same in the same manner used by THE HOSPITAL to collect its delinquent accounts. THE HOSPITAL shall write-off an : account at the time it is turned over to the collection agency and will credit all recoveries of funds back to THE DISTRICT on receipt of the cash. The institution of a lawsuit or any other legal procedure shall be strictly in the discretion of THE HOSPITAL. All fees charged by THE HOSPITAL for the use of the ambulance service shall be credited against the costs of the operation of the said ambulance service. 3. THE HOSPITAL shall keep accurate records of all costs paid for the operation or benefit of the ambulance service and THE HOSPITAL shall also make accurate records of all fees charged for the use of the ambulance service. A separate record shall be kept for all fees actually recovered by THE HOSPITAL in payment for the ambulance service. 4. THE HOSPITAL will provide monthly financial statements of the operation of the ambulance service by line item accounts; this statement shall also separately reflect revenues earned and recovery of funds from delinquent accounts. If, after ex- amination of said monthly statements a deficit occurs, THE DISTRICT will reimburse THE HOSPITAL for said deficit in an amount not to exceed the ,amount of this Agreement. THE HOSPITAL will submit to THE DISTRICT a copy of the certified annual audit as is submitted to Monroe County according to Section 6.5. Monroe County Code; this audit is to pertain to only the ambulance service operations. 5. THE DISTRICT agrees to lease to THE HOSPITAL for the sum of One ($1.00) Dollar per year the existing county equipment owned by THE DISTRICT per Attachment A hereto. 6. When deemed necessary by both parties, Monroe County shall take the necessary steps to initiate a public referendum to approve funds for the remounting or replacement of ambulances supplied to THE HOSPITAL by Monroe County. 7. THE HOSPITAL shall furnish all necessary personnel to operate the ambulance service on a twenty-four (24) hour basis. THE HOSPITAL shall further maintain all ambulance service equip- ment. All costs of THE HOSPITAL for such personnel and mainte- nance shall be a cost within the meaning of this Agreement. Additionally, THE HOSPITAL shall provide insurance on the 2 personnel operating the ambulance and insurance on the ambulance in order to protect THE DISTRICT from any public or private liability. The cost of the insurance shall be a cost, charge or expenditure of the ambulance service within the meaning of this Agreement. Items of capital outlay - equipment with a per item cost of Two Hundred ($200.00) Dollars or more shall not be a cost within the meaning of this Agreement; such items must be approved separately at the time of budget adoption for the fiscal year and funds appropriated for same will appear as a separate line item within THE DISTRICT budget. 8. The term of this Agreement shall commence on the 1st day of October, 1986, and end on the 30th day of September, 1987. 9. THE HOSPITAL shall submit a report to THE DISTRICT every six (6) months of the money that THE HOSPITAL has received on delinquent accounts. The report shall also include the total dollar amount of delinquent accounts for the same period. The report shall cover the periods of October 1 through March 31, and April 1 through September 30. 10. THE HOSPITAL will submit annually to THE DISTRICT a proposed budget appropriation request by line item accounts for the following fiscal year, as requested by THE DISTRICT. THE HOSPITAL will also include along with the appropriation request, a report of expenditures to date for the current fiscal year; this report shall be by line item accounts. 11. THE HOSPITAL does hereby agree to indemnify THE DIS- TRICT and Monroe County, their officers, agents, and employees, for any and all claims of any sort whatsoever that may arise from the operation of the ambulance service contemplated by this Agreement. In this respect, THE HOSPITAL does agree to hold harmless and to assume any and all responsibility for any claims, damages, or liabilities of any sort whatsoever resulting from the use of the County's equipment, the employment of personnel, and the operation of the ambulance service contemplated herein. THE HOSPITAL agrees to defend and to pay any and all costs incurred in connection with such defense including attorney's fees, costs of court, and all such expenses relating to any such claims, damages, or liabilities, should the same occur. The liability 3 c' insurance carried by THE HOSPITAL shall show THE DISTRICT and Monroe County as co-insured and a copy of said policy shall be forthwith made available to the County Administrator so reflect- ing. IN WITNESS WHEREOF the parties hereto have executed this Agreement the day and year first above written.
