Resolution 025-1985 Art Skelly Director of Airports RESOLUTION NO. 025 -1985 A RESOLUTION AUTHORIZING THE CHAIRMAN OF THE ~OARD OF COUNTY COMMISSIONERS OF MONROE COUNTY, FLORIDA, TO EXECUTE AN AGREEMENT ~Y AND ~ETWEEN STAND UP AMERICA PARADE COMMITTEE AND MONROE COUNTY, FLORIDA, TO INDEMNIFY AND HOLD HARMLESS MONROE COUNTY IN ALL RESPECTS. "BE IT RESOLVED "BY THE "BOARD OF COUNTY COMMISSIONERS OF MONROE COUNTY, FLORIDA, as follows: That the Mayor and Chairman of the "Board of County Commis- sioners of Monroe County, Florida, to execute an Agreement by and between Stand Up America Parade Committee and Monroe County, Florida, a copy of same being attached hereto, to indemnify and hold harmless Monroe County in all respects. I j" , \..b;Ji~ . /~.~~~, , ;L I erk I ( APPROVED AS TO FOR",~/) AM 'L SUFFICIEN~ I BY 0:Z/~C?I.A_..., Attorney's Office AGREEMENT THIS AGREEMENT made by and between the STAND UP AMERICA PARADE COMMITTEE, hereinafter called part of the first part, and MONROE COUNTY, FLORIDA, hereinafter referred to as party of the second part, a political subdivision of the State of Florida, who enter into the following understanding and Agree- ment: WIT N E SSE T H : ---------- That for and in consideration of the various promises and covenants herein set forth, the parties do agree each with the other as follows: WHEREAS, the party of the first part desires to use a certain area located on the Marathon Airport, owned by the party of the second part, for a site for the Stand Up America Parade grandstand which will be conducted on February 9, 1985, and WHEREAS, the party of the first part does agree that if said permission is granted for the use of said property that the County shall be completely indemnified and held harmless in all respects for the use of said property, from the standpoint of personal liability and responsibility, and WHEREAS, the party of the second part desires to cooperate with the party of the first part in permitting the public to use this area with certain safeguards, and WlIEREAS, the party of the first part understands and realizes that an event such as is being planned herein can be of an immense public benefit, and also could add a great deal to the public image of the County, now, therefore, BE IT AGREED AND UNDERSTOOD by the parties as follows: 1. That the party of the first part does hereby agree that it will have issued a general liability policy wherein the party of the second part shall be shown thereon as a coinsured. That this policy shall be in a sum not less than $500,000.00 per claim and $3,000,000.00 for the total of all claims. It is understood that the premiums of this insurance shall be the sole responsibility of the party of the first part, it being understood that the party of the second part has no insurance that covers a special event of this sort. 2. That the party of the second part will stake off and set out, by markers & ropes or fencing, the area to be used for the grandstand on February 9, 1985. Further, the party of the first part does agree that it will enclose said area to where the public that is in attendance at this grandstand area will be prevented from going outside of said area. 3. That in addition to the setting out and marking the area where this grandstand will be located, the party of the first part does agree that it will provide adequate personnel to cordon said area, making sure said area is well policed and that the people who attend this grandstand area, and their pets, etc., are confined to the area designated for this event. All such plans shall be presented to the Marathon Airport Supervisor for his approval. 4. In addition to the above, the party of the first part does hereby agree to hold the party of the second part harmless for any claims of any sort made because of this event as des- cribed in paragraph 1 hereof. In addition to holding the party of the second part harmless as aforesaid, the party of the first part does hereby agree to indemnify the party of the second part in all respects based on any such claims or contentions, and agree to defend against any such claims, IN WITNESS WHEREOF, we hereby set our hands and seals on day of A.D. 1985.
