Resolution 065-1985 Louis LaTorre, Director Social Services Department RESOLUTION NO. 065 -1985 A RESOLUTION AUTHORIZING THE CHAIRMAN OF THE BOARD OF COUNTY COMMISSIONERS OF MONROE COUNTY, FLORIDA, TO EXECUTE AN AGREEMENT BY AND BETWEEN THE BOARD OF COUNTY COMMISSIONERS OF MONROE COUNTY, FLORIDA, AND ANITA SALLAS FOR THE PURPOSE OF PROVIDING NUTRITION CONSULTATION IN THE OLDER AMERICANS ACT, TITLE III-C, NUTRITION PROGRAM IN MONROE COUNTY. BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF MONROE COUNTY, FLORIDA, as follows: That the Mayor and Chairman of the Board of County Commis- sioners of Monroe County, Florida, is hereby authorized to execute an Agreement by and between the Board of County Commissioners of Monroe County, Florida, and Anita Sallas, a copy of same being attached hereto, for the purpose of providing nutrition consultation in the Older Americans Act, Title III-C, Nutrition Program in Monroe County. AGREEMENT THIS AGREEMENT, made and entered into this day of March, A.D. 1985, by and between the BOARD OF COUNTY COMMISSION- ERS OF MONROE COUNTY, FLORIDA, a body corporate and politic exis'ting under the laws of the State of Florida, hereinafter called the SPONSOR, and ANITA SALLAS, whose mailing address is Post Office Box 892, Marathon, Florida 33050, hereinafter called the CONTRACTOR. WITNESSETH WHEREAS, the SPONSOR desires to utilize the services of the CONTRACTOR for the purpose of providing nutrition consultation in the Older Americans Act, Title III-C, Nutrition Program in Monroe County and the CONTRACTOR is willing to provide said services upon the terms and conditions of this Agreement, NOW, THEREFORE, in consideration of the parties mutual covenants contained herein and for other good and valuable considerations, the parties agree as follows: I The CONTRACTOR hereby agrees to furnish consultation ser- vices in accordance with Attachment IIAII of this Agreement and to accept as full payment for such services the sum of $20.00 per hour. . II The SPONSOR agrees to reimburse the CONTRACTOR for consulta- tion services at the rate of $20.00 per hour, payment to be made to the CONTRACTOR no more than thirty (30) days after receipt by the SPONSOR of the CONTRACTOR'S claim. Claims for reimbursement shall be submitted in full and sufficient detail to allow for proper audit and shall be submitted within a reasonable period of time after the 10th of each month. III If additional services are requested of the CONTRACTOR by the SPONSOR, the parties shall mutually agree upon and enter into written contract for such additional services and for additional compensation, if any, to be paid to the CONTRACTOR. Agreement may not be modified orally. This IV The obligations of the SPONSOR under this Agreement are subject to the availability of funds lawfully appropriated for this purpose by Monroe County, Florida, and on the availability of funds through contract or grant programs. V The CONTRACTOR hereby agrees to indemnify Monroe County, its officers, agents, and employees, for any and all claims of any sort whatsoever that may arise from the CONTRACTOR'S performance under this Agreement. In this respect, the CONTRACTOR agrees to hold the County harmless and to assume any and all responsibility for any claims, damages, or liabilities of any sort whatsoever resulting from her activities pursuant to this agreement. The CONTRACTOR agrees to defend and to pay and all costs incurred in connection with such defense, including attorney's fees, costs of court, and all such expenses related to any such claims, damages, or liabilities, should the same occur. VI This Agreement shall continue in effect to and including the 31st day of December 1985, at which time the CONTRACTOR'S obligation hereunder shall cease, unless terminated sooner as ", provided for herein. This Agreement may be terminated by either party giving written notice to the other party of its intention so to do . thirty (30) days prior to said termination. ATTACHMENT !IN' Consultation Services Relative to Anita Sallas, R.D., providing nutrition consul- tation to the Nutrition program the following items are agreed to: The CONTRACTOR will: 1. review and modify as necessary monthly menus prepared by caterers which meet one-third the recommended dietary allow- ance for elderly adults and follow the State mandated menu pattern; 2. submit reviewed/modified menus to Nutrition Director at . least 45 days prior to utilization; 3. develop nutrition education packages monthly for presentation at each of five (5) congregate meal sites; 4. present nutrition education within at least two (2) congregate meal sites each month; 5. evaluate effects of nutrition education among partici- pants at least quarterly; 6. report to Nutrition Director results of nutrition education on a regular basis; 7. inspect food service preparation and service including portion and temperature controls at each congregate meal site at least twice yearly; 8. otherwise provide nutrition consultation as requested by the Nutrition Director; 9. provide no more than ninety-six (96) hours of service _ an average of eight (8) hours per month - during the contract period. 10. ! develop training packet for use by the nutrition site managers as presenters of nutrition education to the partici- pants. ~I'{J: s~"f~ D ~-b WILHELMINA G.
