A RESOLUTION OF THE BOARD OF COUNTY COMMIS-
SIONERS OF MONROE COUNTY, FLORIDA, APPROVING
AND AUTHORIZING EXECUTION OF A SUPPLEMENTAL
AGREEMENT FOR PROFESSIONAL SERVICES BY AND
BETWEEN THE MONROE COUNTY TOURIST DEVELOP-
MENT COUNCIL AND KEYS ADVERTISING & MARKET-
ING, INC.
BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF
MONROE COUNTY, FLORIDA, as follows:
That said Board hereby approves and authorizes execution of
a Supplemental Agreement for professional services by and between
the Monroe County Tourist Development Council and Keys Advertis-
ing & Marketing, Inc., a copy of same being attached hereto.
PASSED AND ADOPTED by the Board of County Commissioners of
Monroe County, Florida, at a regular meeting of said Board held
on the 15th day of November, A.D. 1985.

SUPPLEMENTAL AGREEMENT
THIS SUPPLEMENTAL AGREEMENT is entered into this
day

, A. D. 1985, by and between the Monroe
County Touris t Development Council, hereinafter, referred to as
the "TDC", and Keys Advertising and Marketing, Inc., a Florida
corporation, hereinafter referred to as "KAM".

WITNESSETH:
WHEREAS l the Monroe County Board of County Commissioners
authorized the County Mayor to enter into this supplemental
professional services agreement with Keys Advertising and Market-
ing, Inc., by Monroe County Resolution No. ____-1985. passed and
adopted on the day of
, A.D. 1985.
NOW, THEREFORE, for and in consideration of the mutual
covenants hereinafter contained, the parties agree as follows:
1. Keys Advertising and Marketing (KAM) agrees to provide
personnel to answer the toll-free (800) number at any time KAM is
open to serve the public.
2. KAM agrees that all requests for information received
through this toll-free (800) number will be responded to by
personnel.
3. KAM agrees to respond to any and all messages received
on the toll-free (800) number betwaen the hours of 9:00 A.M. and
5:00 P.M. Monday through Friday with the exception of County
holidays and left on the' answering machines, i. e., requests for

information made when KAM is not open to the public.
4. KAM agrees to process any and all requests and/or
inquiries within five (5) days of r~ceipt.
5. Tourist Development Council (TDC) agrees to reimburse
KAM for the total cost of the incoming service on this toll-free
(800) number and the total cost of the telephone answering
machines.
6. TDC agrees to reimburse KAM in an amount to cover the
cost of personnel.
7. TDC agrees to reimburse KAM for all postage costs
incurred by KAM in providing the ~esponses to requests generated
by the toll-free (800) service and various TDC media promotions.
8. TDC agrees to provide all advertising materials,
labels, and envelopes for effecting answers to all inquiries.
9. Contract amount: $4,030.00 per month, payable on the
first day of the month, to cover labor in an amount' equal. to
;' $40,800.00 annually and handling charge of $.18 on 42,000 pieces
of processed mail equal to $7",560.00 annually.
A. At such time 42,000 pieces of mail has been
processed, KAM will receive on a monthly basis additional reim-
bursement of any piece over 42,000 at the rate of $.18 per piece.
B. If at the conclusion of the fiscal year 42,000
pieces have not been mailed, KAM will issue a cr'edi t to the TDC
at the rate of $.18 per piece for every piece under 42,000.
10. In the event of the necessity for payment of storage
that is now provided by the Monroe County School Board at no
cost, all parties of this contract agree that costs will be borne
by TDC.
11. In the event there should be an incident or series of
incidents that would drastically affect tourism in Monroe County
or the ability of KAM to provide the professional services as
agreed to, both parties agree to review the scope of this con-
tract.
12. The term of this Supplemental Agreement shall be
concurrent with that certain Professional Services Agreement by
and between the Monroe County Tourist Development Council and
Keys Advertising & Marketing, Inc., to-wit: The term of this
Agreement is for a period of thirty-six (36) months commencing
April 17, 1985, and terminating April 16, 1988.
13. If at the direction of TDC KAM is requested to extend
the hours of manned operation, these hours will be billed at a
rate of $5:00 per hour per person employed.
IN WITNESS WHEREOF, the parties hereto have caused this
instrument to be executed in their names and seals impressed

herein, by their proper officials, in Monroe County, Florida, all
as of the day and year first above written.
