RESOLUTION NO. 3161982
RESOLUTION AUTHORIZING THE CHAIRMAN OF THE BOARD OF
COUNTY COMMISSIONERS OF MONROE COUNTY, FLORIDA, TO
EXECUTE AN AGREEMENT BY AND BETWEEN THE COUNTY OF
MONROE, STATE OF FLORIDA, AND IRWIN So MORSE, M.D.
BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF MONROE
COUNTY, FLORIDA, as follows:
That the Chairman of the Board of County Commissioners of
Monroe County, Florida, is hereby authorized to execute an Agree-
ment by and between the County of Monroe, State of Florida, and
Irwin So Morse, M.D., a copy of same being attaehed heretoo
Passed and adopted by the Board of County Commissioners of
Monroe County, Florida, at a regular meeting of said Board held
on the 13th day of Deeember, AoDo 19820

THIS LEASE, Made and entered into this
13th
day
of December
, A.D. 1982, by and between IRWIN S. MORSE, M.D.,
hereinafter called the LESSOR, which term shall include his legal
representatives, successors and assigns wherever the context so
requires or admits, party of the first part, and COUNTY OF MONROE,
STATE OF FLORIDA, a political subdivision of the State of Florida,
hereinafter called the LESSEE, which term shall include its legal
representatives, successors and assigns wherever the context so
requires or admits, party of the second part.
WITNESSETH, that the Lessor by these presents leases
unto the said Lessee the following described premises:
Suites 203, 204, and 205 in the TOWN SQUARE ~~LL,
11400 Overseas HIghway, U.S. 1, Marathon Shores, Florida 33052,
being approximately 1350 square feet on the second floor. Includes
air conditioning unit, carpet, acoustic ceiling, fluorescent
fixtures, and panelled walls. Any additional electric outlets
and partitions shall be installed at the expense of the Lessee.
TO HAVE AND TO HOLD the premises as aforesaid unto the
said Lessee from the first day of October, A.D. 1982, for a term
of two (2) years, said Lease being under the following terms and
conditions:
1. The Lessee shall pay unto the Lessor a total rental
of Twenty One Thousand Six Hundred and 00/100 Dollars ($21,600.00)
payable in twenty-four (24) monthly installments of Nine Hundred
Dollars ($900.00) each. The first of said monthly payments being
due on the 1st of October, 1982, and the last day of each and every
month thereafter during the term of this Lease or any extension
thereof.
2. It is further understood and agreed by and between
the Lessor and the Lessee that the Lessee will:
(a) Use the premises for the Monroe County Public
Defender's Office and related functions.
(b) Pay the rent herein reserved at the times and
in the manner stated therein.
(c) Make no improper, unlawful or offensive use of
said premises.
(d) Permit the Lessor or its agents to enter upon
the leased premises at all reasonable times for
the purpose of viewing and inspecting the condition
thereof.
(e) Not sublet this Lease, nor encumber the leased
premises in any manner whatsoever, without the
prior consent of the Lessor.
(f) At the expiration of the term of this Lease,
without demand, quietly and peaceably deliver up
full possession of said premises in as good a condition
as they are now, damage or destruction by fire and
the elements only excepted.
3. During the term of this Lease the Lessee shall take
out the necessary liability insurance to save and keep the Lessee
harmless against any and all liability resulting from injuries
to persons or property on or about the leased premises by reason
of Lessee's occupancy or use thereof.
4. The Lessee shall take out the necessary insurance to
cover any of the contents of the building placed therein by said
Lessee.
5. The Lessee shall have the right to make the necessary
. .
changes in the interior of the space leased ln order to be able to',
occupy the premises for the purpose for which it is being leased
and shall remove any partitions placed on the premises at the
termination of the lease.
6. The Lessor hereby covenants wi th the Lessee, that
upon the performance by the Lessee of the covenants and agreements
set forth, the Lessor will permit the Lessee to quietly hold and
enjoy the demised premises without any interruption by the Lessor,
or by any person or persons claiming by, through or under them.
7. The Lessor agrees to furnish and provide utilities,
including water and electricity, and garbage collections and
repair the premises as required.
8. The Lessee may cancel this agreement by giving the
Lessor one hundred twenty (120) days written notice of its
intention to cancel this Lease, and the Lessee at the termination
of this Lease shall have the option to extent this Lease for an
additional twenty-four (24) month period under the same terms and
conditions stated herein, except that the monthly rental fees
will be subject to renegotiation.

these presents to be executed in their respective names, all as of
