RESOLUTION NO. 235 -1983
RESOLUTION AUTHORIZING THE CHAIRMAN OF THE BOARD OF
COUNTY COMMISSIONERS OF MONROE COUNTY, FLORIDA, TO
EXECUTE AN AGREEMENT BY AND BETWEEN MONROE COUNTY,
FLORIDA, AND KEY WEST FISHING TOURNAMENT, INC.
BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF MONROE
COUNTY, FLORIDA, as follows:
That the Mayor and Chairman of the Board of County Carnmis-
sioners of Monroe County, Florida, is hereby authorized to
execute an agreement by and between Monroe County, Florida, and
Key West Fishing Tournament, Inc., a copy of same being attached
hereto, for the purpose of providing photocaptions of sport
fishing catches made in Key West for the purpose of promoting
tourism in Key West and Monroe County.
Passed and adopted by the Board of County Commissioners of
Monroe County, Florida, at a regular meeting of said Board held
on the 5th day of August, A.D. 1983.

AGREEMENT
An Agreement entered into on this ~ day of August
A.D. 1983, by and between MONROE COliNTY, a political subdivision
of the State of Florida, hereinafter referred to as "County" and
KEY WEST FISHING TOURNMfENT, INC., a Florida non-profit corporation,
hereinafter referred to as the "Photographer".
WIT N E SSE T H:
WHEREAS, the County, through" its Board of County Commissioners,
authorized and directed the County Mayor/Chairman of the Board to
enter into this professional services agreement with the Photographer
by Monroe County Resolution No.235 -1983, passed and adopted on the
5th day of August , A.D. 1983, now, therefore,
FOR AND IN CONSIDERATION of the mutual covenants hereinafter
contained, the parties agree as follows:
1. The term of this agreement is for a term of four months
commencing on September 1, 1983, and terminating on January 1, 1984.
2. Compensation shall be paid by the County to the Photographer
for photocaptions of sport fishing catches made here in Key West for
the purpose of sending them to the local hometown newspapers of the
tourist so involved.
3. The cost of this agreement shall be $12.00 per photo paid
to the Photo program for a four month period, averaglng twenty shots
per week.
4. The performance of all serVlces by the Photographer will
be in full cooperation with and under the direct supervis~on of
the Key West Tourist Development Council. When an approval is
required from the Key West Tourist Development Council, hereinafter
called "Council", said approval shall be in writing from the
Chairman, Vice-Chairman or designee. Whenever approval qf the
COUNTY is required pursuant to this agreement, the approval of
the County Mayor or his designee will be deemed sufficient.

5. Either party shall have the right to cancel this contract
at its sole discretion for any reason whatsoever, at any time upon
sixty (60) days prior written notice to the other party after an
initial three (3) month period.
6. This agreement shall be governed by and construed according
to the laws of the State of Florida, and all actions brought under or
pursuant to this agreement shall be brought in a court of competent
jurisdiction in Monroe County, Florida; provided, however, that the
parties may mutually agree in writing to arbitrate any dispute rising
under this agreement. There shall be no arbitration of any dispute
unless at the time of the dispute, both parties agree in writing to
be bound by the determination by the arbitrator(s).
7. This writing embodies the entire agreement and understanding
between the parties hereto, and there are no other agreements and
mderstandings, oral or written, with reference to the subject matter
hereof that are not merged herein and superseded hereby.
IN WITNESS WHEREOF, the parties hereto have caused this instrument
to be executed In their names and seals impressed herein, and Monroe
County, all as of the day and year first above written.
