BE IT RESOLVED BY THE BOARD OF GOVERNORS OF THE LOWER AND
MIDDLE KEYS FIRE AND AMBULANCE DISTRICT OF MONROE COUNTY,
FLORIDA, as follows:
Section 1. The Board hereby approves the awarding of a loan
in an amount not to exceed $910,000.00 from NationsBank of
Florida, N.A. at an interest rate of 3.93% per annum concerning
funding for fire equipment for the Lower and Middle Keys Fire and
Ambulance District.
Section 2. The Board hereby authorizes the Chairman to
execute a Promissory Note and Tax Anticipation Warrant concerning
said loan, a copy of same being attached hereto and made a part
hereof.
PASSED AND ADOPTED by the Board of Governors of the Lower
and Middle Keys Fire and Ambulance District of Monroe County,
Florida, at a regular meeting of said Board held on the 14th
day of April , A.D. 1993.

PROMISSORY NOTE
The undersigned, BOARD OF GOVERNORS OF THE LOWER AND MIDDLE
KEYS FIRE AND AMBULANCE DISTRICT OF MONROE COUNTY, FLORIDA,
hereby promises to pay to the order of NationsBank of Florida,
~, a banking corporation existing under the laws of the State
of Florida, with offices in Monroe County, Florida, at the
offices of the said NationsBank of Florida, N.A., the sum of Nine
Hundred Ten Thousand Dollars ($910,000.00), together with
interest thereon at the rate of 3.93% per annum in fiscal
year 1993-1994 (October 1, 1993 - September 30, 1994) from the
date hereof until fully paid as follows:
On or before September 30, 1993, an initial payment of
Three Hundred Thousand Dollars ($300,000) , with
interest thereon at the rate of 3.93% per annum; and on
or before the 30th day of March, 1994, the sum of Six
Hundred Ten Thousand Dollars ($610,000.00) with
interest thereon at the rate of 3.93% per annum.
This promissory note is secured by a Tax Anticipation
Warrant of even date herewith pledging taxes imposed and collect-
ed by the Board for fiscal year 1993-1994.
IN WITNESS WHEREOF the BOARD OF GOVERNORS OF THE LOWER AND
MIDDLE KEYS FIRE AND AMBULANCE DISTRICT OF MONROE COUNTY,

Chairman of said Board, attested to by its Clerk and delivered to

TAX ANTICIPATION WARRANT
KNOW ALL MEN BY THESE PRESENTS, that the BOARD OF GOVERNORS
OF THE LOWER AND MIDDLE KEYS FIRE AND AMBULANCE DISTRICT OF
MONROE COUNTY, FLORIDA, will pay NationsBank of Florida. N.A., a
banking corporation existing under the laws of the United States,
at its banking offices in Key West, Monroe County, Florida, the
sum of Nine Hundred Ten Thousand Dollars ($910,000.00) with
interest thereon from the date hereof until fully paid as
follows:
On or before the 30th day of September, 1993, an
initial payment of Three Hundred Thousand Dollars
($300,000), with interest thereon at the rate of 3.93%
per annum; and on or before the 30th day of March,
1994, the sum of Six Hundred Ten Thousand Dollars
($610,000.00) with interest thereon at the rate of
3.93% per annum.

Principal hereof and interest thereon will be paid in lawful
money of the United States of America from the first proceeds of
taxes when received, which will be levied by the County of
Monroe, State of Florida, on all taxable property in Lower and
Middle Keys Fire and Ambulance Taxing District in fiscal year
1993-1994 for use and benefit of Lower and Middle Keys Fire and
Ambulance District located in Monroe County, Florida.
This Warrant is issued in anticipation of said taxes so
levied for fiscal year 1993-1994 for the use and benefit of said
Lower and Middle Keys Fire and Ambulance District, for the amount
of principal and interest due in order to provide a fund for the
purpose of purchasing fire equipment for the Lower and Middle
Keys Fire and Ambulance District, and shall be paid solely from
said taxes when collected and not otherwise, which taxes are
hereby assigned and pledged to the payment of this Warrant.
IN WITNESS WHEREOF, the BOARD OF GOVERNORS OF THE LOWER AND
MIDDLE KEYS FIRE AND AMBULANCE DISTRICT OF MONROE COUNTY,
FLORIDA, has issued this Warrant and has caused same to be signed
by its Chairman and attested to by its Clerk as of the 14th day
