RESOLUTION NO. 204 -1993
A RESOLUTION AUTHORIZING THE MAYOR TO SIGN, ON BEHALF
OF MONROE COUNTY, A CONSENT TO THE ASSIGNMENT OF THE
MARCH 14, 1991 CONTRACT WITH ENVIRONMENTAL SCIENCES
CORPORATION TO BIO GRO SYSTEMS, INC.
BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF
MONROE COUNTY, FLORIDA:
Section 1.
The Mayor is hereby authorized, on behalf of
Monroe County, Florida, to sign and execute a consent to an
assignment of the septage, sludge and leachate removal and
disposal contract
of March
14, 1991,
as amended,
from
Environmental Sciences Corporation to Bio Gro Systems, Inc. This
consent is conditional upon the assumption by Bio Gro Systems,
Inc., of all the liabilities, obligations, and duties of
Environmental Sciences Corporation under the March 14, 1991,
contract as amended.

Dear Mr. Boldissar,
Environmental Sciences corporation is entering into an Agree.ent,
the ultimate result of which will be the acquistion of certain assets of
Environmental Sciences Corporation, including the above-referenced
contract, by Bio Gro Systems, Inc., a Maryland Corporation. By this
letter we are seeking your approval of the assignment of this contract
to Bio Gro, which they have agreed to honor. By its signature hereto,
Bio Gro is agreeing to fully honor all of the terms of the contract.
Bio Gro Systems, Inc., is one of the largest sludge management
companies in the nation and has an excellent reputation for service to
municipalities and industries across the country. It is owned by
Wheelabrator Technologies, Inc., a publicly traded corporation. with
Bio Gro, your sludge management program could not be in better hands. I
am also pleased to inform you that I am entering into a three-year
employment contract that will ensure my future involvement with the
combined companies.
I would appreciate it if you would sign this letter evidencing your
approval of this assignment. Needless to say, we are quite anxious to
move forward on this transaction and your approval is requested for
closing. If you wish, I can arrange to have a Bio Gro representative
call you to answer any questions you may have about the company. I am
also enclosing the company's brochure for your perusal. For your

listing of their insurance policies that will cover your contract after
closing.
