RESOLUTION NO. 71 -1979
A RESOLUTION AUTHORIZING THE CHAIRl1AN OF THE BOARD OF
COUNTY COMMISSIONERS OF MONROE COUNTY, FLORIDA, TO
EXECUTE AN AGREEMENT BY M~D BETWEEN THE BOARD OF
COUNTY COMW1ISSIONERS OF MONROE COUNTY, FLORIDA, AND
THE KEY WEST ART AND HISTORICAL SOCIETY.
BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF
MONROE COUNTY, FLORIDA, as follows:
That the Chairman of the Board of County Commissioners is
hereby authorized to execute an Agreement by and between the
Board of County Commissioners of Monroe County, Florida, and the
Key West Art and Historical Society, a copy of same being
attached hereto, pertaining to the grant the County received for
the stabilization of East Martello Towers from the State of
Florida, Division of Archives, History and Records Management,
Department of State.
Passed and adopted by the Board of County Commissioners of
Monroe County, Florida, at a regular meeting held on the 10th
day of April, 1979.

A G R E E MEN T
THIS AGREE}lliNT, made and entered into this
30th
day
of March, 1979, by and between the BOARD OF COUNTY COMMISSIONERS
OF MONROE COUNTY, FLORIDA, a political subdivision of the State
of Florida, hereinafter referred to as "County", and the KEY WEST
ART AND HISTORICAL SOCIETY, of the County of Honroe, State of
Florida, and located at South Roosevelt Boulevard, Key West,
Florida, hereinafter referred to as "Contractor",
WIT N E SSE T H:
WHEREAS, the County has received a grant for the stabiliza-
tion of East Martello Towers from the State of Florida, Division
of Archives, History and Records Management, Department of State,
a C0Py of which Agreement is attached hereto and made a part
hereof, and

WHEREAS, the Contractor is responsible for the general over-
all control and operation of the East Martello Towers, and has
the ability to have the work set forth in the attached Agreement
completed, now, therefore,
IN CONSIDERATION of the mutual covenants, promises, and
premises contained herein, the parties agree as follows:
1. That the Contractor shall perform all the work as
set forth in the Agreement attached hereto, marked Exhibit "A",
and shall comply with all of the policies and procedures for
historic preservation grants and aids which .is marked as Exhibit
"B" and which is attached hereto and made a part hereof.
2. The County agrees to pay to the Contractor a total
amount not to exceed Forty Thousand Dollars ($40,000.00).
3. In further consideration of said financial remuneration,
the Contractor agrees to provide a clear financial audit trail
to allow for full accountability of funds received from the County.
Certified monthly financial and service load reports will be made
available to the County to validate the delivery of services

under this contract. The monthly financial report is due in
the office of the Clerk of the Board of County Commissioners of
Monroe County, Florida, no later than the 15th day of the fol-
lowing month. After the Clerk of the Board pre-audits the certified
report, the County will reimburse said Contractor for its monthly
expenses. However, the total of said monthly payments in the
aggregate sum shall not exceed the total amount of $40,000.00 during
the term of this Agreement.
4. The Contractor agrees that the work shall be commenced
on or before March 30, 1979, and shall be completed no later
than eighteen (18) months from the date of this Agreement.
5. The Contractor agrees to comply with all Federal and
State regulations concerning hiring of personnel 'and the Federal
Wage and Hour Law.
6. It is mutually agreed and understood by and between
\ the County and the Contractor that the County shall have the

right to cancel this contract at any time prior to the completion
of the work contemplated hereunder in the event the County does
not have sufficient funds to complete the work hereunder or the
work is not progressing in a satisfactory manner to the County.
7. The attached Grant Award Agreement, including Project
Plans and specifications, form the part of this contract as though
they were fully set forth herein.
IN WITNESS WHEREOF, the parties hereto have executed this
Agreement the day and year first written above.
