Resolution 134-1979RESOLUTION NO. 134-1979 A RESOLUTION AUTHORIZING THE CHAIRMAN TO EXECUTE A JOINT PURCHASING AGREEMENT BETWEEN THE BOARD OF COMMISSIONERS OF MONROE COUNTY, FLORIDA, AND THE BOARD OF COMIMISSIONERS OF THE MONROE COUNTY SCHOOL BOARD FOR THE PURCHASE OF FOOD STUFFS AND OTHER COMMODITIES. BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF MONROE COUNTY, FLORIDA: That the Chairman is hereby authorized to execute a joint purchase agreement between the Board of County Com- missioners of Monroe County, Florida, and the Board of Com- missioners of the Monroe County School Board for the purchase of food stuffs and other commodities. BY Attorney's Office App-OVER o� 1 BOOK - ` " _ _"PAGE 5z JOINT PURCHASING AGREEMENT THIS AGREEMENT made this 5 day of June , by and between THE BOARD,OF COMMISSIONERS OF MONROE COUNTY, FLORIDA, and THE DISTRICT-SCHOOL,BOARD OF MONROE COUNTY, FLORIDA, W I T N E S S E T H: 1. Pursuant to Special Act 78-86 , the parties hereby agree to enter into this Joint Purchasing Agreement. 2-. Monroe County agrees t.o purchase from the vendors currently used by the School Board food stuffs and other commodities under the same contract currently used by the School Board. 3. Monroe County agrees that it will provide to the Purchasing Department of the School Board orders for such food stuffs and other such commodities with whatsoever notice is required by the Purchasing Department of the School Board, and the School Board agrees that its Purchasing Department will place such orders with its regular orders. 4. The School Board agrees that it will encourage its vendors to deliver such food stuffs and other commodities to Monroe County, as said vendors currently deliver to Florida Keys Community College. In the event that any of said vendors refuse to so deliver directly to Monroe County, then it shall be the responsibility of said Monroe County to pick up said food stuffs and commodities. 5. Monroe County agrees to render full and prompt payment for each month's orders to the School Board on or before the final day of each calendar month. Payment to include 20% handling charge. In the event that Monroe County does not render such payment timely, then the School Board shall have the option of not placing any further orders until any such delinquency is paid. 15-3 f f VV 6. Monroe County agrees to indemnify and hold harmless the School Board against any claims whatsoever and of any nature arising out of the providing of said food stuffs and other commodities by the School Board to Monroe County and will provide liability insurance for such program. 7. The parties hereby agree that this Agreement shall take effect upon the signing and shall continue in full force and effect for one (1) year from the date of said signing, unless cancelled by the parties as otherwise provided herein. The parties further agree that said Agreement shall be renewable upon agreement by both parties for such other periods as they may agree upon. 8. Either party to this Agreement may cancel this Agreement at any time upon the provision of written notice to the other party, provided that said written notice shall be given at least 60 days prior to the time of said intended cancellation. 9. The parties hereby agree that if any clause or provision of this Agreement be found unenforceable or otherwise rendered void by any court of law, then said provision shall be deemed severable and the remaining portions of this Agreement shall continue in full force and.effect.
