A RESOLUTION AUTHORIZING THE MAYOR AND CHAIRMAN
OF THE BOARD OF COUNTY COMMISSIONERS OF MONROE
COUNTY, FLORIDA, TO EXECUTE AN AGREEMENT BY AND
BETIiEEN THE BOARD OF COUNTY COMMISSIONERS OF
MONROE COUNTY, FLORIDA, AND THE GUIDANCE CLINIC
OF THE UPPER KEYS, MONROE COUNTY, FLORIDA.
BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF
MONROE COUNTY, FLORIDA, as follows:
That the Mayor and Chairman be authorized to execute an
Agreement by and between the Board of County Commissioners of
Monroe County, Florida, and the Guidance Clinic of the Upper Keys,
a copy of same being attached hereto, for the rendering of mental
health services to the citizens of the Upper Keys, Monroe County,
Florida.
Passed and adopted by the Board of County Commissioners
of Monroe County, Florida, at a regular meeting held on the 14th
day of November, 1978.

A G R E E MEN T
WHEREAS, the BOARD OF COUNTY COl~IISSIONERS OF MONROE
COUNTY, FLORIDA, and the GUIDANCE CLINIC OF THE UPPER KEYS desire
to enter into an agreement wherein the BOARD OF COUNTY COMMISSION-
ERS OF MONROE COUNTY, FLORIDA, contracts for services for said
Clinic for rendering of mental health services to the citizens of
the Upper Keys, Monroe County, Florida, and
HHEREAS, the BOARD OF COUNTY COMMISSIONERS OF MONROE
COUNTY, FLORIDA, is vested and charged with certain duties and
responsibilities relating to the mental health and guidance of the
citizens of Monroe County, and
\'lliEREAS, such services have been invaluable to the citizens
of the Upper Keys, Monroe County, Florida, and
\VHEREAS, it is proper and fitting to enter into an agree-
ment for services to be rendered in the forthcoming year, 1978-
79; now, therefore,
THIS AGREEMENT, Made between the BOARD OF COUNTY COl'1HIS-
SIONERS OF }10NROE COUNTY, FLORIDA, and the GUIDANCE CLINIC OF THE
UPPER KEYS, each in consideration of the premises, agree as fol-
lows:
The said BOARD OF COUNTY COMMISSIONERS OF MONROE COUNTY,
FLORIDA, in consideration of said GUIDANCE CLINIC OF THE UPPER
KEYS, substantially and satisfactorily performing and carrying out
part of the duties and obligations of this Board as to rendering
counsel to the citizens of the Upper Keys, Monroe County, Florida,
in matters of mental health and guidance, agrees to pay to the
said GUIDANCE CLINIC OF THE UPPER KEYS the sum of Twenty-three
Thousand Three Hundred Ten Dollars ($23,310.00) for the payment
of salaries and other direct expenses incurred in the rendition
of such services. This figure will be paid monthly commencing
October 1, 1978, and terminating September 30, 1979, as hereinafter
set forth.
And the said GUIDANCE CLINIC OF THE UPPER KEYS, for the
consideration named, covenants and agrees with the BOARD OF

COUNTY COMMISSIONERS OF MONROE COUNTY, FLORIDA, to substantially
and satisfactorily perform and carry out part of the duties of
the said Board in rendering counsel in the matters of mental
health and guidance to the citizens of the Upper Keys, Monroe
County, Florida.
In further consideration of said financial remuneration,
the said GUIDANCE CLINIC OF THE UPPER KEYS agrees to provide a
clear financial audit trail to allow for full accountability of
funds received from said Board. Certified monthly financial and
service load reports will be made available to the BOARD OF COUNTY
COMMISSIONERS OF MONROE COUNTY, FLORIDA, to validate the delivery
of services under this contract. The monthly financial report is
due in the office of the Clerk of the BOARD OF COUNTY COMMISSIONERS
OF MONROE COUNTY, FLORIDA, no later than the 15th day of the
following month. After the Clerk of the Board pre-audits the cer-
tified report, the Board will reimburse said Guidance Clinic for
its monthly expenses. However, the total of said monthly payments
in the aggregate sum shall not exceed the total amount of
$23,310.00 during the term of this contract.
IN WITNESS WHEREOF, the BOARD OF COUNTY COMMISSIONERS OF
MONROE COUNTY, FLORIDA, has caused these presents to be signed
in its name by its Chairman, Board of County Commissioners, and
the Clerk of the Board of County Commissioners, and the GUIDANCE
CLINIC OF THE UPPER KEYS has caused these presents to be signed
in its name by its Clinic Director and President of the Board,
all as of the
