Reference is made to your memorandum dated 8/20/91 concerning
award of bid to Toppino's for Site Grading & Caissons on the New
Detention Center.
You are correct that the BOCC awarded the contract in the amount
of $1,292,526.25; however, the BOCC accepted Alternate No. 5-02
and Alternate No. 5-03, which effectively reduce the 'contract
amount' to $1,261,096.25.
Attached is a copy of page 3 and 4 of Toppino's contract, which
shows the base bid and the alternates accepted.
Should this not be your understanding of the contract amount,
please contact us at your earliest chance. If it is your
understanding, then this letter will serve as a confirmation of
our records.

Dear Mr. Brown:
Please find enclosed for your review the comparison of Toppino's,
Inc. bid on Bid Package No.5, site Grading & Caissons, under Bid
Group 1 of the New Detention Center.
Our analysis of their bid indicates a variation in the calculated
quantity of imported material. The Contractor has indicated 2500
cubic yards of material is included in his bid. The Morrison-
Knudsen/Gerrits estimate calculated between 9000 cubic yards and
14,000 cubic yards of imported material would be required to
bring existing grade elevations to the design grade elevations.
The variation in the calculated quantity was discussed in detail
during the Bid Clarification Meeting. Subsequently, the
Contractor's Representatives indicated their comfort with their
calculated bid quantity.
The difference between the Contractor's bid and the Morrison-
Knudsen/Gerrits estimate amounts to $251,634.75 and should be
held as contingency.
Pursuant to the Board of County Commissioners actions in their
regularly scheduled 7/17/91 meeting, the contract sum for
Toppino's contract is determined as follows, (Reference attached

Regarding the fill deficiency on the above referenced project in the approximate
amount of 5600 cu yds, our position in ths matter is as follows:
1. The bid document Section 00135, Schedule of Unit Prices, Item #5
has a $21.14 cu yd compacted in-place fill price for off site
material.
2. There is also a $6.00 cu yd for disposing of unsuitable materials.
Item II 7.
We find NOWHERE in the plans or specifications where the Contractor is
responsible for any deficiencies EXCEPT for top soil needed in the grass
area. Here the Contractor will furnish any deficiency of top soil not
obtained from the job site at no additional cost to Owner; Section 00215,
Finish Grading, 2.1.
We took the position when bidding this job since NO MENTION was made that
the Contractor would furnish fill at no additional cost to Owner if a
defiCiency in fill occurred. We therefore feel the additional fill
quantity needed will be borne by the Owner at the rate of $21.14 per cu yd,
compacted cross section measurement.
We did, however, in the spirit of' not impeding the progress of the project,
allow Morrison, Knudsen/Gerrits - Monroe County to furnish 2751.52 tons of
fill (should have been 3576.84 tons) so that areas A, C, and D would be ready
for other subcontractors, crafts/trades to proceed.

II. Had the Architect inserted in Section 02215-1, 3.1 Grading, B-2 after
the words from legal offsite source "AT NO COST TO OWNER" , and NOT
included in Section 00135, Schedule of Unit Prices, "The following
unit prices shall govern, where applicable for additions or deductions
from the requirements of this contract", Item #5 Suitable Crushed Lime-
rock, incl. delivery, spreading and compacting, there would have been
no misunderstanding.
III. We further feel that under Article 4.2.1, the Contractor shall not be
liable for damages resulting from any errors, inconsistencies, or
omissions in the contract documents.
IV. Under Article 2.3.13, we question if the Architect in the capacity of
interpreter and judge endeavored to render an impartial decision in
this matter.
V. Again, we take the position as stated in our letter of October 17, 1991
(enclosed), the additional cost of fill will be borne by the Owner at
the rate of $21.14 per cu yd (Section 00135, Schedule of Unit Prices,
Item #5).
Should you not reconsider your previous decision stated in your letter dated
October 21, 1991, may we suggest the possibility of our attorney meeting
with Monroe County's attorney, Mr. Randy Ludacer, for a reasonable solution
to this problem without the necessity of Article 7.1.1.
We will be available to discuss this matter further at any convenient time
to you or your representatives. .

NEW DETENTION FACILITY
Dear Mr. Fuller:
As you know, we have on numerous occasions discussed the issue of embankment
material on this project, and our position regarding the issue. Please
allow me to summarize our position.
WE DO NOT FIND IN THE CONTRACT WHERE THE BURDEN OF PROVIDING
TIm- OWNER. WITH EMBANKMENT MATERIAL SHOULD BE THE RESPONSIBILITY
OF THE CONTRACTOR. YOUR CONTRACT DOCUMENTS ARE QUITE EXPLICIT
IN WHERE SUCH BURDENS ARE EXPECTED TO BE BORNE BY THE CONTRACTOR,
BUT THIS IS NOT THE CASE WITH REGARDS TO EMBANKMENT MATERIAL.
WE FURTHER CONTEND THAT THE AREA HAS'SUBSIDED OR SETTLED THROUGH
OUR HERCULEAN EFFORT TO ACHIEVE THE REQUIRED DENSITY OF 90-98%
(DEPENDING ON THE AREA) TO SAVE THE OWNER APPROXIMATELY $650,000
TO EXCAVATE UNSUITABLE MATERIALS AND REPLACE WITH FILL FROM AN
OUTSIDE SOURCE AS INDICATED IN THE SPECIFICATIONS. THIS SUBSIDENCE
HAS PROVEN TO BE APPROXIMATELY 4" OR 6,233 CUBIC YARDS. UNLESS
YOUR OFFICE CAN CLEARLy SHOW US WHERE WE ARE OBLIGATED UNDER THIS
CONTRACT, WE EXPECT YOUR OFFICE TO FORWARD TO US A CHANGE ORDER
REFLECTING AN ADDITIONAL 6,233 CUBIC YARDS OF EMBANKMENT MATERIAL
AT THE CONTRACT UNIT PRICE OF $21.14 PER CUBIC YARD.
Since the project is at a point where we are not anticipating to perform

We fully intend to complete all of our obligations under this contract,

I am in receipt of a change order to the County's contract
with Toppino's, Inc., Contract KJ-001, Site Grading &
Caissons, at the New Detention Facility Site. This change
order is in the amount of $31,458.24 and has been approved
by you for legal sufficiency. This change order has been
presented to us for execution; however, our examination
indicates that it has not been executed by Hansen Lind
Meyer/Gonzalez Architects, the architect for the project.
Furthermore, attached to the change order is a letter dated
January 30, 1992 from Richard D. Ray of Hansen Lind Meyer
Inc. to Doug Fuller of Morrison-Knudsen/Gerrits in which Mr.
Ray advises Mr. Fuller that they are returning the change
order unsigned by the architect for reasons stated in the
letter. I am particularly disturbed by the comment in
Paragraph 2 of that letter which indicates that they will
not approve payments to the contractor for the work incor-
porated in the change order because they consider it to be
part of the original obligation. ~
I am also in receipt of Pay Request No.7 from Toppino's,
Inc. concerning this ?roject which includes a billing for
the amount of the change order. I am including herewith a
copy of the pay request and the attached approvals by staff.
I direct your attention to the fact Mr. Ray of Hansen Lind
Meyer/Gonzalez did execute the pay request.

I am asking that your office provide me with an opinion as
to the position of the County as it relates to the state-
ments and actions of the architect and the general con-
ditions of the contract with both Toppino's, Inc. and Hansen
Lind Meyer/Gonzalez concTrning this project.
We have processed the pay request referred to above,
excluding the amount of the change order, pending a resolu-
tion of this matter and I have so advised the contractor.

Toppino's Inc. in the amount of $ 31,458.24, for re-bar claim resolutions as
agreed to by the County Claims Review Board.
Due to the fact that the "Architect" was not a party to this process, nor
were the documentated positions of the '.'Architect" expressed in documentation
provided to you, included in the presentation to this "Board of Review",
we cannot in good conscience become a party to the resolution of the issue
and approve payment to this contractor for work,material,labor, the "Architect"
deems to be a part of his contract obligation, as depicted on the Contract
Documents.
Therefore we are returning this "Olange Order" to you un-signed by th~
"Architect". I am sure you can ~nderstand and appreciate the Architects
position of this matter.

Attached hereto is a statement from Rosalie Connolly, my
Deputy Clerk, concerning the circumstances surrounding the
change order to the County's contract with Toppino's, Inc.,
Contract KJ-001, Site Grading & Caissons, at the New
Detention Facility Site, referred to in my previous memoran-
dum dated February 26th.
Also attached is a copy of a letter which was delivered to
me today by the staff of Morrison-Knudsen/Gerrits dated
February 28, 1992 from Mr. Ray which indicates that his exe-
cution of the change order was under protest and which con-
tains other comments concerning this matter.
Frankly, Randy, I am not sure just exactly what this letter
says or intends to say. When Mr. Ray writes as follows:
"Be further advised that the 'Arch-
itects' signature under protest is
only for the payment of work we feel
to be covered by the contract docu-
ments."
I have no idea what he means. I frankly am getting tired of
being caught in the cross-fire that currently exists between
the contractor, Morrison-Knudsen, and the architect of
record. This problem is further compounded by the fact that
this change order was presented to the Board for their
approval with no comments that I can remember about the fact
that the project's architect disagreed with its contents.

The County acted accordingly, approved the change order, the
contractor relied upon that act, has done the work, and now
expects to be paid. All of the documents have found their
way to my office and the burden of trying to make some sense
out of this has fallen to me.
By this letter, I am requesting that you provide me with
your opinion as to what the position of the County is rela-
tive to these conflicting claims and assertions by the prin-
cipals that are under contract to manage this project for
the County.

In mid-afternoon on Thursday, February 27th, I received a
phone call from Beth Leto at the County Attorney's office
advising me that she had received a call from M/K telling
her that the architect was in town and was now agreeing to
sign the Toppino change order. After speaking to you, I
called Doug Fuller at M/K at approximately 3:45 p.m. and
told him that I would be in the office until 5:00 and the
architect could come in to sign the change order. At
a?proximately 4:30, Pat Jennings came into the office. He
told me he was here to pick up the change order and take it
back to M/K. I told him that this was not what I had been
told by Doug Fuller and that under no circumstances would I
release the document to him that was now in the Clerk's
hands and therefore was my responsibility. I asked him what
the problem was. He advised me that the architect, Mr. Ray,
was outside in the car and would sign the change order but
there was a slight problem and Mr. Ray wanted to attach a
letter to the change order. I told him that Mr. Ray could
come into the office to sign the change order and give me
the letter he wished to attach. After further discussion
and Mr. Jennings finally being convinced that I would not
release the change order to him, he left. He returned with
Mr. Ray, the architect. Mr. Ray informed me that he was
signing the change order "under protest". I told him that
if that was the case, that perhaps he shouldn't sign it at
all. He asked my name, wrote it down and said that he would
be sending a letter about his signing "under protest" and
that he wanted me to promise him that this change order
would not leave my hands for further processing until such
letter was received and attached to the change order. Pat
Jennings asked that he FAX such a letter first thing in the
morning. Mr. Ray refused and said that an "original" letter
must accompany the original change order and that he would
probably be sending it overnight mail. Once again, he asked
me to assure him that I would hold onto the change order
until his letter was received and attached thereto. Again I
told him that perhaps he didn't want to sign the change
order but he advised me that his letter really would not set
out fault with the contractor because the work is in place
but would set out mostly discontent with the "process".

I am writing in regards to the Change Order prepared for the "Toppin6.~~"
Contract, KJ-001-003, in the amount of $ 31,458.24.
HLMIGonzalez Architects for the New Monroe County Detention Facility were
advised that the <Mner/Program Manager/Construction Manager, had engaged
in, and agreed to a settlement agreement with "Toppino's Inc. It regarding
additional t:e-ba.r for the "Caisson Work". This settlement apparently
took place sometLme prior to January 22, 1992.
The Architect had rendered a decision to the Owner/Program Manager, in that
the Arch! teet concluded that the work in dispute was indeed covered by the
Docunents for Cllnstl:'UCtion issued to the Program Manager/Owner, and that no
additional monies should be allowed for this work. Therefore the "Architects
Signature II authorizing payment under the terms of the contract and the
Agreement is rendered under protest.
Be further advised that the "Architects" signature tmder protest is only
for the payment of work we feel to be covered by the contract doc\.J'llents._
The actual work as provided is ,consistant with the design intent of the
contract docunents, and maintains the integrity of the finished product.

As you know, my concern is bottomed on the fact that
our contract with the architect requires their approval of change
orders, and we do not want to get into any questions of
constructive waiver of their liability by processing these things
automatically. To do that, it is absolutely necessary that they
- participate in the evaluation of' change orders or that they
evaluate the change order first. We look to you to protect the
County's interest in this matter since you are the control point
in the construction. I would appreciate having your written
response to these inquiries as soon as possible.

Dear Mr. Ludacer:
We are in receipt of your memorandum, dated March 4, 1992,
concerning recent correspondence from the Clerk's office relative
to the processing of a change order to Toppino's Inc. The change
order in question, as you are aware, is for settlement of the
Caisson Dowel Dispute in accordance with direction from the Dispute
Review Board.
As there has been much discussion and correspondence concerning the
handling of this issue, we would like to take this opportunity to
provide the background information required to fully understand the
process.
Attached, you will find a flow chart that identifies the process
by which an issue is resolved during construction. With the
exception of the decision matrix below and including "Dispute
Review Board Reviews Issue", the process is consistent with the
General Conditions of the trade contracts. The Dispute Review
Board was established to review issues that had exhausted remedies
of the contract and whose next step was litigation to determine if
they could be settled without the cost of litigation.
The subject dowel issue followed the path indicated by the accented
line. As shown, the Architect reviewed the issue initially when
interpreting the detail in question, and then later provided a
formal determination on whether or not the Architects
interpretation of the detail had affected the Contractor's cost.
As documented in correspondence to this office, the Architect
determined that the Contractor's request for a change order was
without merit. This position was included in the information
packet provided to each member of the Dispute Review Board.

Subsequently, the contractor decided to proceed to seek
compensation through litigation. We instead suggested the issue
be reviewed by the newly formed Dispute Review Board (ORB)
The ORB reviewed the issue on January 17, 1992, and unanimously
voted to negotiate with the Contractor. At the meeting, the desire
to present the change order to the BOCC at the meeting scheduled
for January 29, 1992 was discussed.
The dispute was negotiated with the Contractor and the appropriat~
change order documentation was prepared for execution. O~
Wednesday, January 22, 1992, the change order was presented to the
Architect for signature. The Architect was informed that the
Dispute Review Board had reviewed the issue and had decided to
settle with the Contractor as opposed to litigation. The
Architect's representative indicated that he did not want to sign
the change order immediately but wanted to first discuss the issue
with other members of HLM's staff.
To maintain the intended schedule of presentation to the BOCC in
the January 29th meeting, the change order documentation was routed
for staff review and placed on the agenda via the January 23rd Add-
On Agenda. When the item was called at the BOCC Meeting on January@
29th, Commissioner Jones addressed the issue and motioned for,A\,
approval of the item. The Commission approved the item and little
other discussion was held.
On February 3, 1992, we received the attached Architect's letter,
dated January 30, 1992, in which the Architect explains that he
would not sign the change order. We responded to the Architect's
letter via our letter, Serial No. KJ-OHLM-213 dated February 10,
1992, also attached. Our response to the Architect was also sent
to the County Administrator and to yourself to aprise the County
of the situation.
On February 13, 1992, in a meeting on a different subject, the fact
that the Architect had refused to sign the change order was
discussed with the Clerk. The Clerk immediately requested a
meeting with you and we all three met to discuss the issue. At the
end of the meeting, I stated that I would talk to the Architect to
explain what effect his actions had on payment to the Contractor
and ask him to reconsider his approach. The appropriate
conversation was held with the Architect immediately following the
meeting.
Subsequently, we were informed by the Contractor that they had been
notified that the amount of their payment application was going to
be reduced by the amount of the change order in question. By
coincidence, the Architect's representative was in town that day

for a site visit so we informed him of the situation and requested
his assistance in resolving the problem.
He stated that he would sign the change order, however he wanted
to attach a letter to explain the Architect's position. To
expedite the resolution, we asked if he would accompany us to the
Clerk's office to sign the change order so that we would not have
to wait for the mail time sending the documents back and forth
between our respective offices.
In the ride to the Clerk's office, Mr. Pat Jennings of my office
agreed with the Architect to hold the change order after they were
signed until the letter was sent to MK/G's office for attachment.
What happened at the Clerks office is in general compliance with
the memo from Rosalie Connolly which was attached to Mr. Kolhage's
memo to you dated February 28, 1992.
with the above understanding of all circumstances and events
surrounding the dowel issue, we hope we have addressed your primary
concern which appears to be that the Architect is not part of the
change order process. As indicated, the Architect was an integral
part of the process and changes to the design and work in the field
do not occur without the Architect and Owner's approval and
direction.
The difference in this case is that the change order in question
resulted in the settlement of a claim from the contractor which in
turn resulted from direction from the Architect which the
Contractor felt was in conflict with the drawings and
specifications which represented his bid. In these cases, the
contract requires the Contractor to proceed with the direction of
the Architect and seek compensation through the claims clauses of
the contract. This procedure was followed, however the Architect
did not want to approve the settlement change order for reasons
only he can provide.
Concerning the other questions of your letter, we offer the
following comments:

The Architect had stated previously and reiterates in his
February 28, 1992, letter that:
"The actual work as provided is consistent with the
design intent of the contract documents, and
maintains the integrity of the finished product."

His stated concern is for payment of the work which he
feels was covered by the contract documents, hence the
basis of the dispute.
We are unsure what we could do independent of the County
to address the Architect's concerns.
2. Has the architect indicated he is clearing the change
orders and is not seeking any waiver of architect
responsibility from the subject work because of the
change orders made without his prior approval?
As previously indicated, change orders are not issued
without the Architect's direction and approval except in
issues of Dispute between the AlE and Contractor. This
issue is for settlement of a claim for work accomplished
in accordance with the Architect's interpretation of his
documents.
The Architect has signed the change order, however he has
also attached a letter which generally states that he is
signing the change order under protest. Our
interpretation of his actions that he does not wish to
be held liable for the payment.
3. Have they indicated this clearance on the vouchers in
order that the subcontractor can be paid?
The Architect has signed the contractors payment
application which included payment to the contractor for
the change order in question.
... Have you arranged to have the Architect present at future
meetings of the committee which receives and considers
change order requests?
As a clarification, the Dispute Review Board only reviews
claims. Whereas change orders may result from direction
of the ORB, change orders in general follow a different
path in the procedure and are not reviewed by the ORB
(see attached process flow chart).
Per your direction, we will notify the Architect of all
upcoming meetings of the ORB, however as you may recall
the Board of County Commissioners established the members
of the ORB and if the intent is to make the Architect a
permanent member then the BOCC should probably readdress
the membership. Please also keep in mind that the

Architect may request an Add-Service to his contract to
participate in the claims resolution process.

Morrison-Knudsen/Gerrits is in receipt of your letter, dated
January 30, 1992, concerning actions of the County's Dispute Review
Board (ORB) relative to a claim from the sitework Contractor for
interpretation of the caisson dowel detail.
Whereas we understand your position for not signing the subject
change order, we are concerned with your statement that the
Architects documented position was not presented to the ORB.
Attached you will find the information packet provided to the DRB.
As indicated, the Architects documented position is included. To
our knowledge, the packet represents all of the pertinent
information relative to the issue. If you feel there is additional
information available which would provide new knowledge and would
have a bearing on the ORB's decision, we would be happy to forward
that information to the ORB members.
Another statement which requires revisiting is the statement that
the Architect was not party to the claim process. Perhaps you were
unaware of the issue because you were just recently assigned to
this project, however formal interpretation was requested and
rendered by HLM. HLM' s interpretation was that the claim was
without merit. The next process for resolution of the contractor's
claim in accordance with the contract documents is litigation.
The Dispute Review Board was established by the Board of County
Commissioners for the purpose of reviewing disputes that had
exhausted the remedies of the contract for resolution. By this
action, the County desired to retain the option to settle with the
contractor and avoid litigation. In our opinion, this is an

Bid Package #5 was advertised to bid on June 10, 1991 as a
portion of Bid Group #1. The detail for the caisson/column
reinforcing steel which was initially distributed with the
bidding documents is shown as Attachment A. This detail appeared
on drawing sheet 3.30.
During the bidding, the Architect modified the caisson/column
reinforcing detail on sheet 3.30. The. modified detail is shown
as Attachment B. The modified detail was distributed to the
bidders with Addendum 1 on June 3, 1991 with a sheet revision
date of May 31, 1991.
Prior to the bid date, the contractor asked for clarification of
the subject detail. Specifically he asked how to interpret the
lengths of the epoxy coated dowels. Unfortunately, the question
could not be answered without extending the bid date. (Note: All
questions must be answered by addendum in order for all bidders
to have equal benefit of the answer. Also, the "Instruction to
Bidders" state that no addendum will be issued within four days
of the Bid Date which does not include an extension of the bid
da te . )
Bids were received as scheduled and the contract was awarded to
Toppino's Inc. smith Drilling, the contractor who asked the
question prior to the bid date, was the lowest bidder to the
Toppino's for the caisson work and they subsequently entered into
a subcontract for the work.
Prior to the start of work, Smith Drilling thru the Toppino's,
requested clarification of the detail. The request was forwarded
to the Architect and the Architect responded with his
interpretation (See Attachment C). The Architect's response was
subsequently forwarded to the Toppino's.
The Toppino's notified MK/G in their letter of October 9, 1991
(Attachment D) that, in their opinion, the Architect's response
to the DCR had constituted a constructive change and requested an
equitable adjustment to their contract.
At this point there were some verbal discussions between MK/G and
the Architect and MK/G and the Contractor concerning the problem
and it was determined that the next appropriate step was for the
contractor to request a formal interpretation of the Contractors
request from the Architect in accordance with the contract
documents. This was accomplished via a letter from Smith
Drilling on October 9, 1991 (Attachment E).
On October 10, 1991, Smith Drilling also supplied a letter from
their rebar supplier that delineated the basis of their bid. (See
Attachment F).
On October 14, 1991, the Contractors request including supporting

documentation was forwarded to the Architect for his formal
interpretation. (Attachment G)
The Architect's interpretation was provided in his letter dated
October 25, 1991 (Attachment H). The Architect confirmed the
lengths as previously provided in the DCR response and states
that "no other interpretation of the detail can be made".
During this process, on October 3, 1991, the Architect revised
the dowel detail on sheet 3.30 (see Attachment I) to incorporate
category 5 windloading criteria. This change affected the
quantity, size, and length of the dowels for each caisson.
The contractor requested, in their letter dated November 12, 1991
(Attachment J) a change order in the amount of $36,160.88 as
compensation for all of the issues.

applicable regarding the procedures followed and/or
determinations reached during the dispute process are as follows:

Article 12.3.1
The Architect will be the interpreter of the
requirements of the Contract Documents and
the judge of the performance thereunder by
both the Owner and the Contractor.
The Architect will render interpretations
necessary for the proper execution or
progress of the work, with reasonable
promptness and in accordance with agreed upon
limits. Either party to the contract may
make written request to the Architect for
such interpretations.
Claims, disputes, and other matters in
question between the Contractor and Owner
relating to the execution or progress of the
work, or the interpretation of the Contract
Documents shall be referred initially to the
Architect for decision. After consultation
with the Construction Manager, the Architect
will render a decision in writing within a
reasonable time.
All interpretations and decisions of the
Architect shall be consistent with the intent
of and reasonable inferable from the Contract
Documents and will be in writing or in
graphic form. In this capacity as
interpreter and judge, the Architect will
endeavor to secure faithful performance by
both the Owner and the Contractor, will not
show partiality to either, and will not be
liable for the result of any interpretations
or decision rendered in good faith in such
capacity.
The Contract shall be governed by the laws of
the state of Florida. Venue for any claims
or disputes arising under this Contract shall
be in the circuit Court of the 16th Judicial
circuit of the state of Florida.
If the Trade Contractor claims that any
instructions given to him by the Construction
Manager, by drawings or otherwise, involve
extra work not covered by the Contract, he
shall give the Construction Manager written

notice thereof within three (3) days after
the receipt of such instructions and before
proceeding to execute the work, except in.
emergencies endangering life or property, in
which case the Trade Contractor shall proceed
in accordance with Paragraph 10.3.
Should it not be clear to the Trade
Contractor that a change will involve extra
work, written notice given within three (3)
days that the change may involve extra work
will be sufficient notice. If it is later
determined that the work involved in such
instruction shall be recognized as an extra,
the amounts of additional compensation to be
paid therefore should be determined in
accordance with Paragraph 13.1. Except as
otherwise specifically provided, no claim for
additional costs shall be allowed unless the
notice specified by this Subparagraph is
given by the Trade Contractor or unless such
work is performed as provided in Subparagraph
12.1.4.
If the Contractor claims that additional cost
is involved because of, but not limited to
(1) any written interpretation pursuant to
subparagraph 2.3.11, ..... the Contractor
shall make such claim as provided in
Subparagraph 12.3.1.

RE: Changing the dowel lengths/coatings
Dear Doug,
As requested, ~e respectfully submit two prices to you on the above
referenced subject:
A) To change the length of the do~e1s on all the shafts
(except the 14" x 26" columns) from (6) 110 x 7' 3"
to (6) 110 x 14'6". On the 14" x 26" columns, change
the length from (6) #10 x 14' )11 to (6) 110 x 28' 6".
Add $81,326.30.
B) To change the lengths of the dowels as above and eliminate
the epoxy coating. Add $63,272.00.
Reflected in the two prices is not only the steel but the additional
labor to handle the dowels, crane, operator, per diem, and frames to
keep the long dowels in place.
We strongly feel that the dowel lengths addressed in D.C.R 11 and D.C.R
Supplemental #1 does not reflect the lengths shown on the plans. At
this time ve feel that the steel cannot be ordered until this matter
is resolved.

SUBJECT: Monroe County's contract with Toppino, Inc. for Site
Grading & Caissons at the New Detention Facility
(KJ-001)
DATE: March 18, 1992
I have reviewed the documentation furnished to me with
your memorandum of February 28, 1992. Our basic difficulty in
this matter has been the fact that the Architect had not
initially approved the Change Order in question, although the
County's officials, Construction Manager, the County Attorney and
County Administrator had all approved the basis for the change
had secured the approval of the Board of County Commissioners.

My concern with the Architect's joinder in the Change
essentially for the reason that I did want the
to be relieved of his essential warranty of the design
of our approving Change Orders which would compromise
In the Architect's letter of 28 February
addressed to Doug Fuller, he mentions the following:
1992,
"Be further advised that the 'Architects' signature
under protest is only for the payment of work we feel
to be covered by the contract documents. The actual
work as provided is consistent with the design intent
of the contract documents, and maintains the integrity
of the finished product."
I am therefore relieved of my concern with respect to
the integrity of the building and the fact that the Architect's
disagreement with the Change Order is predicated only on the
allocation of the cost of the item itself. This still leaves us
with something of a paradox in that in the event we had we not
had not gone the course we did, we would be in a complete
standoff with the Contractor refusing to progress the work until
an interpretation and a Change Order had been approved, the
Architect refusing to approve the Change Order, and the
Contractor probably being a posture where he could have created a
delay Change Order at our ultimate expense.
I think that under the circumstances, since the
Contractor was directed to perform the change by our Construction
Manager, and that change has been done and incorporated in the
work, and that Change Order approved by both the Board of County
Commissioners and the County administration, that we have a
legally binding obligation to make the Contractor whole
regardless of the approval or non-approval of the Architect.
Unfortunately, the Architect's relationship is such that we can
anticipate this as a recurring problem whenever a design issue
occurs, and we can only rely upon our Construction Manager's
skill in negotiating a resolution of these matters. Otherwise,
we are going to have one of these donnybrooks every several
weeks. However, having said that, I believe that the Contractor
in question has a legitimate claim to be paid the moneys in the
Change Order as approved, regardless of the qualified aspect of
the Architect's approval.
