THIS AGREEMENT made and entered into this ~day of

AGREEMENT
WHEREAS: That the parties hereto, for
hereafter set forth, mutually agree as follows:
1. SCOPE OF THE WORK
The CONTRACTOR shall furnish all labor, materials,
equipment, machinery, tools, apparatus, and transportation and
perform all other work as described in the Specifications for
the purchase of a 1992 Type I Walk-Thru Ambulance, Compartment
Design ID #3, (with finalization details at preconstruct ion
conference) for the Monroe County Board of County
Commissioners, the Notice of Calling for Bids dated March 4,
1992 and as described in the CONTRACTORS Bid proposal dated
April 6, 1992: all of which are hereto attached and made part
of this agreement by reference.
2. CONTRACT SUM
a. The COUNTY agrees to pay for the ambulance purhcase
delivered in the manner as set forth in the
contract documents the sum of Seventy Three Thousand
Seven Hundred Sixty Seven Dollars ($73,767.00) to be paid
to the CONTRACTOR within 30 working days after
acceptance of the ambulance at the Monroe County
Emergency Medical Services, Marathon, Monroe County,
Florida. Acceptance shall occur after the unit is
received, inspected and found to comply with
specifications, free of damage or defect and is properly
invoiced.
b. The COUNTY shall pay to the CONTRACTOR for the faithful
performance of the Contract, in lawful money of the United
States, based upon the prices shown in the Proposal, a
copy of the Proposal being a part of the Specifications
and the Contract Documents including options, the
aggregate amount in the sum of $73,767.00; as follows:

3. GENERAL PROVISIONS
a. The CONTRACTOR agrees to indemnify the COUNTY and hold the
COUNTY harmless from and against all claims, damages,
losses and expenses, including reasonable attorneys I fees
in any an action arising out of performance of the work
herein, including bodily injury, illness or death, or for
property damage including loss of use, resulting from the
CONTRACTOR'S work.
b. The CONTRACTOR, warrants that it has not employed,
retained or otherwise had act on its behalf any former
County officer or employee subject to the prohibition of
Section 2 of Ordinance No. 010-1990 or any County Officer
or employee in violation of Section 3 of Ordinance No.
010-1990. For breach or violation of this provision the
County may, in its discretion, terminate this contract
without liability and may also, in its discretion, deduct
from the contract or purchase price, or other wise
recover, the full amount of any fee, commission,
percentage, gift, or consideration paid to the former
County officer of employee.
4. CONTRACT TERM
b.
The Contract shall commence on the date on which the
Contract is signed by the last party of the two parties
signing the Contract. Delivery to be within 120 calendar
days of issuance of Purchase Order by the Purchaser and
after the CONTRACTOR received delivery of the specified

The CONTRACTOR will not be held/1(1ble for delay in
delivery caused by strikes, inability to obtain materials
or equipment, production or manufacturing problems and all
other causes beyond the CONTRACTORS control. The
CONTRACTOR shall not be liable for any incidental damages
caused by delays in delivery.

5. CONTRACTOR'S ACCEPTANCE OF CONDITIONS
The CONTRACTOR understands all provisions of this Contract
and of the Specifications and agrees to their sufficiency for
the work to be done. Under no circumstances, conditions or
situations shall this Contract be more strongly construed
against the COUNTY than against the CONTRACTOR.
6. PARTIAL AND FINAL PAYMENT
a. The CONTRACTOR shall invoice the COUNTY, in accordance
with the pricing and terms as outlined in the contract
documents. Invoices shall be submitted to the Monroe
County EMS Office, 490 63rd Street, Ocean, Suite 170,
Marathon, Florida 33050, for approval and processing.
b. All payments shall be made directly to the CONTRACTOR at
the CONTRACTOR office, 708 Industry Road, Longwood, FL,
32750.
7. MODIFICATIONS AND AMENDMENTS
Any and all modifications of the goods required, and/or
cost of goods to be delivered shall be amended by an Agreement
Amendment, which must be approved by the Board of County
Commissioners of Monroe County and such modification shall not
become effective until approved in writing by the COUNTY.
8. INDEPENDENT CONTRACTOR
At all times and for all purposes hereunder CONTRACTOR is
an independent contractor and not an employee of the Board of
County Commissioners of Monroe County. No statement contained
in this Agreement shall be construed so as to find the
CONTRACTOR or any of his/her employees, contractors, servants,
or agents to be employees of the Board of County Commissioners
of Monroe County, and they shall be entitled to none of the
rights, privileges, or benefits of employees of Monroe County.
9. COMPLIANCE WITH LAW
In providing all services pursuant to this Agreement, the
CONTRACTOR shall abide by all statutes, ordinances, rules and
regulations pertaining to, or regulating the provisions of such
goods, including those now in effect and hereinafter adopted.
Any violation of said statutes, ordinances, rules or
regulations shall constitute a material breach of this
Agreement and shall entitle the Board of County Commissioners
to terminate this contract immediately upon delivery of written
notice of termination to the CONTRACTOR.
10. SUBCONTRACTING/ASSIGNMENT
CONTRACTOR shall not assign, sublet, subcontract, sell or
transfer any interest in this contract without the prior
written consent of the COUNTY thereto.
11. NOTICE - GENERAL
Any notice or notices required or permitted to be given
pursuant to this contract may be personally served on the other
party by the party giving such notice, or may be served by
certified mail, return receipt requested, to the following
addresses:

16. CONSENT TO JURISDICTION
This Agreement, its performance, and all disputes arising
hereunder, shall be governed be the laws of the state of
Florida and both parties agree that a proper venue for any
action shall be Monroe County.
17. CONDITIONS OF TERMINATION:
a. The performance of work or prov1s10n of goods under this
agreement may be terminated, delayed, or temporarily
suspended by the COUNTY, in whole or in part, from time to
time, wherever the COUNTY shall determine that such
termination is in the best interest of the COUNTY. The
COUNTY shall pay all reasonable costs incurred by the
CONTRACTOR up to the time of termination, and all
reasonable costs to the CONTRACTOR associated wi th
termination.
b. If the CONTRACTOR fails to fulfill the terms of this
agreement, or attachments, properly or on time, or
otherwise violates the provisions of the agreement or of
applicable laws or regulations governing the use of funds,
the COUNTY may terminate the contract by written notice of
60 days. The notice shall specify cause. The COUNTY
shall pay the CONTRACTOR fair and equitable compensation
for expenses incurred prior to termination of the
agreement, less any amount of damages caused by the
CONTRACTOR'S breach. If the damages are more than
compensation payable, the CONTRACTOR will remain liable
after termination and the COUNTY can affirmatively collect
damages. Nothing herein shall be construed as restricting
the COUNTY'S right to proceed against the CONTRACTOR'S
performance bond or right to liquidated damages.
18. INSPECTION AND CORRECTIONS
The COUNTY shall have the right to inspect the ambulance at the
factory and at the time and place of delivery. Time limited on
acceptance and discrepancy correction shall be as stated in
section 2.15 of attached Specification. In the event of any
claimed defects in the chassis or deviations from
specifications, the CONTRACTOR shall have the necessary time to
inspect the ambulance and make any necessary changes or
corrections. In the event of any defect in the chassis, the
CONTRACTOR, as agent for the COUNTY, shall contact the
manufacturer of the chassis and advise them of any necessary
changes or corrections needed. COUNTY may elect to contact the
chassis manufacturer directly with regard to defects or
deviations from specifications. Nothing in this paragraph
shall affect any warranties for the ambulance, patent and
royalty indemnification, or any other obligation of the
CONTRACTOR under this agreement (including the Specifications
which are a part hereof) extending beyond the date of the
COUNTY'S acceptance of the ambulance.
12. ANTI DISCRIMINATION
CONTRACTOR agrees they will not discriminate against any
of their employees or applicants for emploYment or against
persons for any other benefit or service, because of their
race, color, religion, sex, or national origin, or physical or
mental handicap where the handicap does not affect the ability
of an individual to perform in a position of employment and to
abide by all Federal and state laws regarding
non-discrimination.
13. NON WAVIER
Any waiver of any breach of covenants herein contained to
be kept and performed by the CONTRACTOR shall not be deemed or
considered as a continuing waiver and shall not operate to bar
or prevent the COUNTY from declaring a forfeiture for any
succeeding breach either of the same conditions or covenants or
otherwise.
14. CONTRACTOR - GENERAL
The CONTRACTOR warrants that it is authorized by law to
engage in the performance of the activities encompassed by the
program herein described, subject to the terms and conditions
set forth in the Attachment, which is attached hereto and
incorporated herein as part of this Agreement.
Each of the signatories for the CONTRACTOR, below,
certifies and warrants that:
a. The CONTRACTOR I S name in this Agreement is the full name
as designated in its corporate charter, if CONTRACTOR is a
corporation; otherwise CONTRACTOR I S name is the business
eni ty, whether partnership of sole proprietorship, under
which CONTRACTOR normally conducts business.
b. They are empowered to act and contract for the CONTRACTOR,
and
c. This Agreement has been approved by the Board of Directors
of CONTRACTOR, if CONTRACTOR is a corporation.
d. CONTRACTOR has, if this contract calls for payment in
excess of $10,000, executed a sworn statement under F.S.
287.133 (3) (a), on public entity crimes. Said statement,
if not attached hereto, is already on file with the EMS
Office/Clerk of Court for the calendar year 1992.
15. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement of the
parties hereto with respect to the subject matter hereof and
superseded any and all prior agreements with respect to such
subject matter between CONTRACTOR and the EMS Office or the
COUNTY.
19. WARRANTY
a. The warranties that are stated in section 2.10 of the
specifications are the only warranties given under this
contract and the CONTRACTOR disclaims all other
warranties, both express and implied, including any
implied warranty of merchantability or fitness for a
particular purpose. The COUNTY'S remedies for breach of
warranty are limited to those set forth in section 2.10.
The CONTRACTOR shall not be liable for incidental or
consequential damages resulting from a breach of any
warranty.
b. The CONTRACTOR does not warrant the chassis and the COUNTY
must look to the chassis manufacturer for any warranties
other than those specifically called for in section 2.9 of
the specification.

SCOPE
This specification covers a new, commercially produced Emergency Medical
Care Vehicle, herein referred to as "ambulance," including all related
work necessary to provide a complete unit, serviced and ready for
operation. A vehicle in compliance with this specification shall be
defined as a Standard Ambulance; Upon completion this ambulance shall
be in general accord with the Ambulance Design Criteria of the National
Highway Traffic Safety Administration, U.S. Department of
Transportation, Washington, D.C. This specification is based on the
Federal Ambulance Specification KKK-A-1822-C dated January 1, 1990.
Reference numbers used in this specification refer to applicable
paragraphs of that document. A balanced body design shall be provided
by the manufacturer. The subsequent weight distribution shall place a
proportionate amount of the weight on the rear axle. Adequate payload
for equipmen~, driver and passenger must be provided on the front axle.
This shall be a major consideration in the awarding of this bid.
GENERAL INTENT
These specifications are based upon design and performance criteria
which have been developed by the Purchaser as a result of extensive
research and careful analysis of the data. Subsequently, these
specifications reflect the only type of ambulance that is acceptable at
this time. Major exceptions to the specifications may not be accepted.
Some exceptions are expected and certain exceptions may be accepted, if
they are minor, equal, or superior to that which is specified, and
provided that they are listed and fully explained on a separate page
entitled "Exceptions to Specifications." The exceptions shall refer to
the specification's page and section number. In addition the Bidder
shall submit with the proposal the Purchaser specifications which the
"Comply and Exception" columns completed which will indicate whether the
Bidder will comply or take exception to the particular paragraph. In
the event the Bidder takes exception to any items or this specification,
the Bidder shall explain in detail, with full engineering support data,
the reasons why the proposed equipment or process will meet the intent
of this specification. The Purchaser shall determine which exceptions
are acceptable and this determination will be final. The successful
Bidder will be held responsible for delivering a vehicle in strict
compliance with the specifications and the intent of these
specifications.
This is a design, construction and delivery type specification and is
intended to be a minimum standard acceptable. It is the intention of
the Purchaser to aggressively seek bids for the purchase of this unit

from reputable companies engaged ih this type of procedure. It is not
the intention of the Purchaser to 'write out vendors or manufactures of
equal equipment of the type spec{fied. Proposal or alternate bids for
any equipment that will efficien~ly accomplish the same task will be
given careful consideration. Th~ Purchaser shall be the sole judge of
the equipment that is the most ad~antageous and the decision of the
Purchaser shall be final. T~S s~cification details the requirements
for general design criteria 'of the overall ambulance including the
engine, transmission, electr~cal,'~module, body, painting and equipment.
This specification shall become part of the final agreement in it's
final form after exceptions to the specification are accepted (if any)
and clarifications have been agreed upon.
1.1.3 Details of construction and materials, where not otherwise specified,
are left to the discretion of the contractor, who shall be solely
responsible for the design and construction of all features.
1.1.4
As this specification shall become part of the final agreement the
exception sheet must be returned'with each bid. The apparent silence of
these specifications as to any detail, or the omission from it of a
detailed description concerning any point, shall be regarded as meaning
only the best commercial practices are to prevail and that only material
of first quality a,nd correct type, size and design are to be used. All
workmanship shall be first quality.
1.2

MATERIAL AND STANDARDIZATION
The emergency care vehicle, chassis, ambulance body, equipment, devices,
medical acceseories and electronic equipment to be delivered under this
agreement shall be standard commercial products which meet or exceed the
requirements of this specification. The ambulance shall comply with all
Federal Motor Vehicle Safety Standards (FMVSS) and Federal regulations
applicable or specified for the year of the manufacture. The chassis
components and optional ,items shall be as represented in the
manufacturer's current technical data.
1.2.2
The supplier shall provide total standardization and interchange
capability between vehicles and like equipment including accessories
specified. Materials used in the construction shall be new and not less
than the quality conforming to current engineering and manufacturing
practices. Materials shall be free of defects and suitable for the
service intended.
1.3 CLASSIFICATION
This specification will result in the following type ambulance:
Type I walk-thru, Class I, configuration A (KKK-A-l822-C, 3.1.2).
1.4
1.4.1
DEFINITIONS
PURCHASER: Monroe County, Florida A/K/A Board of County
Commissioners of Monroe County, Florida, acting as the Board of
Governors of Municipal Services Taxing District No. 5 of Monroe County,
Florida.
1.4.2 EQUAL: Shall be taken in its general sense and shall not mean
identical. These specifications are for the sole purpose of
establishing minimum requirements of the level of quality, standards of

performance and design; and it is f.in no way intended to prohibit the
bidding of any manufacturer's ite& of equal material and/or process.
The Purchaser shall be the sole ~udge of quality in its best interests
and the decision of the purchasi~g Agent as to equality shall be final.

1.4.3 BIDDER: The individual, firm, partnership, manufacturer or corporation
to whom the bid is awarded ~ thesPurchaser and who is subject to the
terms thereof. For bidding purp~eB, the Contractor, Vendor and Bidder
are synonymous.
1.4.4 FIRST STAGE MANUFACTURER: Will be the Ford Motor Company also referred
to as the Chassis Manufacturer.
1.4.5 SECOND STAGE MANUFACTURER: The individual, firm, partnership,
manufacturer or corporation who shall make the fabrications and
modifications to produce the vehicle described in this specification.
1.4.6 HEAVY DUTY: (or H.D.) As applied to these specifications shall be
interpreted to mean that the item to which the term is applied shall
exceed the usual quality, quantity, or capacity of that supplied with
standard production vehicles and shall be able to withstand the unusual
strain, exposure, temperature, wear and use to be expected in the
intended service.
1.4.7 PURCHASING AGENT: For the purpose of this specification shall be
represented by the Monroe County Emergency Medical Services Department
Director, Public Safety Division.
1.4.8 PROGRAM MANAGER: A competent individual appointed by the successful
Bidder and acceptable to the Purchaser to perform the bidder's program
management functions.
2.0
SPECIAL CONDITIONS
Bid may not be considered if the Bidder can not meet the special
conditions stated herein.
2.1
2.1.1
BIDDER'S RESPONSIBILITY AND QUALIFICATIONS
The vehicle and equipment shall be delivered as a complete unit,
serviced and ready for operation.
2.2.1
Any omission of details in these specification shall not relieve the
Bidder from furnishing a completed unit. The successful Bidder will not
be allowed to take advantage of any error or omission in this
specification. Full instruction will always be given when such error or
omission is discovered.
2.1.3
Details of design, construction and materials, where not otherwise
specified, are left to the joint discretion of the successful Bidder and
the Purchaser. Drawings and plans showing the size and location of
compartments, doors, seats, and other equipment not specifically
described in these specifications shall be submitted with the bid. The
Bidder must comply with the requirements listed in section 14 of this
specification with respect to the overall bid proposal cost for the
specified exterior and interior cabinet layout.
2.1.4 The Bidder shall make accurate statements as to apparatus weight,

capacities and dimensions of the 60mpleted unit. Purchaser's standards
for bidding must be strictly adheted to and all bid forms and
questionnaires, if applicable, ~ust be completed and submitted with the
bid. All bids shall include man~facturers copies of all specified
warranties. Any exceptions or variations to the specifications must be
set forth on separate sheets, ind~cating page number(s), and section(s)
of these specifications. A~ exc~ption not forwarded on separate sheets
shall result in immediate rejection of the bid.

2.1.5 Each Bidder shall furnish satisfactory evidence that it has in
operation, a factory adequate fo~ the manufacturer of the ambulances
which it proposed to construct, and that it is equipped with suitable
facilities and expertise for this purpose. No bid will be considered
from a firm which has not been regularly engaged in the manufacture of
the design and materials as specified in these specifications for a
period of at least 5 years.
2.1.6 Each Bidder shall furnish four identical copies of the complete bid
proposal.
2.1.7
If the Bidder and the Manufacturer are not one and the same, then the
Bidder's proposal shall contain a signature of a member of the Board of
Directors of the Manufacturer.
2.3
2.3.1
QUALITY ASSURANCE / SINGLE SOURCE RESPONSIBILITY
It is not the intent of these specifications to call for an unusual or
experimental vehicle. Nor is it the intent of this department to accept
such proposa~s. Therefore, as proof of the ability to manufacture
vehicles of the type called for in these specifications, the successful
Bidder must be able to show proof that they have manufactured at least
100 vehicles of the Type I specified herein.
2.3.2
A list of five Departments and/or Services (with a service area of
500,000 population) which will include contact names and telephone
numbers, where the Bidder has manufactured similar or identical
equipment within the last three years shall be supplied with each
proposal.
2.3.3 The Bidder shall provide a list of manufacturer's authorized service
centers where repairs to the modular body, body components, electrical
systems, and related components can be performed.
2.3.4 Bid~r shall have in operation a factory adequate for and devoted to the
manufacturer of the equipment herein specified. If equipment is
proposed other than of his own manufacture, the Bidder shall submit with
his proposal a written statement that such equipment offered is in
complete compliance with this specification. The intent of this section
is to ensure maximum single source responsibility for all equipment
proposed by the Bidder.
2.3.5 Each Bidder shall disclose any pending or anticipated litigation between
the Bidder and Sub-Contractors, other parties and the Bidder, or other
parties and the Sub-Contractors.
2.3.6 The Purchaser will be advised within the bid proposal of any anticipated
labor agreements which may be negotiated or renegotiated during the

period of manufacturing. The ManJfacturer's labor agreement, if up for
renewal, shall be noted with the ~xpiration date of the agreement and

anticipated outcomes.

2.3.7 Major components (engine, transm~ssion, air conditioning and drive
train) manufactured or assembled outside the United States may not be
considered.

2.3.8 If requested, all Bidders may be~equired to provided a financial
statement to the Purchaser.
2.3.9 Bidder must bid first line equipment only. Second line equipment will
not be acceptable.
2.3.10
Nothing contained in the specifications shall be construed as
creating any contractual relationship between any Sub-Contractor
and the Purchaser.
2.3.11
The successful Bidder shall be fully responsible to the Purchaser
for the acts, omissions and discrepancies of the Sub-
Contractor(s).
2.4
2.4.1
PRICES AND PAYMENTS
All bid prices shall be on a F.O.B. Monroe County Emergency Medical
Services, Marathon, Florida delivered, and accepted per specifications
and shall include warranty.
2.4.2 All bid prices must be specified on the bid Proposal Form. Any
discounts offered by the manufacturer must be listed separately and not
be reflected in the basic bid price.
2.4.3 Bid prices shall be valid for at least ninety (90) days from the date of
the bid opening, or as otherwise specified herein.
2.4.4 Two categories of equipment are specified, "Mandatory Work and
Equipment" and "Optional Work and Equipment." The Bidder must price and
agree to do all work and furnish all of the equipment listed under both
categories, with the mandatory work and equipment being included in the
vehicle price and be in accordance with section 14 of this
specification. It is understood that the successful Bidder must furnish
with the vehicle any part or all of the optional work and equipment
listed that the Purchaser elects to purchase.
2.4.5 Payment shall be made in accordance with the specifications and the bid
proposal upon acceptance by the Purchaser of the hardware and/or
services performed under agreement with the successful Bidder.
2.4.6 Payment in an amount not to exceed the value of the apparatus and
equipment delivered, will be made upon passing the acceptance inspection
in Monroe County. The remaining balance will be paid after the unit and
all accompanying paperwork (Section 2.34, tags and certificates) and
equipment has been delivered, inspected, and found to comply with
specifications and other conditions specified herein, free of damage or
defects and properly invoiced. The remaining balance shall be in the
amount of retail co~ts of back-ordered equipment not delivered with the

vehicle at time of acceptance. Ail invoices shall bear the purchase

2.4.7 Any equipment shipped, rather th~n delivered with the unit, shall be
shipped pre-paid and shall bear the purchase order number on the
invoice.

2.5 BID EVALUATION
Those manufacturers who have submitted a bid proposal and who have
attended the pre-bid conference in accordance with Section 2.26
will be evaluated by the Purchaser. In evaluating the bid
proposals to determine which proposal is the most advantageous to
the Purchaser, major considerations in addition to price which
will be evaluated are as follows:
2.5.1 Commitment to the special conditions contained herein, particularly to
that which applies to warranty.
2.5.2 Completeness of the proposal, i.e., the degree to which it responds to
all requirements and requests for information contained herein.
2.5.3 Bidders shall supply four (4) complete sets of technical engineering
drawings covering the vehicle offered which describe the dimensions and
details of the vehicle. The Bidder shall also submit detailed
descriptive matter to describe clearly the equipment and material being
offered. SalEs brochures may not be considered sufficient.
2.5.4 Manufacturing and delivery schedule.
2.5.5 Bidder's demonstrated capabilities and qualifications and Bidder's past
performance (experience) with the Purchaser.
2.5.6 Equipment supplier's demonstrated capabilities and qualifications.
2.5.7 Technical approach to include:.
Design and engineering reliability factors.
Maintainability considerations and recommendations.
2.5.8 Planning documentation addressing:
Drawings and schematic layouts.
Logistical support.
Training.
Operation and maintenance.

In order for the Purchaser to expedite repairs under warranty,
special consideration may be given Bidders who (1) designate
authorized repair facilities in Monroe County, Florida; or (2)
designate authorized repair facilities within close proximity of
Monroe County, Florida.
It may be necessary for the top three Bidders deemed in contention
to permit two (2) personnel designated by the Purchaser, to view
the manufacturer's facility and the prospective construction
method~ if the Purchaser has not previously accepted similar units
from the Second Stage Manufacturer. The travel arrangements and
all travel costs for the personnel designated by the Purchaser for
these inspections shall be borne by the Purchaser.
In lieu of Section 2.5.11, the Bidder may, at the request of the
Purchaser, provide the names of three (3) departments in the State
of Florida having comparable type and size ambulance in service at
the present time. If deemed necessary the Purchaser shall make
transportation arrangements and be responsible for all costs to
permit two (2) representatives designated by the Purchaser to
inspect the units in service of their choice. Other units may be
inspected at the discretion of the Purchaser, and all related
travel costs shall be borne by the Purchaser. The units to be
inspected must have been in service for a minimum of one year.
Proposals that do not comply with bid evaluation criteria of
Section 2.5 may be rejected without further consideration.
BID AWARD
The Purchaser reserves the right to reject any or all bids deemed to be
unresponsive and reserves the right to accept any bid or alternate bid
which the Purchaser deems to be in its best interest(s): The Purchaser
also reserves the right to waive any informalities, irregularities and
technicalities in procedure.

The Purchaser reserves the right' before awarding the bid, to request a
Bidder to submit additional evid~nce of his qualifications as it may
deem necessary. Documentation that may be required is financial,
technical and/or other information substantiating the Bidder's
qualifications and abi1ities~ inc~ding past performance (experience)
with the Purchaser. The Purchase~ shall be the final authority in the
award of bids. '~
DISPUTES
In the case of any doubt or difference of opinion as to the items to be
furnished herein, the decision of the Purchaser shall be final and
binding on both parties.
It is understood that any legal action that may be brought by either
party pursuant to the terms of this agreement, will be brought in the
appropriate jurisdictional court in Monroe County, Florida.
ANTI-COLLUSION STATEMENT
By signing this bid, the Bidder agree that his bid is made without
any understanding, agreement, or connection with any other person,
firm, or corporation making a bid for the same purpose and that
his bid is in all respects fair and without collusion or fraud.
TRAVEL TO MANUFACTURER
The successful Bidder shall be required prior to manufacturing the
emergency care vehicle to have a "Pre-Construction Conference." This
pre-construction conference shall be held in Tavernier, Monroe County,
Florida, to finalize all the construceion details.
The Purchaser reserves the right to travel to the manufacturer for a
pre-acceptance inspection. The cost of such travel will be borne by the
Purchaser. This inspection shall occur after completion of the work as
specified and before the Bidder delivers the completed unit to Monroe
County. The vehicle shall be delivered to Monroe County and the cost of
delivery is the responsibility of the Bidder. Final acceptance of the
vehicle shall be in Monroe County, Florida.
2.9.3 The purpose of this on-site visit is to protect the Purchaser's interest
by direct verification delivery of the ambulance that the final
specifications are being complied with.
2.9.4 It shall be the responsibility of the successful Bidder to pay for and
make all the travel arrangements for the Bidder's personnel to attend
the pre-construction conference. It shall be the responsibility of the
Purchaser to pay for and make all the travel arrangements for the
Purchaser's personnel to attend the pre-construction conference and any
Purchaser desired visits to the manufacturer.
2.9.5 The Purchaser reserve$ the right to make additional on-site visits other
than those specified at the Purchaser's expense.

2.10 WARRANTY
2.10.1 The successful Bidder shall'provide a 12-month warranty on the
vehicle which covers ~fect~ve parts and/or components, ,the
improper choice of materials, parts and/or components, 1mproper
design or engineering"and~oor or improper workmanship or quality
control techniques which were left to the discretion of the
successful Bidder. This warranty shall cover the complete vehicle
and shall include any and all costs for labor and parts or
materials that are required to correct and all deficiencies.

It is not the intent of the Purchaser that this warranty apply to
parts or components that could normally wear out within the 12
month period~ such as light bulbs, filters, tires, brake linings,
windshield wipers blades and such.
Where a component manufacturer provided an independent warranty
which exceeds the 12 month period, the provisions of this warranty
shall not be allowed to diminish the normal warranty that is
provided by any component manufacturer. Where a component
manufacturer does not provided a warranty equal in time or which
does not fully cover all costs involved, the successful Bidder is
solely ,responsible for bearing any additional costs, or if
necessary, the total costs including freight, parts, components,
materials, labor for removal and installation, contractual repairs
or replacement service, and the reimbursement for salaries of all
Monroe County employees that are engaged in performing warranty
work at he request of the successful Bidder; or reimbursement for
Monroe County salaries shall be provided under the following
circumstances, which shall be a requirement of this warranty
agreement.
Within 48 hours after receipt of a verbal or written notification
by the Purchaser authority (authority to be identified) that
warranty service is required, the successful Bidder shall respond
verbally, and immediately follow up by letter or telephone
facsimile (305-289-6013) to Monroe County Emergency Medical
Services with a statement of intent to show how, where and when
the warranty service shall be accomplished. In the event that
there is no response or if the response exceeds 48 hours, or if
the response that is received is on time but is not acceptable to
the Purchaser or acceptable but not performed at the specified
time, Monroe County Emergency Medical Services will provide for
the required warranty service and the total costs of all labor,
parts, components, materials and freight shall be reimbursed to
Monroe County by the successful Bidder within 45 calendar days
after the bill has been mailed to the successful Bidder.
This warranty portion of the Performance Bond shall also be

guaranteed by the s~rety co~~any, which shall be responsible to
fully reimburse Monroe County within 45 calendar days in the event
that the successful Biddel defaults under the terms of this

warranty. Refer to Sectio~ 2.17 for performance and payment bond
requirements.
Warranty shall begin ~ acc~ptance of the manufactured vehicle by
the Purchaser and shall not. include mileage put on during testing
and delivery of the unit. '1lccepting delivery or housing of the
vehicle does not imply final acceptance of the vehicle as meeting
specifications or other conditions.
The successful Bidder shall be liable to the Purchaser for supply
of information and materials necessary for mandatory revisions /
modifications as determined by the successful Bidder or sub-
contractor or suppliers at no cost to the Purchaser for a minimum
of five (5) years from date of equipment acceptance. All revision
information pertaining to the equipment purchased shall be
supplied to the Purchaser at no cost as it becomes available.
(This included corrections to the instruction manuals, etc.) This
information is to be furnished for as long as this equipment is
being produced by the Manufacturer.
The duration of the warranty period shall be stated by the Bidder
with their bid response and shall be at least:
1 year - parts, labor and all components
5 year - rust, corrosion (see 9.6 Rust Proofing)
2 years - Extended warranty for engine
transmission and drive train
Where a manufacturer offers any type of Extended Warranty Program,
i.e., Ford ESP Program, then the Bidder is required not only to
research and advise the Purchaser of such a program but also to
reflect the price in th. option section of the Bid Sheet.
2.11 MATERIAL AND WORKMANSHIP
2.11.1 All equipment furnished shall be guaranteed to be new and of
current manufacture, meet all requirements of this specification,
and be in an operable condition at the time of delivery.

All parts shall be of high quality materials and workmanship,
shall be of new and current manufacturer and no part of attachment
shall be substituted or applied contrary to the Manufacturer's
recommendations and standard practices.
Bidder shall bid all first line equipment only. Economy or second
line equipment will not be acceptable.
All workmanship shall be equal to the highest industry standards
and performed in a professional manner so as to insure a safe and
functional apparatus with an aesthetic appearance.

2.13 INSTRUCTIONAL MANUALS / DRAWINGS,. SCHEMATICS
The successful Bidder shall~provide the following sets of manuals:
2.13.1 Two (2) operational m~uals$for the vehicle, which describe the
total operation of the, unibt all the operations for all components
attached to the unit and any other supporting documents which are
necessary for an individua~ operating the unit to be thoroughly
familiar with the total operation of the unit.
2.13.2 The successful Bidder shall provide a total of two (2) service
manuals. These manuals shall provide all technical information
for the unit and a complete set of "as built" drawings which will
include:
i. A complete bill of material.
2. Equipment 'specifications.
3. Detailed wiring diagrams and schematics.
4. Equipment views (front, rear, left and right
sides) .
5. All information describing major malfunction
identification and subsequent trouble shooting
procedures.
2.14 DELIVERY
2.14.1 Delivery of the unit and related equipment shall be F.O.B.
destination to Monroe County Emergency Medical services, Public
Safety Division, Marathon, Monroe County, Florida. Final
inspection and acceptance shall take place after delivery to
Monroe County, Flprida. Delivery shall be "drive in" to and from
each point, no trailer or "piggy-back" transport will be allowed.
Bidder agrees that in those cases where term of shipping is F.D.B.
shipping point, goods shall be shipped pre-paid only.

Delivery of the completed unit shall take place in Monroe County
within 120 calendar days of the issuance of a purchase order by
the Purchaser and after the successful Bidder receives delivery of
the specified chassis. The delivery date shall be prior to
September 15, 1992 regardless of chassis delivery date.
All Bidders shall provide as part of their Bid proposal a
milestone chart identifying the major projected dates from the
initial step through delivery and acceptance. A delivery schedule
shall be jointly agreed to between the Purchaser and the Bidder.
Since delivery proposals_will weigh heavily in the determination
of award of bid, the delivery schedules that are submitted by the
Bidders and agreed upon by the Purchaser shall automatically
become binding upon the successful Bidder.
Pre-delivery seFvice shall include the following:

2.15 ACCEPTANCE AND DISCREPANCY CORRECTION PERIOD
2.15.1 The vehicle shall be delivered with a full compliment of
additional equipment as ordered per the purchasing agreement. The
vehicle shall be complete and functioning properly. Final payment
will not be made if any equipment is back-ordered.
2.15.2
A list of discrepancies for correction will be provided to the
successful Bidder by the purchaser within 30 working days of the
delivery of the ambulance. The successful Bidder shall have no
more than 30 calendar days to correct all of the listed
discrepancie&. If this condition is not met the successful Bidder
may be deemed in default at the sole discretion of the Purchaser.
2.15.3
If the vehicle is delivered with major discrepancies that are not
correctable and by this circumstance the successful Bidder has
demonstrated gross irresponsibility in meeting the purchasing
agreement, then the Purchaser reserves the right to find the
successful Bidder in default on this vehicle.
2.16 BID GUARANTY
All bids shall be accompanied by a Certified Check, Cashier's
Check or Bid Bond in the amount of 5% of the total bid price,
payable to Board of County Commissioners of Monroe County and
conditioned upon the successful Bidder submitting the specified
Performance Bond within'15 days following notice of award, in the
form and manner required by the Purchaser. In case of failure or
refusal to do so within the time stated, the surety submitted with
the bid will be forfeited as liquidated damages because of such
failure or default. Bid guarantee will be returned after bid has
been awarded. The bid guarantee of the successful Bidder will be
returned after the performance bond has been delivered to Monroe
County.
2.17 PERFORMANCE AND PAYMENT BOND
2.17.1 The Bidder to whom the award is made shall duly execute and
deliver to the Purchaser a Performance and Payment Bond in the
amount of 100% of the bid price within 15 days after execution of
the award or prior to the receipt of a Purchase Order. The Bond
shall provide for a 100% guarantee that the successful Bidder
delivers the ambulance and all equipment of the specifications,
special conditions, general conditions and instructions to
Bidders.

in the vehicle cost and equipment costs.
2.18 INDEMNIFICATION AND INSURANCE
The Bidder shall indemnify and hold the Purchaser harmless from
any and all claims, liability, losses, and causes of actions which
may arise out of the fulfillment of this agreement. The Bidder
shall pay all claims and losses of any nature whatever in
connectlon therewith, and shall defend all suits, in the name of
the Purchaser when applicable, and shall pay all costs and
judgments which may ensue thereafter.
2.19 PATENTS AND ROYALTIES
The Bidder, without exception, shall indemnify and hold harmless,
the Purchaser and its employees from liability of any nature or
kind, including cost and expenses for or on account of any
copyrighted, patented or unpatented invention, process or article
of manufacture used in the performance of the agreement including
its use by the Purchaser. If the Bidder uses any design, device
or materials covered by letters, patent, or copyright, it is
mutually agreed and understood, without exception, that the bid
price shall include all royalties or cost arising form the use of
such design, device or materials in any way involved in the work.
2.20 LIQUIDATED DAMAGES
2.20.1 If the successful Bidder fails to deliver the equipment or
perform the services witpin the time specified it is understood
and the successful Bidder hereby agrees to pay the amount of
$100.00 per calendar day for damages. The successful Bidder shall
not be liable if performance failure arises out of causes beyond
the control and without the fault or negligence of the successful
Bidder (acts of God, war, fires, floods, freight embargoes, etc.).
The start of liquidated damages will be based on the delivery
schedule agreed to by both parties.

Should a perfo~mance, failuri'occur, it will be the responsibility

2.21 PROGRAM MANAGER
2.21.1 The successful Bidder shall designate a competent individual
acceptable to the Purchase~ to perform the Bidder's program
management function. The Program Manager shall provide a single
point of interface between the Purchaser and the Bidder on all
matters concerning the agreement.

The Program Manager shall present a written status report every
two weeks to the Purchaser on the progress of the fabrication,
delivery schedules and all existing and potential problems.
The Program Manager shall be technically oriented and thoroughly
familiar with all the construction techniques used and shall act
as the liaison between the Manufacturer and the Purchaser.
2.22 PROJECT MANAGER
2.22.1 The Purchaser shall designate one individual to perform as a
Project Manager. The Project Manager shall provide a single point
of interface between Purchaser and the Program Manager on all
matters concerning the apparatus.
2.22.2
Any changes to the specifications or drawings shall be in written
form and signed by the Purchasing Agent.
2.23 PROPOSAL IN REPLY TO SPECIFICATION
2.23.1 Any exceptions to the specifications must be itemized. Details
concerning the exceptions must be clearly explained. Each
exception will be considered by the Purchaser as to degree of
impact and total effect on the specifications. The proposal shall
be arranged so that rapid reference between specification and
proposal can be accomplished by the Purchaser, Monroe County.
Specification section assignment numbers shall be referenced in
the proposal.
2.23.2
Costing shall be per the Bid Proposal Form, quoting on each line
item and total as listed therein and Bidder shall fill in all
information requested on said Bid Proposal Form.
2.24 FAMILIARITY WITH LAWS
The Bidder is presumed to be familiar with all federal , state,
and local laws, ordinances, code rules, and regul~tions that may
in any way affect the work or final product. Ignorance on the
part of the Bidder shall in no way relieve him from
responsibility.

2.25 NONCOMPLIANCE (
Delivery ot a vehicle whiqh does not meet the requirements of this
specification and the Bid~rts proposal as accepted by this agency
shall be cause for rejectiqn of the vehicle. Liquidated damages
in the amount of $100.00 p~r calendar day shall be deducted from
the final payment co~ted~rom the first working day following
rejection until deficienc~ are corrected and an acceptable
vehicle is delivered. - If within thirty (30) days after initial
rejection of a vehicle it is not acceptable, the Bidder shall be
in default of his agreement and shall forfeit the performance
bond.
2.26 PRE-BID CONFERENCE
A pre-bid conference may be mandatory for all Manufacturers who
intend to have their proposal considered. Bids might not be
accepted unless a representative of the Manufacturer is in
attendance. The pre-bid conference date and location will be
announced if a pre-bid conference is scheduled.
2.27 PRE-CONSTRUCTION CONFERENCE
The successful Bidder shall be required prior to manufacturing to
have a pre-construction conference with the Purchaser in Monroe
County to finalize all construction details (Section 2.9.1).
2.28 PRE-AWARD CLARIFICATIONS
2.28.1 In the event a clarification is requested on the contents of this
specification, the question shall be addressed in writing to:
Monroe County Emergency Medical. Services, Public Safety Director,
5192 Overseas Hwy., Marathon, FL 33050.
2.28.2
Clarifications or corrections to the specifications shall not be
valid unless they are in written form and signed by the Monroe
County Emergency Medical Services Public safety Director.

When a Bidder requests a clarification, a copy of the request and
the Purchaser's reply will be forwarded to all qualified Bidders.
2.28.4
Requests for clarifications will be accepted until 7 days prior to
bid closing, clarification requests received 7 days or less prior
to bid closing will not be accepted.
2.29 PERFORMANCE TEST AND REQUIREMENT
The ambulance shall conform to all Federal Motor Vehicle Safety
Standards that apply to automotive ambulances and State of Florida
Regulations, Occupational Safety and Health Administration (OSHA)
Standards that apply to the vehicle and the auxiliary equipment
and/or related E.M.S. equipment that is furnished. The vehicle
shall conform to the requirements of KKK-A-1822-C, unlesa
otherwise speciIied by the Purchaser.

2.30 ORAL PRESENTATION (
The Purchaser may require rhe four lower Bidders who are
reasonably in contention t~ make an oral presentation prior to the
award so the Purchaser canrlot misinterpret any part of their
proposal. The presentation\ shall be in Monroe County. The oral
presentation is to be~sed for clarification of the bid proposal
and specification only. TUI. oral presentation is not to be used
for modifying specificatio~s or changing bid proposals. The cost
of this presentation will be borne by the Bidder. (Time and place
to be announced, if required.)
2.31 LICENSES
All Bidders must submit copies of the proper licenses which are
required by Florida State Law, with their bid proposal.
2.32 CONTINGENCY
2.32.1 A $1,000.00 contingency fund shall be included in the bid to cover
costs of unforseen needed work that may become apparent during the
course of fabrication. Approval of every such alteration or
change shall be given in writing to the successful Bidder by the
Purchaser, or his representative. Any unused portion of these
funds shall be deducted from the invoice total.
2.32.2
All work ordered and performed in accordance with the foregoing
will be paid for at the price stipulated in the Purchaser's
written approval. This stipulated price will include a reasonable
amount for the contractor's overhead and profit and will have been
mutually agreed upon by the contractor and the Purchaser or his
representative, as equitable compensation for the additional work.
2.33 RADIO FREQUENCY INTERFERENCE SUPPRESSION
Electrical components, electronic equipment, and devices used and
installed on the vehicle in addition to all sub-systems, chassis,
warning systems, etc. shall be electromagnetic radiation
suppressed, filtered, or shielded to prevent interference to radio
and telemetry equipment aboard the vehicle and surrounding area.
The RFI of the completed vehicle shall not exceed the maximum
limits in SAEJ551.
2.34 TAGS
2.34.1
AND CERTIFICATES
A Manufacturer's Statement of Origin (MSO) showing the applicable
transfer information is required for the vehicle procured under
this specification. The MSO shall be forwarded to the Purchaser
before final payment is 'made.

Temporary tags shall be the responsibility of th~ manufacturer and

reliably and efficiently in sustained operation. The design of the
vehicle and the specifiedequi~ent shall permit accessibility for
servicing, replacement and adjustment of component parts and
accessories with minimum disturbance to other components and systems.
The term "heavy duty" as used to describe an item, shall mean in
excess of the usual quantity, quality, or capacity, that is normally
supplied with the standard production vehicle or component.
The ambulance shall be a Type I walk-thru, Class I, and shall be a
chassis furnished with a 2-door conventional cab. Chassis-cab shall
be suitable for subsequent mounting of a modular (containerized),
transferable equipped ambulance body conforming to the requirements
specified herein.
The design of the vehicle shall utilize floor plan "A" loading
arrangement of patients into the patient compartment. All litters
shall be loaded into position with the heads of the patients forward
in the vehicle.
Vehicle Components, Equipment, and Accessories. The emergency medical
care vehicl~, chassis, ambulance body, equipment, devices, medical
accessories and electronic equipment to be delivered under this
specification shall be standard commercial products, testable and
certifiable, to meet or exceed the requirements of this specification
and Federal Specification KKK-A-1822C. The vehicle shall comply with
all Federal Motor Vehicle Safety Standards (FMVSS) and Federal
Regulations applicable or specified for the year of manufacture. All
items included in these specifications which are used shall be as
represented in the manufacturer's current technical data. Data shall
be limited to specifications and technical materials identical to that
furnished to the authorized company representatives.
Materials. Materials used in the construction shall be new and not
less than the quality conforming to current engineering and
manufacturing practices. Materials shall be free of defects and
suitable for service intended. If any modification or equipment
installed alters or voids any existing warranties, the successful
bidder must provide documentation that additional warranty coverage is
provided. The additional warranty coverage shall meet or exceed the
warranty which existed prior the modification or equipment installed.
Vehicle Operation, Performance, and Physical Characteristics. The
specifications in Section 2.35 and those listed below describe the
Cab-Chassis that will meet the minimum requirements of this
specification and is expressed as minimums. The bidder may take
exceptions as noted in areas provided for the purposes of the bid
proposal, however these exceptions will be considered by the
purchasing agency and respective parties. All exceptions or

Air Horns. Dual Buell "firato~s" air horns shall be installed. The
Purchaser shall supply the 12 ~lt, belt driven Buell air compressor,
which shall be given to the successful bidder at the pre-construction

4.1 Electrical System. The emergency medical vehicle's electrical system
shall be equipped with, but not limited to the following: dual
identical 12 volt batteries, generating, starting, lighting, ignition,

and devices including master consoles located in the cab and patient

or at least two levels of illumination. The "low" or "dim" level
shall be provided for the patient's comfort, with a "high" or "bright"

proven to be dependable with repair parts available and readily

6.2 Cab and Body Access Between c~~partments. The ambulance and body

the cab. It is desired that the door between the cab and the module
be recessed into the "bulkhead,... or side wall itself. The area between

9.0 PREPARATION FOR PAINTING, COLOR, AND MARKINGS.
9.1 Color, Paint, and Finish. The ambulance shall be painted, in
accordance with the requirements of Federal Specification KKK-A-1822C,
with Dupont Imron white('817U) paint. A single eight inch orange
reflective stripe of 3M Scotchlite shall be provided, and bordered
with a one-half inch blue reflective pinstripe. If federal
regulations prohibit the use of Imron paint, then the bidder must
specify what type of paint is to be used and include full technical
paint data with the bid proposal.

Prior to painting the vehicle all surfaces, including outside
compartments and cab, to be painted shall be acid etched to ensure
proper bonding of paint to the surfaces. The vehicle shall then be

paint, and sanded to achieve a smooth high gloss finish. An initial
coat shall then be applied, sanded and smoothed to remove all
imperfections. The .final coats shall then be applied and buffed to

1. 2.3.3-Aero Products of Longwood, Florida is the authorized
Wheeled Coach service facility in Florida. Should you have problems
with your unit, we would authorize a local service center in your area
to take care of your problems. If the County has a service facility, we
could authorize them to make the repairs. We would work with you to
make any repairs as easy as possible.
2. 2.5.4-Unit will be delivered within 120 days after receipt of
chassis.
3. 2.10.3-Individual components, such as light bars. sirens. AIC units
that have their own warranties, shall be warranteed by the
manufacturer of that item pursuant to the stated warranty by that
manufacturer.
4. 2.10.5-The performance bond will cover performance as to
manufacturing the unit only. The warranty portion shall not be
covered. However. Wheeled Coach and Aero Products have been in
business a long time and Will certainly stand behind their product.
5. 2.10.9- The Ford extended warranty has many different programs

11. 3.6. I-We would provide the' following switching for the rear air
ride dump feature. One switch in the front, one switch in the rear,
both 3 way wired so the unit can be' raised or lowered from either
position. The switching shall be wired top the rear doors so that
when the doors are shut the unit, if down will raise. Also the unit will
be wired to the neutral safety switch so that when the unit is in great
the dump feature will not activate or if down when put in gear the unit
will raise.
12. 3.7-0n the 1992 model year units, we are not mounting a dash
console. The switching would be via an angled center console
designed for the walk-thru and will not impede access forward or
backward thru the walk-thru.
13. 4. 15-refer to item #12.
14. 6.2-The walk-thru is built from an aluminum structural from
covered with a s:r;nall fiberglass cab that attaches directly to the cab
roof. This design has been tested and is of the highest quality. This
would be our new Wheeled Coach standard.
15. 6.2.2-0ur extension allows full seat travel for the front cab seats
but is extended only 3.5 inches in order-to allow for better weight
distribution.
16. 7.4.3- Headroom is 67" but the grab rail is recessed to prevent
injury. This works out to the same working headroom.
17. 7.5.3-0ur extrusion design is as follows:
Wheeled Coach utilizes a custom, patented design, double hollow
roof extrusion, with recessed roof and side skin locators. The
double hollow extruded design incorporates an internal
triangulated web member which transfers the impactual loads
equally between side and roof assemblies and prevents collapse
of the roof rails in the event of a serious accident.
Wheeled Coach utilizes a custom, patented design, webbed
corner post extrusion with recessed skin locators. This extruded
design incorporates an internal web which interconnects with all
horizontal side structurals, and creates a double hollow section

18. 7.7- Mounting of the body is done in the following manner:
Body Mounting. The modular body shall be attached to the
vehicle chassis via eight(8) mounting outriggers. These
outriggers shall be of steel construction and be secured to the
chassis frame by three (3) 5/8 inch Grade 8 bolts. No
additional welds or other fasteners shall be used. Nothing can
be utilized that might void the chassis warranty.
The mounting system used cannot cause any chassis frame
deformation. At all outrigger mounting locations a double
compression, neoprene rubber "shock absorbing" device shall
isolate the modular body from road and chassis vibrations. To
increase the body's lateral support the outrigger shall be on
the outside of the frame rails (outboard). The modular body
shall be'attached to the outrigger by a 5/8 inch Grade 8 bolt.
19. 7.8.5-When in the lock position the handles are not free floating.
20. 7.9-Door locks are described as follows:
When the doors are opened the hinges, latches, and door checks
shall not protrude into the access area. All patient
compartment doors as well as exterior compartment doors shall
employ the same type locking hardware. All door latches,
hinges, and hardware shall comply with the requirements of
FMVSS 206. All hardware shall meet the following requirements.
The locking devices shall be Eberhard series 400 rotary locks.
There shall be two (2) such locks at both top and bottom (when
applicable) of each door. These locks shall lock onto a "Nader"
type pin found in the door frame. This pin shall pass through
the door frame and into a threaded steel plate. This pin shall
be adjustable. The locking system shall be actuated from the
locking handle by stainless steel cable or metal push rods.
Locking systems not using the above described hardware shall be
unacceptable.
The door handle shall be a flush "paddle" style handle of
stainless steel construction. On the curb side and rear doors,
the inside handle shall be of the same type and sh~ll be
equipped with an inside door lock. All exterior storage
compartments and.module entry doors shall be lockable with the
same key.
