Advanced Structures Payments
Dear Jose:
Pursuant to our telephone conversation this date, I
am returning herewith your memorandum to Thomas Brown,
County Administrator, dated February 22, 1990, attached to
which is Application and Certification for Payment No. 1
from Advanced Structures, Inc. concerning the Marathon Jail
Facility.
As I indicated to you, there are three items which
cause us concern in the processing of this payment as pre-
sented.
First, I will reiterate my statements to the County
Staff in my letter to Mr. Brown dated January 9, 1990 - that
we will not recognize any form of advance payments. All
payments on this contract must be for goods and services
received and/or stored at the appropriate site of either
Monroe County or the Contractor. We will rely upon your
certification as the Project Architect that the work covered
by the pay requests and/or goods and services have been
received by the County.
I must also point out that the enclosed Application
for Payment makes reference to a Schedule of Values which
was not part of the original bid and is not included as an
attachment to the contract documents. The bid was submitted
and accepted on the basis of a lump sum amount.

My final concern is that, as far as I am aware,
there still has not been a Notice to Proceed issued to the
Contractor on this job. I realize that this concerns the
selection of a site by the County and is not the fault of
the Contractor; however, the absence of a Notice to Proceed
does impose some limitations on those items that can be paid
to the Contractor.
As I indicated to you in our conversation, in my
opinion the Contractor could be appropriately paid for those
actual expenses that he has incurred in his attempt to mobi-
lize even though that complete mobilization has not been
successful due to the lack of a specific site.
If you have any further questions in the above
matter, please do not hesitate to contact me.

Please find attached an executed pay request for mobilization.
~eneral conditions and deposits on lon~ lead items for
construction of the new facility. Althou~h a notice to proceed
has not been executed these items are allowed under the executed
contract with the contractor. The contractor has provided at our
request back-up of payment to subcontractors for deposits etc..
these are attached. and appear to be in order. The justification
for these advanced payments lies in the County's ur~ency in
completin~ these facilities per the .iud~e's order. We ur~e the
county to ascertain the site and ~ive notice to proceed as
Quickly as possible.

As per the notice calling for bids with accompanying detailed specifications dated
November 20, 1989, our company is submitting the following lump sum cost
quotation for performing the work detailed in the request for bids.

transportation, services and incidentals and the performing of all work

*This price includes the aqditional overtime and other labor and
equipment costs associated with a very accelerated construction
schedule that will be necessary to complete the work within ninety (90)
calendar days after obtaining necessary permits. The above quotation
is based on constructing the structure on existing ground elevation with
minimum adjustments to grade beams required. Any piling required will
be installed at a unit price of $40.00 per linear foot (1811 diam. cast in
place concrete pile, as per detail on design drawings).

Relocate the above modular structure to any location in Monroe County
as specified by the Monroe County Board of County Commissioners (no
more than one relocation to be required). Price for Bid Item IIBII _

Confirming my conversation today with Scott' Tidd, please find attached
revised change order #1 for the Marathon jail project.
As discussed however, I am submitting this signed change order under
protest. In particular, and as we agreed previously, that since
Morris Knudsen and Wackenhut created the ne~ design, I cannot be held
rQsponsible for providing Department of Co~rections capacity approval.
In addition and as we also previously agreed. that since the scope of
work increased approximately 25%) the time required to complete same
should be 1ncreesed correspondingly, or an additional 30 days.
I felt it necessary to submit the change order ~ith these clarificationsl
so as to avoid any fu~the~ payment delay, on our draw submitted June 13,
1990.

Dear Captain Brown:
As a result of the Marathon jail facility owner caused delay
referenced in my attached letter to you dated August 21, 1990, and
our subsequent meeting of August 28, 1990, I have no recourse but
to submit an invoice for costs associated with the 173 day delay.
After our August 28, 1990 meeting, I contacted Howard Messing to
find out if he had a better recollection of the January "fast
track" request by you and our subsequent agreement. Mr. Messing
has requested our attendance at a federal hearing on October 15th.
I'm sure he can refresh our respective recollections at that time.
I certainly realize that this billing for delay rests on our
respective recollections. In addition, as previously agreed, we
also request reimbursement for our payment of the performance bond
expense of $18,750.00. I am sure you realize that the performance
bond was required after execution of our contract.
Accordingly, please find attached our detailed invoice analysis for
$124,099.32.
Your prompt review, approval and payment in appreciated.

Subject: Marathon Jail Project Facility
Dear Capt. Brown:
Though working under a tight timetable in often times adverse
conditions, Advance Structures' Monroe County Plantation jail
project was completed on schedule and within budget. The result,
as you know, is a quality, functional jail, meeting and/or
exceeding the County's requirements.
The success of this "fast track" project was the result of
teamwork and cooperation on the part of your office, various County
representatives, Gonzalez Architects, our vendors, subcontractors
and employees.
Based in part on the County's need for further "fast track"
cooperation, and our success in the Plantation project, we bid on
the November 20th, 1989 Marathon jail project proposal. In fact,
we even lowered our price per square foot and per bed partially due
to the County's administrative support throughout the Plantation
project. At the bid opening of December 11, 1989 Advance Struc-
tures was the low bidder on the Marathon project. The contract
was awarded to us on December 12, 1989.
Just before the January 10, 1990 County Commission meeting,
at which time our contract was formally approved and executed, you
asked me to promise that upon completion of the Plantation project

we would. irmnediately relocate to Marathon. You will undoubtedly
remember this request since after securing my promise to imme-
diately begin on the Marathon facility (upon completion at Planta-
tion) . You went to the meeting with Mr. Howard Messing and
confirmed that the Marathon facility was on "fast track".
On the strength of our past performance and my commitment to
you to proceed, you were able to avoid and/or postpone the
substantial fines associated with Judge Hoeveler's Federal Court
Order relative Monroe County's jail overcrowding.
Based upon my commitment to you, we prepared and planned to
mobilize during the last two (2) weeks of January as we wound down
the Plantation facility. Upon receipt of the certificate of
completion on January 30, 1990 we were fully ready to execute the
start-up of the Marathon facility. At this time your office
requested that we "temporarily" postpone relocation and commence-
ment due to "minor" site problems. This was merely a day-to-day
postponement due to NIMBY (not in my back yard) considerations.
We went into "limbo" for several weeks. We were continuously
put off by your office with no further explanation other than . .
. "Hold your crew together for quick deployment". upon notice
to proceed. I did as requested, expecting notice to proceed any
day.
Finally, on or about March 2, 1990, Mr. Chip Acheson advised
me that not only were there "problems" with the site, but, in fact,
a new location was required and already identified. I was told
that the property lease was being finalized. As we were given to
understand it, the Commission bowed to political and/or local
pressure, subsequently requiring the change.
After my continued complaints as a result of the delays and
associated expenses, approval of my mobilization draw was completed
and paid. In addition, payment for owner delayed costs on the
Plantation job Was also finalized and approved for payment.
About this time Morrison-Knudsen/Gerrits were awarded Monroe
County's Construction Manager (eM) contract. As a direct result ,
of this CM Contract, there was additional work/delay which was not
contemplated in our contract.

Shortly after the Morrison-Knudsen/Gerrits Contract, Wackenhut
Corrections Corporation (the firm under contract to manage the
County's jail facilities), via Gonzalez Architects, asked for
redesign of the (Marathon) facility administrative space. This was
due to the inability to utilize County support facilities as
previously planned prior the to detention contract award. Under
guidance from Wackenhut, Gonzalez, Monroe County and Morrison-
Knudsen/Gerrits, the original drawings were revised and a change
order issued. We Were then told that the maximum that could be
charged for this change order was $155,000.00 - an amount that we
felt was too 10~1. Due to the very expensive delay in getting
started, we agreed to this amount since it seemed marginal enough
to survive if allowed to operate without further significant
restrictions.
After continued County delay, we finally received notice to
proceed on change order #1 from Morrison-Knudsen per the attached
April 16, 1990 letter. We were limited to our ability to start
however, as the building permits were not issued until July 23,
1990.
You will remember that the very successful Plantation project
did not even require a bid much less a performance bond. However,
when a bond was requested for the Marathon project we promptly
adhered although we ran into a number of "administrative road-
blocks" from County representatives.
Looking back, if you recall, several Conunissioners, jail
committee representatives and yourself visited our construction
site at the Dade County McArthur High School project and our
Florida City manufacturing plant back in mid-1989. At that time
everyone was apparently so impressed that Advanced Structures was
immediately commissioned to build your Plantation Key jail facility
using a similar type construction. To the best of our knowledge,
we are only one of two companies in the united States that
manufacture and construct this type facility.
The present situation we find ourselves in is intolerable.
We are appalled and offended at the constant criticism and scrutiny
we are experiencing from Morrison-Knudsen and the Clerk of Courts
since the start of the Marathon project. Not only are our
construction methods questioned, but our applications for payment
continually are modified and subject to interpretation contrary to

your pr~vious standards for payment. This is in spite of the fact
that our agreement was endorsed by the County's Architectural
representatives per the attached letter dated February 22, 19901
What this means to Monroe County is that without substantial
changes, the ninety (90) day completion schedule is in jeopardy,
not to mention the additional expense and liability to the County.
Accordingly, we feel the issues have reached an unproductive and
costly level which require your review and i~~ediate attention.
In the spirit of cooperation and (in order to protect our
reputation) we have continued to attempt to meet the unplanned
burden and ongoing changes of guidelines and procedures since we
were first awarded the contract. However, the level of administra-
tive/bureaucratic burden has reached a point whereas the present
procedures not only require immediate change, but we now feel
justified in requesting compensation for the aforementioned
requirements, overhead and delays not originally agreed upon or
anticipated.
In summary, we request your immediate personal review of this
matter and ask for your guidance and consultation on a method of
resolution. Due to the importance of this matter to Monroe County,
Advanced Structures and the Federal District Courts, I will be
available as needed to meet with you to provide details necessary
for final procedures to be originated.
