BE IT RESOLVED BY THE BOARD Oi? COUNTY OF COMMISSIONERS OF
MONROE COUNTY, FLORIDA, that the Mayor/Chairman of the Board is
hereby authorized to execute a contract by and between Davis
Sales and Extinguisher Service and Monroe County concerning the
sale and installation of four (4) n.~w halon systems at County
Courthouse and Annex, a copy of same being attached hereto.
PASSED AND ADOPTED by the Board of County Commissioners of
Monroe County, Florida, at a regular meeting of said Board held OIl
the 27th day of June, A.D. 1989.

THIS AGREEMENT is made and enl:ered into this
day
of
, 1989 by and between Davis Sales &
Extinguisher Service, a corporation doing business at P.O. Box
937 Key Largo, Florida 33037, hereinafter referred to as the
"Vendor", and the County of Monroe,. a political subdivision of
the state of Florida, by and through it's Board of County
Commissioners, hereinafter referred to as the "County".
WHEREAS, the Vendor wishes to sell, and the County wishes to
purchase, certain Halon Systems for the protection of records in
four (4) specific rooms at the courthouse facility. The parties

do agree as follows, as return for for the mutual promises herein
cont:ained.
1. The Vendor agrees to sell to the County, and the County
agrees to purchase from the Vendor., four Halon Systems, at the
priced indicated :

2. The above--quoted prices include installation of the
specified items, a warranty for one (1) year.on all parts, and
any requi red service and maintenan(;e, by personnel for a period
of ninety (90) days from purchase and installation, all at the
expense of the Vendor. The above-quoted prices do not include
applicable sales tax (if any).
3. The County shall pay the Vendor in two separate draws
as outlined below
A) Payment for materials to Vendor when materials have
been secured on County property and inspected by County personnel.
B) Payment for labor to Vendor within thirty (30) days
after installation of all items purchased.
4. The Vendor agrees to indemnify, and to hold the County
harmless, and to defend the County, and it's officialp, employees
and agents, from any action or claim which may be brought against
the County or it's officials, empl:)yees, and agents, and which
arises from or is connected with, any act of negligences the

part of the Vendor in the sale, installation, and maintenance of
the items purchased.
