I.
SCOPE OF THE WORK

The Contractor shall provide air conditioning repairs and mainte-
nance in accordance with the Public Works Specification Manu-
al/Central Air Conditioning Maintenance and Repairs, Lower Keys
Facilities, attached hereto and incorporated as part of this
contract document.
II. INDEPENDENT CONTRACTOR
At all times and for all purposes under this agreement the Con-
tractor is an independent contractor and not an employee of the
Board of County Commissioners for Monroe County. No statement
contained in this agreement shall be construed so as to find the
contractor or any of his/her employees, contractors, servants, or
agents to be employees of the Board of County Commissioners for
Monroe County.
III. ASSURANCE AGAINST DISCRIMINATION
The Contractor shall not discriminate against any person on the
basis of race, creed, color, national origin, sex, age, or any
other characteristic or aspect which is not job related, in its
recruiting, hiring, promoting, terminating, or any other area
affecting employment under this agreement or with the provision
of services or goods under this agreement.
IV. ASSIGNMENT
The Contractor shall not assign this agreement, except in writing
and with the prior written approval of the Board of County Commis-
sioners for Monroe County and Contractor, which approval shall be
subject to such conditions and provisions as the Board and Con-
tractor may deem necessary. This agreement shall be incorporated
by reference into any assignment and any assignee shall comply
with all of the provisions of this agreement. Unless expressly
provided for therein, such approval shall in no manner or event
be deemed to impose any obligation upon the Board in addition to
the total agreed-upon price of the services/goods of the contrac-
tor.
V.
COMPLIANCE WITH LAW
In providing all services/goods pursuant to this agreement, the
contractor shall abide by all statutes, ordinances, rules and
regulations pertaining to, or regulating the provisions of, such
services, including those now in effect and hereinafter adopted.
Any violation of said statutes, ordinances, rules and regula-
tions shall constitute a material breach of this agreement and
shall entitle the Board to terminate this contract immediately
upon delivery of written notice of termination to the contractor.
VI. INSURANCE

VII.
HOLD HARMLESS
The Contractor shall defend, indemnify and hold the County, its
officials, employees and agents harmless, from any and all
claims, liabilities, losses and causes of action which may arise
out of the performance of the Contract except such claims, liabil-
ities, losses and causes of action which may arise because of the
County's negligent actions or omissions. Compliance with the
insurance requirements shall not relieve the Contractor from the
obligations imposed by this article.
VIII.
TERM OF CONTRACT
This contract shall begin on April 24, 1992 and end on April 23,
1993. This contract shall be renewable in accordance with Arti-
cle X.
IX. CANCELLATION
Either of the parties hereto may cancel this agreement with or
without cause by giving the other party sixty (60) days written
notice sent certified mail of its intention to do so.

X.
RENEWAL
The OWner shall have the option to renew this agreement after the
first year, for two (2) additional one year periods. The con-
tract amount agreed herein may be adjusted annually in accordance
with the percentage change in the Consumer Price Index (CPI) for
Wage Earners and Clerical Workers in the Miami, Florida area
index, and shall be based upon the annual average CPI computation
from January 1 through December 31 of the previous year.
XI. FUNDING AVAILABILITY
In the event that funds from Facilities Maintenance Contractual
Services are partially reduced or cannot be obtained or cannot be
continued at level sufficient to allow for the purchase of the
services/goods specified herein, this agreement may then be termi-
nated immediately at the option of the Board by written notice of
termination delivered in person or by mail to the contractor.
The Board shall not be obligated to pay for any services provided
by the contractor after the contractor has received written no-
tice of termination.
XII.
PROFESSIONAL RESPONSIBILITY
The Contractor warrants that it is authorized by law to engage in
the performance of the activities encompassed by the project
herein described, subject to the terms and conditions set forth
in Florida Statute Chapter 399, which is attached hereto and
incorporated herein as a part of this contract/agreement. The
provider shall at all times exercise independent, professional
judgement and shall assume professional responsibility for the
services to be provided. Continued funding by the Board is con-
tingent upon retention of appropriate local, state, and/or feder-
al certification and/or licensure of contractor.
XIII.
NOTICE REQUIREMENT
Any notice required or permitted under this agreement shall be in
writing and hand delivered or mailed, postage prepaid, to the
other party by certified mail, returned receipt requested, to the

XIV.
PAYMENT
The County shall pay to the Contractor for the performance of
said service on a per month in arrears basis on or before the
15th day of the following month in each of twelve (12) months.

The Contractor shall invoice the County monthly for air condition-
ing repairs and maintenance. The Contract amount shall be as
stated by the contractors proposal. This Contract shall not
exceed Fifteen Thousand Dollars ($15,000.00).

A. DESCRIPTION
1. The Contractor shall furnish all labor, materials, equip-
ment, tools, transportation, services, and incidentals,
and the performing of all work necessary in accordance
with these Specifications.
B. SCOPE OF WORK
1. Routine repairs and maintenance of all county maintained
central air conditioning units in the Lower Keys area.
Preventive maintenance shall be performed on a regular
basis and in a timely manner to prevent malfunctions
and/or outages.

5. The OWNER shall reimburse the CONTRACTOR for the actual
cost plus respective markup of all parts and materials
used in the routine maintenance and repairs, and emergen-
cy repairs of all county maintained central air condi-
tioning units. Receipts, invoices, or other acceptable
proof of purchase must accompany the CONTRACTOR'S re-
quest for payment. All parts and materials shall be of
equal or greater quality as compared to eXisting parts
and materials in use.
6. The CONTRACTOR'S request for payment must itemize each
of the costs stated in paragraph 5 above.
7. The air conditioning units to be maintained are in-
stalled at County Facilities throughout the area. Win-
dow and portable units may, from time to time, be submit-
ted for analysis for economical repair. If the CONTRAC-
TOR finds that the unit is economically repairable, the
CONTRACTOR will submit an estimate for repair to the
OWNER. The OWNER may, at his discretion, have the CON-
TRACTOR repair the window or portable unit in keeping
with the estimate.

8. The CONTRACTOR shall provide to the OWNER a physical
inventory of all units inspected or repaired during the
billing period. All charges for service calls, routine
or emergency, will refer to a work order number, which
will have been issued by the OWNER upon the initiation
of the service call.

C. GOVERNING LAWS AND REGULATIONS
1. The bidder is required to be familiar with and shall be
responsible for complying with all federal, state and
local laws, ordinances, rules, and regulations that in
any manner affect the work.
2. The bidder shall include in his bid prices all sales,
consumer, use, and other taxes required to be paid in
accordance with the law of the State of Florida and the
County of Monroe.

D. CONTRACTOR'S RESPONSIBILITIES
1. Operation
The CONTRACTOR shall maintain the Central Air Condition-
ing units in a manner which will ensure safe, comfort-
able and economical air supply to those County Facili-
ties served by Central Air Conditioning units. Mainte-
nance shall include, but not be limited to: preventive
maintenance including periodic inspection and service,
routine repairs, and emergency repairs and trouble shoot-
ing in the event of equipment malfunction, failure or
damage.
2. Supervision and Personnel
The CONTRACTOR shall supervise and direct the work compe-
tently and efficiently, devoting such attention thereto
and applying such skills and expertise as may be neces-
sary to perform the work in accordance with the contract
documents. The CONTRACTOR shall employ a sufficient
number of technicians to adequately maintain the Central
Air Conditioning systems. The CONTRACTOR shall be sole-
ly responsible for the means, methods, techniques, se-
quences, and procedures of construction. The CONTRACTOR
shall be responsible to see that the finished work com-
plies accurately with the contract documents.

4. Permits
The CONTRACTOR shall obtain and pay for all required
permits and licenses. The OWNER shall assist the CON-
TRACTOR, when necessary, in obtaining such permits and
licenses. The CONTRACTOR shall pay all governmental
charges and inspection fees necessary for the prosecu-
tion of the work, which are applicable on the effective
date of the agreement. The CONTRACTOR shall pay all
charges of utility owners for connections to the work.
Monroe County will waive the fees for such permits as it
normally issues.
5. Laws and Regulations
The CONTRACTOR shall give all notices and comply with
all laws and regulations applicable to furniShing and
performance of the work. Except where otherwise express-
ly required by applicable laws and regulations, the
OWNER shall not be responsible for monitoring the
CONTRACTOR's compliance with any laws or regulations.
6. Taxes
The CONTRACTOR shall pay all sales, consumer, use, and
other similar taxes required to be paid by the CONTRAC-

TOR in accordance with the laws and regulations of the
place of the project which are applicable during the
performance of the work.
E. COORDINATION OF THE WORK
1. Contractor shall provide maximum amount of Air Condition-
ing maintenance with minimum amount of interference to
building tenants.
2. Coordination of the work with the Facilities Maintenance
Department shall be the responsibility of the Contrac-
tor.
F. INSPECTION OF THE WORK
1. The tenants of each facility shall be the deemed the
County's representative on a daily basis, and shall
determine if deficiencies exist.
2. Random inspections shall be performed by County Represen-
tatives from the Public Works Division administering the
contracts.
3. Deficiencies shall be corrected within a twenty-four
(24) hour period of notification to the Contractor.
Failure of the Contractor to correct such deficiencies
shall result in prorated deduction from the monthly
invoice.
G. INSURANCE/INDEMNIFICATION/HOLD HARMLESS
1. The successful proposer will be required to indemnify,
defend, and hold-harmless the County from any and all
claims, liabilities, costs, including attorney fees,
etc., that the County may incur due to the negligent
acts, errors, or omissions of the janitorial service
company.
2. Minimum insurance requirements:
a) Commercial General Liability including completed
operations and contractual liability, with minimum
limits of $500,000.00 per occurrence.
b) Comprehensive Auto Liability with minimum combined
single limits of $300,000.00 per occurrence.
c) Workers Compensation as required by Florida Stat-
utes.
Monroe County is to be named additional insured on both
the General Liability and Auto Liability policies.
Certificates of insurance indicating current coverage
shall be submitted with bid.

Certificates of insurance indicating the above insurance
coverages are to be submitted upon recommendation to the
Board of County Commissioners from the Facilities Mainte-
nance Department of award of bid. All insurance coverag-
es are subject to review by Risk Management, and the
County retains the right to request any changes, or
clarification of coverage forms, that may be in its best
interest.
G. LICENSES
1. Any person submitting a bid or proposal in response to
this invitation must submit with his bid or proposal
copies of all Federal, State, and County Licenses re-
quired for the operation of his business.

1. Any person submitting a bid or proposal in response to
this invitation must execute the enclosed Form PUR 7068,
SWORN STATEMENT UNDER SECTION 287.133(3) (A), FLORIDA

check(s), in the space(s) provided, and enclose it with
his bid or proposal. If you are submitting a bid or
proposal on behalf of dealers or suppliers who will ship
commodities and receive payment from the resulting con-
tract, it is your responsibility to see that copy(s) of
the form are executed by them and are included with your
bid or proposal. Corrections to the form will not be
allowed after the bid or proposal opening time and
date. Failure to complete this form in every detail and
submit it with your bid or proposal will result in imme-
diate disqualification of your bid or proposal.

ACES
Air Conditioning Energy Service, Inc. was formed in 1983
by Mr. John H. Brown and Mr. Sig Stenmark, and later a third
partner was added, Mr. Lowell Johnson. All three men posses
different and unique qualities which blended together, have
made ACES a growing force in the Air Conditioning Industry
in South Florida.
The qualifier for ACES is Mr. Brown, who holds a Masters
Certificate of Compentency. Mr. Brown has been a native
of South Florida since 1946, and has over 35 years in the
air conditioning industry. From 1962-1968 he was chairman
of the Certification Board For Advanced Jorneymen Training.
He attended Perdue University, and was instrumental in up-
grading the standards for Air Conditioning Jorneymen Training.
For 11 years, Mr. Brown was a Business Agent for Local Union
# 725 Air Conditioning and Pipefitters. He has over 12 years
of advanced training in all phases of service and design,
test and balance, estimating, supervising, training and
operating all mechanical and business functions of an air
conditioning company.
In the words of Mr. George Bourget, former Chief Mechanical
Inspector for Dade County, "Mr. Brown is a bonified expert
in the entire mechanical field. I know from first hand
experience, in an official capacity, that he has supervised
the installations of many of the largest and most complex
systems installed in Dade County. He has a very distinct
advantage over many of his peers because of his extensive
exposure to the many areas of system design, equipment
selection, installation, operation ano proper economical
maintenance of systems involving fractional tonage, to hundreds
of tons. He has an excellent background in all types of
controls systems, electric, pneumatic and electronic, also
fire suppression and smoke control systems. He has my highest
recommendation to anyone who may utilize his extensive
experience."

Mr. Stenmark is Vice President of ACES and handles Sales
and Marketing for the company, as well as some administrative
functions. He has over 26 years of sales and service management
experience, and has managed some of the largest companies
in the state of Florida.
Mr. Johnson has an extensive administrative background with
over 30 years of office managmement experience. His function
is to make sure the computer systems are properly monitoring
all the company's jobs, expenses, inventories, etc. He keeps
harmony and good cohesive working conditions, even with the
very fast pace the company is presently maintaining.
The combination of the talents of all three of these men
has produced a very viable company which continues to grow
on its reputation of excellence in the mechanical field.
The following are a partial list of customers and projects
completed by ACES.
GREEN COMPANIES:
ACES is currently completing the build-out phase of Datran
II in Kendall, and does all the properties managed by Green
companies when new construction or retrofitting is required.
CIRCUIT CITY in Kendall was completed by ACES in April 1989.
HEARTLAND OF DADE, a nursing home, was completed in 1988,
this was a job inspected by HRS, the toughest of all inspections
in the air conditioning industry. With over 100,000 pounds
of sheet metal for the a/c and ventilating systems alone,
ACES did all the metal fabricating and air conditioning work
as well as refrigeration. HRS inspectors did not hesitate ·
to make comments to the excellent quality of ACES work and
passed the job with no problems. '
CUSHMAN & WAKEFIELD:
ACES does both service maintenance work, repairs and equipment
changeouts for properties managed by Cushman-Wakefield.

FARM STORES, Miami Processing Plant.
ACES has made some major improvements to the existing air
conditioning systems at this facility.
RADISSON HOTEL & CORPORATE CENTER:
ACES has made many repairs to air conditioning duct and ventilation
systems.
ZAYRE STORES:
Regular monthly maintenance, as well as service and all major
repairs and equipment change outs.
B.J.'s WHOLESALE CLUB:
Regular monthly maintenance, service repairs, equipment change
outs.
HERMAN'S SPORTING GOODS:
Regular monthly maintenance, service repairs, equipment change
outs.
BATEWOOD CONSTRUCTION CORP.:
Have completed a number of projects with Batewood, office
buildings mostly, installing complete air conditioning systems
with final start-up and test and balance.
TEMPLE SINAI NMB:

ACES completed the Early Childhood Development Center, installing
and assisting in the design of all the,air conditioning and
ventilation systems and currently maintains the school and
Temple.
TEMPLE ISRAEL:
ACES maintains all air conditioning equipment and has made
some major changes by adding and repairing air conditioning
equipment.
KEY BISCAYNE YACHT & RACQUET CLUB:
ACES maintains all air conditioning and refrigeration at
this facility.

VISCOUNT HOTEL:
ACES has been maintaining this hotel for over six years,
and has changed out both the main air conditioning chillers.
Also, have done many other major repairs as well as daily
maintenance.
DENNY'S RESTAURANTS:
Over the past six years, ACES has been doing repairs and
maintenance, complete remodels of air conditioning, refrigeration,
ventilation, ductwork in all 47 or more Denny's in South
Florida.
McDONALD'S RESTAURANTS:
Both repairs and maintenance for over four years.
