08/12/1980 Contract o CONTRACT ~ THIS AGREEMENT, made and entered into the 12th day of August , A.D. 1980, by and between the Board of County Commissioners of Monroe County, Florida, party of the first part, and AIR FLORIDA, INC., a Florida corporation, party of the second part: WITNESSETH, WHEREAS, AIR FLORIDA, INC. 1S desirous of obtaining law en- forcement services at the Key West International Airport on a regular basis during the life of this Contract; and WHEREAS, the Sheriff of Monroe County 1S unable to provide law enforcement services for AIR FLORIDA, INC. on a regular basis due to present manpower and budget considerations, but would be able to provide such services if paid for by AIR FLORIDA, INC; and WHEREAS, AIR FLORIDA, INC. is willing to pay for such law enforcement services; NOW, THEREFORE, in consideration of the mutual covenants ex- pressed herein, the parties agree as follows: 1. The Sheriff of Monroe County (hereinafter SHERIFF) shall provide one full-time, regularly appointed deputy sheriff at the Key West International Airport on a daily basis from 6:00 A.M. through 10:00 P.M. Said deputy sheriff shall be continuously and physically present at the airport during the times mentioned, and will be equipped and uniformed in the same manner as regular deputy sheriffs assigned to the Patrol Division of the Monroe County Sheriff's Department. 2. The Sheriff will be responsible for salaries, fringe benefits, uniforms, and equipment of deputies assigned to perform duties at the airport, and Sheriff agrees that deputies performing law enforcement services at the airport will be in an on-duty status. 3. Except as otherwise hereinafter specifically set forth, the law enforcement services provided shall encompass the duties Page 1 of 4 Pages and functions of the type normally coming within the jurisdiction of the Sheriff pursuant to state law, and shall include enforce- ment of Florida statutes. 4. The provision of law enforcement servlces, the standard of performance, the discipline and supervision of the deputies and other matters incident to the performance of such law enforce- ment services, and the control of the deputies so employed, shall remain in and under the sole control of the Sheriff. S. The Sheriff shall have and receive all reasonable and necessary cooperation and assistance from AIR FLORIDA, INC., its officers, agents, and employees, so as to facilitate the per- formance of this Contract. 6. Monroe County, the Sheriff, and his officers, deputies, and employees shall not be deemed to assume any liability for the intentional or negligent acts or omissions of AIR FLORIDA, INC. or any of its officers, agents, or employees, and AIR FLORIDA, INC. agrees to hold harmless, indemnify, and defend Monroe County, the Sheriff, his officers, deputies and employees from any and all claims arising therefrom. 7. The services provided by the Sheriff's deputies under this Contract shall not include the routine physical, mechanical or electronic inspection of the baggage and/or persons of those individuals utilizing the services of AIR FLORIDA, INC. 8. The Sheriff shall provide all general administrative, secretarial, clerical, records, and radio communications support for those deputies assigned to the airport under this Contract. 9 . 1st This Contract will take effect a 6:00 A.M. on the September 31st 10. day of day of A.D. 1980, and will explre the August , A.D. 1981, at 10:00 P.M. This Contract may be re-newed for successive periods of Renewals shall be accomplished in the following manner: A. Not later than ninety (90) days prior to the ex- piration of the current Contract, but in any event not later one year. ~age 2 of 4 Pages than the 31st day of May of each year, AIR FLORIDA, INC. shall notify the Sheriff and Monroe County, in writing, of its desire to renew. B. Not later than sixty (60) days prior to the ex- piration of the current Contract, but not later than June 30th of each year, the Sheriff shall notify Monroe County in writing of the Sheriff's intention to continue to provide the services pro- vided for herein and the charge/cost to be made for such services whereupon Monroe County shall notify AIR FLORIDA, INC., in writing, of its intention to renew. Such notification shall include notice of any increase in the total contract cost to AIR FLORIDA, INC. 11. Either party may cancel this Contract upon at least ninety (90) days notice in writing to the other party, and the can- cellation date shall be the ninetieth day after the date written notice 1S received. 12. It is agreed and understood that the entire agreement of the parties is contained herein, and that this Contract super- cedes all oral agreements and negotiations by and between the parties relating to the subject matter hereof. 13. AIR FLORIDA, INC. agrees to pay to the County the total sum of FIFTY-FIVE THOUSAND SIX HUNDRED THIRTY-THREE DOLLARS AND FORTY-SEVEN CENTS ($55,633.47) for all services provided hereunder by the Sheriff during the life of this Contract. Payment to the County shall be made as follows: A. THIRTEEN THOUSAND NINE HUNDRED NINE DOLLARS AND FORTY-SEVEN CENTS ($13,909.47) at the time of the execution of this Contract. B. FOUR THOUSAND SIX HUNDRED THIRTY-SIX DOLLARS September ($4,636.00) per month, commencing on the first day of , A.D. 1980, for nine consecutive calendar months. IN WITNESS WHEREOF, the parties hereto have executed this Contract on the day and date first above written., in three counter- parts, each of which shall, without proof or accounting for the other counterparts, be deemed an original contract, and AIR FLORIDA, Page 3 of 4 Pages INC. shall provide and attach to each counterpart a copy of a reso- lution of the Board of Directors of AIR FLORIDA, INC. authorizing the officer who signs this Contract to do so in its behalf.
