CONSULTING AGREEMENT
This Agreement is entered into this day of January, 2002, by and between
Monroe County (County), a political subdivision of the State of Florida, and Commonwealth
Consulting Corporation (Consultant). The parties agree as follows:
I. SCOPE OF CONTRACT: Consultant will assist County by providing
government relations, planning and public relations support with respect to matters relating to the
Department of Defense, including base closure, base re-use, and other matters; wastewater and
other environmental issues; and other matters as determined by the County.
In performing this Agreement, Consultant shall comply with all applicable laws, rules,
regulations, and policies of the United States of America or any jurisdiction where Consultant's
services are to be performed and shall save County harmless from Consultant's failure to do so.
2. TERMS: This Agreement is intended to be for a period of one year,
commencing on January I, 2002 and ending on December 31, 2002. At the end of this period,
County shall have the option to extend the Agreement, subject to a renegotiation of terms.
During the course of this Agreement, should either party seek to terminate this Agreement, it
shall so state, in writing. Termination shall be effective 60 days after receipt of said written
notice of termination.
3. FEES: As it is anticipated that the level of effort necessary to perform this
Agreement will vary depending on the County's requested services, a two-tiered fee structure
will apply. Progression from Tier I to Tier 2 will occur only upon mutual agreement of County
and the Consultant:
Tier I - Preliminary efforts of the Consultant on behalf of County may require
only monitoring and liaison with the Executive and Legislative branches of the
federal government. In return for the performance of Tier I services, County
agrees to compensate Consultant $2,000 per month payable monthly in arrears.
Payment shall be made in U.S. dollars by check.
Tier 2 - However, it may be that a more vigorous and sustained effort on various
issues will be necessary. Should County elect to progress to a Tier 2 level of
performance, County agrees to compensate Consultant $6,000 per month payable
monthly in arrears. Payment shall be made by check in U.S. dollars.
In addition to such fees, County shall reimburse the Consultant's expenses for travel (to the
extent allowed by Sec. 112.061, F.S.), courier, long distance telephone, printing, or unusual
expenses incurred in connection with the provision of services under this Agreement. It is
anticipated that Consultant will be required to travel to Monroe County several times during the
course of this Agreement. All travel must be approved by County Administrator in advance.

Further, Consultant understands and agrees that if this Agreement should be tenninated for any
reason. payment of all expenses and fees incurred to the termination date will be made within 30
days of such termination.
4. MISCELLANEOUS PROVISIONS:
a) Governing Law: This Agreement shall be governed by the laws of the Stale of
Florida. both as to interpretation and performance. Venue for any litigation arising under this
Agreement must be in a court of competent jurisdiction located in Monroe County. Florida.
b) Notice: All notices provided for herein shall be sent by certified nuliJ, postage
prepaid, and addressed as follows:

Dear Jim,
I am writing to request that you consider recommending to the BOCC that the consulting
relationship between Monroe County and Commonwealth Consulting Corporation be continued
for the coming year. For the past several years, Commonwealth Consulting has provided
effective support to the County across a range of issues including base closure, missile defense,
joint use ofNAS Boca Chica, transfer of the Commissary building, wastewater issues and more.
With our current agreement set to expire at the end of the year, I propose that the County
consider a new one-year agreement which would contain the same two-tier provision of our
agreement from the current year.
Wastewater and Storm water issues will be an important matter for the County in the
coming year, and the County will need to be active in lobbying for an appropriation of funds.
Also, while the base closure matter has been quiet for the past two years, it is likely to heat up in
the coming months. The Navy Department is reviewing its various bases presently, and this is
the time where decisions internal to the Navy are made. It is in this process that the threat to
NAS Key West will be the greatest.
I have attached a draft agreement for your consideration. It is identical to our agreement
for calendar year 2001 with the exception of the current dates. Please contact me once you have
had an opportunity to review it. I look forward to hearing from you.

Subject: SUPPORT PROVIDED BY COMMONWEALTH CONSULTING
As discussed, we have put together a summary of the kinds of work we have done
this past year in support of Monroe County. This list is not intended to be exhaustive but
rather is intended to indicate the various kinds of support that has been provided. A
summary follows:
Water Quality Improvements: We continued to lobby Congress for federal funding of Water
Quality Improvements for the Florida Keys. We worked with Congressman Deutsch, Senator
Nelson, and Senator Graham, as well as Governor Bush's Washington office, and members of
the environmental community to pursue federal funding for the Florida Keys.
.:. Contacted several media outlets and pitched the story (Washington Post,
NYT, CNN, Christian Science Monitor)
.:. Monitored national and regional press for articles relevant to the water quality
concern.
.:. Met regularly with staffers in Senators Nelson and Graham's offices and
pressed them to get involved.
.:. Drafted correspondence and congressional testimony.
.:. Provided County Commissioners with talking points for meetings/ phone
conversations with Florida Congressional Delegation members.
.:. Drafted letters from the Mayor to Governor Bush asking that the Governor
approach the President on this matter.
.:. Worked actively with Governor Bush's Washington Office on wastewater and
other related issues.
.:. Researched and assembled contact information for relevant Senators,
Congressmen, and Professional Committee Staff. Proposed, coordinated, and
facilitated meetings with County officials, and followed up after these
meetings.
.:. Coordinated visits of Monroe County officials to Washington, DC to
maximize meeting time with government officials, including meetings with
representatives of the Florida Congressional Delegation, Environmental
Protection Agency, House Subcommittee on Water Resources and the
Environment, and Army Corps of Engineers
.:. Worked with Nature Conservancy and World Wildlife Fund to maximize
impact of the environmentalist lobby.
Commissioner Visits to DC: We supported newly-elected Commissioners (Spehar & Nelson)
on their initial and follow-up visits to Washington, DC. We arranged meetings with Senators,
Congressmen, and staff members on Capitol Hill; we provided the Commissioners with talking
points for their meetings; We accompanied the Commissioners at their meetings; We drafted
follow-up letters for the Commissioners' consideration; and we followed up on those meetings
ourselves.
FEMA's National Flood Insurance Program: We worked with the Commissioners, the Florida
Congressional delegation, and the Governor's office in discussions with FEMA concerning the
National Flood Insurance pilot program in the Florida Keys. We arranged and attended several
meetings with FEMA officials concerning the National Flood Insurance Program; We drafted
letters on behalf of the Commissioners on this issue, and followed up with decision-makers.
Threat of Base Closure: We continued to monitor the potential for upcoming Base
Closure (BRAC) rounds and to keep the Commissioners appraised of how this might
affect the Naval Air Facility Key West. A new round of base closures is still being
debated for 2003. We have expressed to the Florida Congressional Delegation Monroe
County's concern that NAS/NAF Key West not be closed and encouraged Senator
Graham, Senator Nelson, and Congressman Deutsch to make known to the Navy that
they care about NAS/NAF Key West and believe it is a vitally important base. We
continue to work to ensure that NAS/NAF Key West is not considered for future BRAC
rounds should there be any.
Air Installation Compatibility Use Zone (AICUZ): We advised the Commissioners on
Air Installation Compatibility Use Zone (AICUZ) issues. A request by an area developer
to change the zoning of property near NAS/NAF Key West has led to questions
concerning how rezoning might impact operations at the Naval base. In the event of
future base closure rounds, continuing encroachment of an airbase by incompatible
development is a high negative and can lead to an increased possibility of a base being
closed. We have facilitated communication between the County and the Navy on these
matters.
