The Spiegel Grove (SPG) is named after the home and estate in Fremont, OH, of Rutherford B. Hayes, the 19th President of the United States. The SPG was launched in November 1955 and commissioned in June 1956. After many years of service, the SPG was decommissioned in 1989 and, from that time until late 1996, rested as part of the "mothball fleet" in the James River in Newport News, VA.. The Key Largo Chamber of Commerce SPG Effort In the late 1980's, the Key Largo Chamber of Commerce established an Artificial Reef Committee. One of the main objectives of this Committee was to be the pilot area to secure decommissioned boats for sinking as reef alternatives. In the Keys, we recognize the precious marine environment as being fragile and while we want to maintain our existing natural reefs, we also want to serve the growing dive industry. In creating the SPG site, we serve to provide an alternative to reef diving with an historical attraction. The SPG will be the largest boat sunk for these purposes. The boat will sit approximately 5.5 miles off Key Largo near the Dixie Shoals, the water depth will be somewhere in 125-130 foot range and the top of the superstructure will be positioned only 40 feet below the surface, allowing this to also be a marine attraction for snorkelers. In June 2001, we had a milestone achievement in that the SPG was moved from the James River Estuary to allow commencement of the required clean up. The Kev Larao Chamber of Commerce Artificial Reef Committee Business Plan for the Sinking of the Spiegel Grove Executive Summary The USS Spiegel Grove (SPG) is a 510-Foot Landing Ship Dock (LSD 32). After many years of service, the SPG was decommissioned in 1989 and from that time until just a few months ago, rested as part of the "mothball fleet" in the James River in Newport News, VA. It is now destined to become the largest vessel ever sunk for the purposes of creating an artificial reef. After a 6-year effort to raise funds and clear government regulation by the Key Largo Chamber of Commerce (KLCOC), the SPG was moved to the shipyard of Accurate Marine to be prepared for scuttling in June of 2001. The KLCOC contracted with a Company by the name of Ocean Reefs International (ORI) to do the work. Due to some inaccurate estimates of the ship contents and a lack of assets, ORI has been unable to fulfill its obligations per the contract. KLCOC must now negotiate a new contract for cleaning and pay outstanding expenses left unpaid by OR!. Based on a review of bids by available contractors and the current debts for work already completed, the KLCOC needs to secure total funding of $1 million for completion of the project. Currently the project has funding commitments of: · $260,000 Grant from TOG DAC 5 to be paid upon the vessels sinking · $300,000 Grant from Monroe County Capital Improvement funds to be paid upon the Dive Industry expending $300,000 of its own moneys. · $250,000 Loan guarantee from Holiday Diver · $ 50,000 Loan guarantees from Quiesence, Sea Dwellers, Keys Divers and Ocean Divers. Therefore the project will need additional funding in the amount of $132,000 in the form of unsecured bank debt or additional loan guarantees. The KLCOC seeks to secure a bank loan in the amount of $1 million to insure the completion of this project. This loan would first be used to satisfy advances made by First State Bank to date in the amount of $140,000. The remaining funds would be used to pay for project costs needed to complete the cleaning of the vessel, provide insurance for all phases, tow the vessel to the reef site, and scuttle the vessel on site. The first $568,000 of this loan would be repaid upon the vessels sinking from grants made by the TOG and Monroe County. The remaining $462,000 would be paid back with interest through funds raised by selling dive medallions to visitors of the Upper Keys Artificial Reefs. Pay back of this amount is estimate to take approximately 4 years. Project History The Spiegel Grove Artificial Reef Project evolved from the overwhelming success of a pair of 327-foot US Coast Guard cutters that were intentionally sunk as dive attractions off Key Largo in 1987. The BIBB and DUANE proved to be incredibly popular dive destinations, and of major benefit to the local tourist economy. The dive industry hoped to replicate this success with something even bigger and better, the 512-foot LST SPIEGEL GROVE. With the support of the KLCOC through its Upper Keys Artificial Reef Committee, a new project was begun in the early 1990s. So in 1994, with a desire to secure another military vessel for this initiative, organizers visited the James River (VA) Reserve Fleet to find a suitable vessel. Given its immense size and multiple decks, the SPIEGEL GROVE was clearly the best ship available. Plans began in earnest to make this dream reality. That meant securing funding, and obtaining the ship's release from the Maritime Administration, as well as satisfying the various local and federal agencies tasked to assure the ship is absolutely free of potential pollutants once it is sunk. Initial funding for the project came from $90,000 in local dive industry fund raising in Key Largo, a $260,000 stipend from the Monroe County Tourist Development Council (payable once the ship is sitting on the bottom). This funding initiative was completed in 1997. The Upper Keys Artificial Reef Association then moved forward with the Environmental Protection Agency (EPA) to satisfy their concerns and an approved plan of action was instituted. After 5 years of testing and extensive paperwork, ownership was finally transferred to the state of Florida and then Monroe County in early 2001. A cleaning and preparation contract was awarded to Ocean Reefs Inc. that feel within the budget of $370,000 and the vessel was moved to the dock facility at Accurate Marine's Virginia shipyard where all work was to proceed. Unfortunately, Ocean Reefs Inc. failed to perform their obligations under contract, and at present the ship sits at the dock, the project approximately 40% complete. The KLCOC artificial reef committee has expended $230,000 of its original funding ($90,000 in cash and $140,000 advanced by First State Bank of the Keys) to get the ship to where it is now. Another $870,000 and approximately 100 days of work are deemed necessary to finish the project and prepare the SPIEGEL GROVE for her final assignment as the world's premier wreck dive, just 6 miles offshore in the waters of the Key Largo National Marine Sanctuary. In order to meet these additional funding requirements, the Key Largo Dive industry and the KLCOC have developed a new funding plan that is detailed below. This funding is highlighted by an additional contribution from Monroe County in the amount $300,000 and an additional $300,000 from local dive industry sources (to be repaid from sales of dive medallions as annual fees to access these artificial reefs.) Therefore, the project currently has $860,000 in funding commitments and current debt of $140,000. Current Condition of Vessel On November 18, 2001 the KLCOC requested that Barry Chambers from Port Isabel, Texas provide a thorough review of the vessel for gauging further work that is to be completed. Mr. Chambers is a retired coast guard commanding office with 20 years of service and an additional 22 year of vessel salvage experience since retiring from the Coast Guard. Mr. Chambers currently serves as the senior manager of Shipbreaking Limited, the largest salvage and cleaning company for ships in the United States. Based on Mr. Chamber's tour of the vessel, he estimates that cable and gasket removal is approximately 50% complete, tank cleaning is 0% complete, asbestos work is 0% complete, and general vessel preparation is 0% complete. Overall, he estimates the job to be around 40% complete. Therefore, the KLCOC has sought bids from several contractors to complete the preparation of the vessel according the standards set prior to its move to the Accurate Marine ship yard. These standards are documented in the "PCB Work Plan" document prepared by Environmental Profiles, Inc. and approved by the EPA. This document is attached as Exhibit C. Currently, it is estimated that the remaining work will take approximately 100 days to complete once it commences. Economic Benefit to Community As the Key Largo area economy is almost entirely tourist based, this project represents a capital improvement for the community that is expected to provide significant economic benefit both immediately and in the long term. In order to quantify these benefits, Monroe County along with Miami-Dade, Broward, and Palm Beach Counties; the Florida Fish and Wildlife Conservation Commission; and NOAA conducted a study of the socioeconomic benefits of both the natural and artificial reefs of South Florida. This study was completed in October of 2001 and indicates a strong correlation between reefs and the economic activity generated from their existence. "The total economic contribution of the reefs to each (South Florida) county is the contribution of reef-related expenditures to county sales, income, and employment. As residents and visitors spend money in the county to participate in reef-related recreation, income and jobs are created within the county as a result. Economic contribution includes the direct, indirect and induced effects of visitor spending and the direct effects of the resident spending.,,1 1 Socioeconomic Study of Reefs in Southeast Florida, October 19, 2001, Hazen and Sawyer Environmental Engineers & Scientists, Page. ES-4 According to this study, the current artificial reefs in Monroe County produce $127 million in sales and $33 million in income annually while supporting 2,000 jobs. This $127 million in sales represents over $1.9 million in county discretionary sales tax generation on an annual basis. Based on this, we conservatively estimate that the addition of the Spiegel Grove to the artificial reefs of Monroe County will generate a 20% increase in artificial reef related recreational activity (San Diego, CA area has reported increases of 30% to 40% from the July 2000 sinking of the Yukon.2) This increase should produce additional sales of $25.4 million and additional income of $6.6 million while creating 400 new jobs. In addition, this project should add an additional $380,000 per year to the County Discretionary sales tax collections as well as substantial growth to bed taxes and other tourist related tax generation. It is the opinion of the KLCOC that the study commissioned by Monroe County supports the assumption that the sinking of the Spiegel Grove is a project of vital interest to businesses and the citizens of Monroe County who depend on tourist activity to support themselves and their families. It is for this reason that the KLCOC has invested six years and significant resources to insure the creation of the largest artificial reef in the world. Financing Plan Based on the fact that the current budgets and plans regarding the sinking are inconsistent with the facts of the situation, the KLCOC must re-finance this entire project. It is estimated the project will require $1,160,000 to complete including the payback of $140,000 advanced by First State Bank to date. See costs estimates and contractor bids for completion of the project in Exhibit A. KLCOC is requesting a new $1,160,000 line of credit with Lender(s) and should be handled with a single bank acting as the lead lender. The lead bank may choose to accept the risk of the entire debt or may want share the risk with one or more other local banks. Due to First State Bank's ongoing commitment and dedication to this project, their support shall be sought first. The KLCOC shall also review proposals from TIB Bank of the Keys and Community Bank to gauge additional bank interest. The acquisition of this line of credit is crucial to getting this project moving forward quickly. The project has grants totaling $560,000 which can not be accessed until the project gets moving and without a reliable source of funds when needed the project costs could spiral as we are always "waiting to get the 2 It is anticipated that the use of the artificial reefs could go up by as much as 33% based on the experiences of dive trip operators in San Diego based on the July 2000 sinking of the Yukon. This projects successful completion relies upon ready availability of money. This loan currently has grants and guarantees to cover $860,000. Therefore, the KLCOC should anticipate rounding up an additional $300,000 in loan guarantees or the bank(s) may need to accept a portion of the loan as unsecured. The loan should feature a draw schedule approximately as follows: 1. $140,000 At closing to payoff current line of credit with First State Bank to be unsecured. A solid contract including bonding of the contractor to be completed prior to closing. 2. $50,000 At closing to fund immediate consulting and legal fees necessary to get the project moving again. This advance to be guaranteed by $10,000 each by Sea Dwellers, Keys Divers, Quiesence, Ocean Divers, and Holiday Diver. 3. $260,000 Upon release of the vessel from the Accurate Marine yard in order to fund obligations of the vessel for work performed on behalf of OS!. At this time the guarantees of all dive operators shall become effective to securing the loan. 4. $510,000 Advanced as required to meet the financial obligations spelled out in the cleaning contract. 5. $100,000 Advanced to meet the financial obligations as spelled out in the towing contract. 6. $100,000 Advanced upon vessel's arrival at the reef site to meet any costs for final sinking. The line of credit shall be paid back as follows: 1. $300,000 Monroe County will pay from its Capital Improvement fund upon the dive community expending its matching funds of $300,000. It is anticipated that we can apply for these funds during the cleaning process, but do not expect to receive payment for some time. It is possible that the County could withhold funding until the ship is scuttled and needs to be considered in the pay down scenario. 2. $260,000 The TOe will pay upon the vessels sinking. 3. $600,000 The remaining project costs as estimated should be converted into a term loan with a 120-month pay back upon the sinking of the vessel and the receipt of all grants. This term loan will be paid from the sales of medallions as a voluntary user fee from guests visiting the artificial reefs of the Upper Keys. Term loan should have no prepayment penalties as it is estimated that Medallion sales can extinguish this debt in approximately 5 years. See the medallion sales plan below and the repayments schedule show as Exhibit B. Medallion Sales This portion of the plan is crucial to securing the final loan guarantees necessary to make up the difference of $600,000 between the $560,000 in grants and $1,160,000 project cost. The major guarantor of this balance (Holiday Diver at $250,000) requires this plan in order to insure that there is a likelihood of repayment of the debt that they will guarantee. The local dive operators estimate that 30,000 divers annually visit the current artificial reefs of the Upper Keys.3 As a group, the dive operators of the Upper Keys have all committed to purchasing and reselling a dive medallion to ALL their guests that will be diving the Spiegel Grove, Bibb, Duane, or Eagle wrecks. In addition, each dive operator has signed on to purchase a minimum number of medallions for re-sale each of the next 3 years. This minimum is currently over 15,0004 per year or about % the current number of divers that dive the current wrecks. These medallions will be sold for $10 to each diver and will entitle that diver to dive the artificial reefs for a1 year period. The medallions are estimated to cost the KLCOC approximately $2 each to purchase and distribute netting about $8 per medallion sold. The medallion sales should generate a minimum of $120,000 per year in moneys for use in the repayment of debt and to fund the sinking of additional vessels in the future. Additionally, the KLCOC plans to offer a limited number of "lifetime" medallions for $100. This medallion will offer the purchaser a lifetime pass to dive all the artificial reefs of the Upper Keys for as long as the owner keeps the medallion. These medallions will cost approximately $10 each to manufacturer and distribute. A limited number of 1,500 of these medallions will be produced in order to generate $135,000 of funds for repayment of debts related to the Spiegel Grove Sinking. Rodale's SCUBA diving has agreed to promote both the medallions in its magazine and web-site. Divers Direct will fulfill these orders through the mail. Based on the cash generation of $135,000 in year one from life-time medallion sales and $70,000 in year one from one-year medallion sales and $120,000 per year in annual medallion sales after year one, the $600,000 debt will be extinguished in 64 months. 3 This estimate is based on diving 250 days per year, 6 boats visiting wrecks per day, 20 divers per boat. This is less than 30% of the capacity of boats that run to the wrecks of the Upper Keys. It is anticipated that the use of the artificial reefs could go up by as much as 33% based on the experiences of dive trip operators in San Diego based on the July 2000 sinking of the Yukon. Therefore we believe that our numbers are very much under stated. 4 As of 12/17/01, the KLCOC has signed commitments from 27 dive operators for 15,080 medallions. The ex-USS Spiegel Gr<?ve is destined for sinking in the Florida Keys for use as an artificial reef. This plan was developed based on several of the guidelines provided by the Environmental Protection Agency's (EPA's)30 November 1995 Interim Final Policy, "Sampling Ships for PCB's Regulated for DisposaL" Methods for cable and gasket removal are based on the historical experience of ESCO Marine in performing similar removals on numerous other vessels. In addition to cable, wire, and HV AC system gaskets, any equipment, apparatus, or other item that has been labeled as "PCB" will also be removed. For the purposes of this plan, the term PCB or PCB's refers to electrical cable and wire, and ventilation system gaskets. Reporting: F or purposes of recordkeeping, the following information will. be provided to the EP A Regional PCB Coordinator: 1. The date the vessel will be moved from is present location to the location where PCB removal will occur. 2. The 10cationCs) of storage and PCB removal. 3. The date the vessel arrives at the location selected for PCB removal. 4. The proposed time period for PCB removal and any storage of PCB's on site. 5. The business address and telephone number of a responsible party from the PCB removal company who can provide information on the status of the PCB removal activities. The information required by Items 1-5 above may be found in Attachment 1 at the end of this plan. At least thirty calendar days before starting the PCB removal activity, ESCO Marine will provide the EP A Regional PCB Coordinator with the following: ..}~- A map showing the location of the vessel berthing facility and PCB storage location. 2. A schedule of compartments aboard the vessel from which PCB's will be removed. 3. The information required by Items 1-3 above may be found in Attachment 2 at the end of this Plan. Regulatory Agencies The US EPA regulates the removal and disposal of PCBs under the Toxic Substances Control Act (TSCA) Section 6(e) and 40 CFR part 761. The following activities are covered: . Labeling · Removal of PCB Contaminated Items · Storage of PCB Items for Disposal · Disposal of PCB Items · Records and Reports ESCO Marine does not intend to store PCBs at the removal site for longer than 30 days. However, in the unlikely event that PCBs are stored at the site for more than 30 days, proper notification will be given to the EP A Regional PCB Coordinator. Marking Requirements: 40CFR 761.40 Pursuant to the requirements of 40 CFR part 761.40, the following items will be conspicuously marked and/or labeled: 1. PCB containers. 2. PCB article containers. Storage of PCB Items for Disposal: 40CFR 761.65 All PCB items removed for disposal will be kept on the vessel in such a manner as to conform to current Temporary Storage Facility Requirements. PCB items removed will be inventoried, labeled and documented as to the date removed from the vessel and shipped for disposal. PCB items removed from service for disposal will be taken directly from service to an appropriate transportation container for disposal. Removal of Cable and Wire: All cable and wire will be removed from the vessel and will be presumed to be PCB-containing. This decision was made since the sampling and analytical costs to determine which cable and wire is regulated exceeds the economic benefit from identifying and segregating regulated and non-regulated cable and wire. All cable and wire will be removed by mechanical means. Cable and wire will be sliced into lengths of approximately 50 to 75 feet using hydraulic cutters. All cable and wire hangers will Proposed PCB Work Plan Ex-USS Spiegel Grove (LSD-32) 20 July 2000 Page 4 be torch cut, as will the areas where the cable and wire penetrate bulkheads, to allow the cable and wire to be pulled from the respective deck area by means of a winch. Once removed from the vessel, the cable and wire will be sent to a cable shredder for metal recovery. Process waste (fluff) will be disposed of as municipal waste in accordance with the EPA's PCB Mega-Rule. Removal of HV AC System Gaskets: All HV AC system gaskets will be removed from the vessel and disposed of as bulk product waste. In addition, all system ductwork will be torch cut and removed. No torch cuts will be made within six (6) inches of any system gaskets. Gaskets will not be removed from the duct flanges, but instead, the entire flanged gasket and section of duct will be subjected to one of two options. Option 1 will involve transporting the ductwork to a smelter meeting the definition of 40 CFR 261.10. Option 2 will involve transporting the ductwork and gaskets to an aluminum shredder for metal recovery. The non-metal by-product produced from shredding will be disposed of as municipal waste in accordance with the EPA's PCB Mega-Rule. Removal of Additional PCB Items: Additional items that have been previously labeled as "PCB" containing by the US Navy and/or the Maritime Administration will also be removed. These items include, but are not limited to, electronic components located in the CIC, radio room, and radar operations room. Electrical components labeled "PCB" will be removed in their entirety to the extent possible. The disposal methodes) used for these items will be determined by testing and analysis of the component(s) subsequent to removal. Additional Recordkeeping: ESCO Marine will establish and maintain records on the storage and disposition of all PCB's and PCB items removed from the vessel. For PCB containers, these records will include the container contents, estimated PCB concentrations (ppm), the container's total volume, unique identification number, the date the container was placed in transport for disposal, and the date disposed of, if known. These records will form the basis of a required" Annual Records Report" to be prepared by ESCO Marine. The records and documents will be maintained for at least 5 years after the facility ceases storing PCB's and PCB items. An annual document will be prepared by July 1 of each year. This "PCB Annual Document and Worksheet" will be completed by July 1 of each year and maintained at the facility and made available for inspection by representatives of the EP A during normal working hours. The operator of the facility will know the location of the records. Also kept with the annual document will be a signed manifest from the generator for any PCB contaminated items sent for disposal. "Records and documentation of any sampling and analysis performed will be maintained for five calendar years at the scrapping location following completionofthe last chemical analysis or the day of the last PCB removal activity which ever is later. "Copies of all manifests signed by the first transporter for PCB waste transported for disposal is provided with this certification." 4. The certification statement will include the following language: "I certify under penalty of law that this documept and all attachments were prepared under my direction and supervision in accordance with a system designed to assure that qualified personnel properly gather and evaluate information. Based on my inquiry of the person or persons directly responsible for gathering information, the information is, to the best of my knowledge and belief, true, accurate, and complete. I am aware that there are significant penalties for falsifying information, including the possibility of fines and imprisonment for knowing violations." The Florida Keys National Marine Sanctuary Advisory Council, at their December 11 meeting requested that Mr. Causey attend this meeting and express the Advisory Council's unanimous decision to oppose the Commission's recent decision to reallocate $300,000 in funding earmarked for wastewater projects in the Lower Keys, and divert those funds to the Spiegel Grove artificial reef project off Key Largo The Sanctuary Advisory Council passed a resolution requesting that the Board of County Commissioners find alternative sources, rather than wastewater funding, to assist with the Spiegel Grove sinking. The Advisory Council's concern is that it will be very difficult to convince members of Congress and our Governor and Legislature that we are serious about addressing wastewater issues in the Keys when we are diverting funds allocated for wastewater improvements to other projects.
