Key West. FL 33040, hereafter County, and Universal Printing Company. a Florida corporatiOfl. whose address is 3100 NW 74 Avenue. Miami, FL 33122, hereafter Contractor. WHEREAS, the County requires the printing of its annual report in the soonest time possible; WHEREAS, the Contractor represents that it is qualified and able to print the County's annual report within the time frame reqUired by the Coumy; now, therefare IN CONSIDERATION of the mutual covenants. promises and benefits described below, the parties agrcc as follows: 1. 'The Contractor shall print 35,000 copies of the County annual report, not to eJC:cud 36 pages including a four-page cover, in accordance wrth the specifications set forth in Exhibit A. Exhibit A is attached to and made a part of this agreement. The County must furnish the disk for artwork and composition. 2. The copies of the printed annual report, satisfactorily printed in accordance with the specifications must be delivered to the County's address written above on or before April 28, 2000. Acceptance of the report by the County Administrator constitutes the determination by the County that the report was satisfactorily printed in accordance with the specifications. Time is of the essence in the County receiving the report because the report must be distributed Q$ quickly oS poSSible to citizens and taxpayers throughout the County. Therefore, $100 per day will be Qss.essed against the Contractor, not as Q penalty but as liquidated damages, for each day aftf:r April 28,2000 that the S4tisfactorily printed copies of the report remain undelivered. Any liquidated damages assessed pursuant to this paragraph may. at the discretion of the County Administrator. be deducted from the final contract sum otherwise due the Contractor under paragraph 3. 3. Within 20 days of the County Administrator's acceptanee of the printed report copies, the County must pay the Contractor the total sum of $22.324. 4. The Contractor may not subcontract its obligations under this contract without the written authorization of the County Administrator. 5. Contractor warrants that he/it has not employed, retained or otherwise had act on his/its behalf any former County officer or employee subject to the prahibition of Section Z of Ordinance No. 010-1990 or 01I'f County officer or employee in violation of Section 3 of Ordinance No. 010-1990.
