Item Background: This purchase is proposed to protect property rights and natural resources. The subject properties consist of 3 sites of native pineland and freshwater wetlands on Big Pine Key fronting US 1 and totaling 9.5 acres. The properties are zoned Suburban Residential and Commercial (SR and SC) and are designated Residential Medium (RM) and Mixed Use/Commercial (MC) on the Future Land Use Map, All 3 sites are located in the State Coupon BighUKey Deer CARL project and the National Key Deer Refuge. Restrictions imposed by the Comprehensive Plan on this area include negative points under the rate of growth ordinance (ROGO), a limitation of 8 dwelling units per year for the Big Pine/No Name Key area, and level of service requirements that have resulted in a building moratorium for traffic-generating development. There is a billboard on this property that would be removed within one year (see attached lease addendum). Funding for these purchases will come from the State's Preservation 2000 program, which will restrict future use of the property to conservation and public recreation, The Land Authori,ty's standard purchase contract will be used, together with the lease addendum. The current assessed value of the property totals $163,317, The agenda packet spreadsheet lists the legal descriptions, purchase price, and closing costs for this transaction. Advisory Committee Action: On 4/22/99 the Advisory Committee voted 4/0 to approve the owner's asking price of $175,000, which is less than 115% of the 1986 assessed value. Previous Governing Board Action: The Governing Board has approved many purchases on Big Pine Key to address property rights issues. The Board has also approved lease addenda of this type regarding the removal of billboards from two other properties. Staff Recommendation: Approval. Margaret Jorio, ("Lessor") and National Advertising Company, a wholy-owned subsidiary of Outdoor Systems, Inc., d/b/a Infinity Outdoor, ("Lessee"). WITNESSETH: WHEREAS, J.A. Elwied Liquidation Trust and Lessee previously entered into a Lease Agreemcnt dated June 12, 1992, a copy of which is att'.ached hereto and incorporated by this rcfer-ence; and, WHEREAS, Lessor is the successor in interest to the J.A Elwied Liquidation Trost, having acquired fee simple interest to the leased premises, described as RE# 00110410- 000100. subsequent to the effective date of the Lease Agreement referred to in the preceding paragraph; and. WHEREAS, Lessor and Lessee herein expressly agree that the Lease Agreement referred to herein above remains in full force and effect, and the parties have fully cOmplied with the terms and conditions contained therein; and, WHEREAS, Lessor has entered into a contract to sell the leased premises to the Monroe COtmty Comprehensive Plan Land Authority, C'Land Authority") which contract is contingent upon the Lessor's removal of the billboard which is the subject of the aforementioned lease agreement; and, WHEREAS, Lessor and Lessee agree to amend the present lease between them for the benefit of the Land Authority and for themselves and in order to accomplish the closing of the sale of the property to the Land Authority, subject only to the continuation of the Lessee's occupancy of the property for a term of one (I) year from the execution of this addendum; NOW THEREFORE: For and in consideration of the mutual promises contained herein and other good and valuable consideration. receipt of which is hereby acknowled~, and for the express benefit of the Land Authority, Lessor and Lessee agree; I) The above whereas clauses are true and correct and are incorporated by this reference. 2) Lessor and Lessee agree to modify the term of the reference<L attached Lease to extend through that date certain of April 19, 2001. 3) Lessee expressly agrees that it shall remove its billboard sign from the leased premises on or before the end of the; leased term as extended by this addendum, that is, on or before April 19, 2001. Further, said removal shall be accomplished without damage to the real ptuperty or any vegetation located therein. l'd cC:S17GL,8 3N r >IS~3/t:G\31Al ~'lO~..:::l IAld60:E 000G-S0-V 4) In the event the Lessee tails to remove its billboard as set-forth in paragraph 3 above, then, in such event, the Land Authority, as successor.in.interest to Lessor, shall be and is hereby authorized to remove the structure and to charge its actual cost of removal to Lessee, which amount Lessee hereby agrees to pay. 5) At such time as this addendum is fully executed and consented to by the Land Authority, the Lessee shall and hereby does waive any and all claims, rights, remedies, or causes of action it ma}' have against the Lessor, Land Authority, Monroe County, aIJ.d their respective agencies, subdivisions, employees and agents related to the acquisition of the property from Lessor by the Land Authority. Specifically, the Lessee's waiver of claims, includes. but is not limited to, any right or claim it has or may have pursuant to Section 479.15(2). Florida Statutes, or Title 23 United States Code, Section 131 (g). 6) At the closing of the transaction wherein the Land Authority acquires the subject property, the Lessee shall tender unto Lessor a sum representing the unpaid rental due and payable pursuant to the lease referenced above for the period ending April 19. 2001. The Lessor herein expressly agrees to give the Land Authority a credit in this amount as against the purchase price for the said transaction. 7) In the event the Land Authority does not close the anticipated purchase and take title to the leased property within ninety (90) days of full execution of this addendum, then. in that event. this addendum shall be void and of no further force or effect.
