Approval of a contract to purchase the old Mariners Hospital complex on Plantation Key.
ITEM BACKGROUND:
This purchase is proposed to provide office space for the Sheriff s Office, the Health Department, and
the Public Defender's Office. The old Mariners Hospital complex consists of approximately 30,000
square feet of existing hospital space and accessory structures on a total of 3.74 acres of land. The
subject property is zoned Suburban Commercial (SC) and desIgnated Institutional (I) on the Future
Land Use Map.
The proposed contract negotiated by staff calls for the property to be purchased "as is" at a price of
$2,495,000. The contract provides for a 60-day inspection period during which the County has the
option of terminating the contract for any reason at no cost. Funding for this purchase would come
from the Sheriff's portion of the $25 million federal asset sharing funds (drug seizure funds) allocated
by the US Department of Justice. In addition to acquisition costs, staff estimates approximately $1.6
million in renovations are necessary to the existing buildings. Funding for the renovations would come
from the Sheriff's funds, state funding provided to the Health Department, and the County's
infrastructure sale tax.

On March 10, 1999, the Board of County Commissioners authorized staffto pursue the purchase of the
property .

1. ?uTchase Price
TIle purchalo price for the Real Property shall be U.S. $2,495,000.00, Il.abject to

bank with an office in Monroe County or Miami-Dade County. Florida.
n. Insp~UOn Period
Monroe County shall have SilCty (60) days from the date of execution of this
Agreement by Monroe County within which to conduct ita inspections and evaluations of the
Real Property (the "Inspection Period"), which may include, but are not limited to, Phase I and
Pha.e II environmental turveys. Seller agrees to give Monroe County and ita emp'oyees and
agents reasonable access to the Real Pro~erty for tlte purposes of conducting such inspections
and evaluations. If Monroe County provJdes Seller wltb written notice tl1at Monroe County is
not satisfied for any reason with the Real 'Property prior to 5:00 P.M. on the last day of the
Ins~ection Period, this Agreement shall bo deen\ed to be let-minated. To be effective written
notice of tenllination must be delivered to Seller by c~rtified mail return receipt requested on or
before the end of the inspection Period. Monroe County shalt. at its cost, repair aU damase to the

111. SeUer's Re13rcsent,tions and Warranties

the R.eal Property or any portion theroof pursuant to any
leaael.
3. Seller has full power to execute, deliver and carry out the
terma and provisions of this Agreement and has taken all
necessary action to authorize ex.ocution, delivery and
performance or this Agrcenlent. The execution. delivery

Certified. confirmed and ratified special assessment liens as of the Closing Dale
(and not as ofthe Effectivo Date) arc to be paid by Seller. Pending liens as oOhe Closing Date
shall1)c assumed by Monroe COUI,ty. If an improvement has boon substantially completed as of
the Effective Date. such pending lien sl'l.all be considered 115 certified, confinned or ratified and
Seller shaU, at Closing, be charged an amount equal to the last estimate of assessment for the

XVI. Loss Of Damaae To Tho Real property
In the event any loss or damage occurs to the Roal Property prior to Closing. other
than as a result of the negligence of Monroe County or its employees or agents. the parties a.roc
to utilize good faith efforts to agree on repairs to be tpado by Seller. or on an appropnate
adjustment to tbe purchase price. If the parties arc unable to agree on an {\ppropriate adjulbnent
to the purehuc: price within fifteen (1 S) days after the loss or damage occurs, oither party may

XVII. Attorneys' Fee8~ Costs

TIlis Agreement shall be govcmcd by and construed in accordance with the laws
of the State of Florida. If litigation becomes necesa&ry. the pL\tties agree that venue will he
proper in Monroe County. Florida.
