ITEM BACKGROUND:
The subject property is located at the comer of Sands Road and Avenue A and consists of a 2,436
square foot building on 15,000 square feet of land zoned Suburban Commercial. The existing zoning
would allow the County to expand the building to up to 4,000 square feet, subject to the Habitat
Conservation Plan and traffic issues. Potential uses of the property include a community center, a
library, or office space.

1. In consideration of Ten Dollars ($10.00) in hand, paid by th. COUNiY, the receipt of which Is

3. The Seller(s) further agree Dot to do, or suffer others to do, any act by which the value or title to

cutting or removal of products therefrom, or because of flre, shall be borne by the Seller(s)j and

4. The Seller(s) furt:tMilr agree thqt during the period covered by thIs Instrument officers and
acc...ctted agents of the COUNTY shall have at all proper times the unrestricted right and privilege
to enter upon said lands for all proper and lawful purposas, includlllg 8)(al11mallon Qt said lands
~nd the resources upon them. The Seller(e) hereby waive their Mahle to any and all claims against
the" COUNTy 38s<<l3ted with, or arisIng from ownership ot, said lands and this waiver shall
8urvive closing.
5. Tha Ssller(s) will execute and deliver upon demand of the proper officials and agents of the
COUNTY a good and 3ufficient deed of warranty convevlng to In. COUNTY a safe title to the said
lands of lIiuch chara-;te( as to be satklfaotory to the legal counsel at the COUNTY and s~ld deed
shan provide that the use, occupation and operation of the rlghts-of-WQY. Ba$ements and
re~ervaficns retaIned 1hereln, shall be subordInate to and stlbJec:t to $l.lch rl.lles E{ncf reglflatlons as
may be prescribed by the COUNTY governIng the use, occupation, protection and administration
of lands.
8. In consideration whereof the COUNTY agrees that it will purchase all of said rands ancl other
Interests at the price of $338.896.00. The COUNTY further agrees that, after the p~paratlon,
executIon, dellvel)' and reccrdatlon of the deed, and after the legal counsel of the COUNTY shall
have approved the title thus vested In the COUNlY, it will cause to be paid to the Seller(s) the
purchase prIce by a check drawn on the account of the COUNTY. The COUNTY shall pay the
following 8)(J)enses aSsociated with the conveyance of the property: deed recording tees,
settlement fees. abstract fees, title examination fees, the SIJYQr's attomey's fees, end title
Insurance, as well aa the prorata shore 0' prepaid real property taxes allocable to the period
subsequent to the vesting 01 title In the COUNTY, or the effective date of possession of such real
property by the same, whrchever Is earlier. The Seller{t) shall p.ay the e)(p~n8e8 ot documentary
stamps to be affixed to the deed and the removal of trash and debris from the property, if any_ Full

7. It 18 mutually agreed that an abstract, title insurance poDcy or ether evidence of title to the property
herein ~ontracled to be sold, satIsfactory to tha legal counsel of the COUNTY will be obtained by
the COUNTY at its eXJ:>ense. The- Sellor(s) expressly agree h<<ein to furnish to 1I1e COUNTY any
documents In SeUer(s)'s possession e5tQbll&hin~ evidence of title IncIUdl~, but not Ifmlted to,
ab$tracts, title commitments, title policIes and opinions of title.
8. It Is mutually understood and agreed that the COUNTY may assIgn this contract.

13. The COUNTY shall have s;)(f;y (60) days from the effective date ot this agreement In which to
conduct an environmental site 8B8eesment to detennine the emtenco and extent. if any, of any
ha%ardou8 materials on the property. For the purposes or *hI:!! agreement, "hazardous materlalsl
ehall mean any hazardous Of' toxic substance, material 0( willite of any kin<f or any other
8ubetance which 11$ regulated by any environmentallllw. If 1he environmental site a~$essment
Identifies tM presence of hazardous materials on the property, the COUNTY shall, withIn thIs
spedfied time per1od, notlfy Seller(s) in wrftlng Of the findIngs. The Seller(s) will then have one
hundred twenty (120) days from reeelpt 0' notice withIn which to pursue. at Seller(s)' sole cost and

15. It is the COUN1Y'$ Intent to purchase the subjec;t propotty as an offtce building. Notwithstanding
any provision at this Agreement to the contrary, the COUNTY, at Its sofe option, shall have the
right to terminatG this Agreement at any time for Qny reason during the one hundred twsnty {120}
day due diligence period resulting trom Paragraphs 2 and 13. If this transaction fails to crose
withIn one hundred eighty (160) days of the effective date of the AgrGQment, 1M Sener's shall have
